TERMS AND CONDTIONS
Origin: All products are of Russian Origin. May be affected from other regions of the world, but the
product specifications meet the GOST requirements.
Stamps and Signatures: Stamps and Signatures are obligatory for every issued Corporate Purchase
Order and Letter Of Intent.
Quantities: Respect our Maximum and Minimum capacities of delivery as stated on products sheet up
above.
Inspection: SGS, CIQ or Similar at the expense of the seller.
Commission Structure: 50% to buyer's side (open) and 50% to seller's side (closed) BUYER 50%
(OPEN) distribution 1/3 BUYER MANDATE (OPEN).
Common Procedures: Buyer's ICPO must contain stated our company procedure. A letter of
acceptance of the seller's contract working procedure may be requested from the buyer before issuance
of TAKE OVER
ADDENDUM. Procedure shall be in accordance with the chronological Procedure and rules
promulgated by the International Chamber of Commerce, for Sale and Purchase of export commodities.
Specifications: Specifications can be provided for every product listed above on buyer request.

SELLER PROCEDURES FOR SELLING RUSSIA PRODUCTS


1. Buyer issues ICPO upon receipt of the seller SCO.
2. Seller sends draft S.P.A via email to the buyer for preview and opens for amendments if any and buyer travels
down to Russia federation to meet with the seller having the privilege of seeing the product before contract is
signed by both the buyer and seller company.
3. Both Parties endorses the Final wording of signed S.P.A / Contract and NCNDA/IMFPA.

4. Seller registers and legalizes the signed S.P.A / Contract with Ministry of Foreign Affairs, R.F
5. Seller summarize shipping schedule with the shipping company and send a copy of the shipping documents
to the buyer.
6. Sellers sends swift the full Proof of Product to Buyer and places non operative 2% Performance Bond via
bank
7. Buyer places bank payment instruments acceptable by the 25 World Bank for the total lots of goods.
8. Within 3 days of Vessel arrival, buyer makes the full payment of the product by DLC for One month
shipment.
9. Seller will within 72 hours of receiving the operative financial instrument from the Buyer, pays all
Intermediaries involved.
10. Shipment will commence as mutually agreed by both parties.

If Terms Are Acceptable, Kindly Provide Your LOI and ICPO.
