7. PURCHASE AGREEMENT: The Seller agrees to sell and the Buyer agrees to buy the

Vacation Club Share described in paragraph 4 including the right to use and occupy the

same during the free night/s booked by the Buyer.

8. PURCHASE PRICE AND PAYMENT: In exchange for Seller's transferring to Buyer

all of the Seller's ownership rights in the property described in paragraph 4. Buyer will

pay Seller the amount set forth as the Purchase Price in paragraph 6 upon Buyer's

signing the Contract.


9. RISK OF LOSS: The Buyer shall bear any loss or damage to the property upon the

signing of this contract and the parties shall have no further obligations to each other.

10. TRANSFER DOCUMENTS; TITLE: Seller transfers ownership of the property and

all related rights in this Deed for recording as necessary to transfer Seller's full rights of

ownership. Seller's transfer of ownership shall be free of all claims and rights. The use

of the property, restrictions, reservations, conditions and provisions set forth in the

documents establishing the timesharing use or vacation club plan shall be binding

between The Club and the Buyer.

11. TAXES, MAINTENANCE CHARGES: Seller shall pay all club dues or charges prior

to the signing of the Contract. Any charges or dues assessments accruing thereafter will

be on the account of the Buyer.

13. BINDING EFFECT: This Contract is binding upon all parties who sign it and all who

succeed to their rights and responsibilities. It replaces and cancels any prior written or

verbal understandings and agreements. This contract can only be changed by an

agreement in writing signed by both Buyer and Seller.
