DECLARATION OF TRUST AND

DEED OF ASSIGNMENT

This Declaration of Trust and Deed of Assignment (this “Deed”) is executed this
___ day of February 2019 in Makati City, by and between:

xxx, of legal age, Filipino citizen, with office address at xxx (hereinafter
referred to as the “TRUSTEE”)

-in favor of-

xxx, of legal age, Filipino citizen, with residence address at xxx


(hereinafter referred to as “TRUSTOR/BENEFICIARY”)

RECITALS:

A. TRUSTEE appears as the registered shareholder of Two Hundred (200) common


shares of stock in _____________ (the “Corporation”), a corporation duly
organized and existing under Philippine laws, with a par value of One Thousand
Pesos (P1,000.00) per share (the “Share”) covered by Stock Certificate No. ____.

B. One (1) common share from the Share was allocated and issued to TRUSTEE in
his name (the “Subject Share”) for and on behalf the
TRUSTOR/BENEFICIARY, which is the true and beneficial owner thereof, the
subscription in the name of TRUSTEE having been made only for convenience.

ACCORDINGLY, the parties hereby confirm as follows:

1. TRUSTEE hereby acknowledges and confirms the trust relationship with its
TRUSTOR/BENEFICIARY in respect of the Subject Share, pursuant to
which the Subject Share was registered in TRUSTEE’s name, the true and
beneficial owner thereof being the TRUSTOR/BENEFICIARY.

2. Being the TRUSTEE of TRUSTOR/BENEFICIARY, TRUSTEE agrees, as it


hereby agrees, to transfer the Subject Share in favor of
TRUSTOR/BENEFICIARY, or any of her designated nominees or trustees
upon TRUSTOR’s instruction, and the Corporate Secretary of the
Corporation is hereby requested to cause the transfer of the Subject Share
from TRUSTEE to TRUSTOR or her duly designated beneficiary/ies upon
receipt of a written request from TRUSTOR.

3. All dividends, whether cash, stock or property rights and other fruits or
avails accruing to or on the Subject Share shall be for the account and benefit
of TRUSTOR/BENEFICIARY, and accordingly, TRUSTEE shall deliver the
same to TRUSTOR/BENEFICIARY or to whomsoever the latter may
designate.

4. Director’s fees and other amounts received by way of compensation for


services rendered by TRUSTEE to the Corporation shall be for the account
and benefit of the TRUSTEE.
5. TRUSTOR/BENEFICIARY shall save TRUSTEE free and harmless from
any liability, whether for taxes, unpaid subscription or otherwise, that may
arise as a result of TRUSTEE’s holding title to the Subject Share for and on
behalf of TRUSTOR/BENEFICIARY.

6. TRUSTOR/BENEFICIARY hereby warrants to TRUSTEE that this Deed is


not intended to or will not at any time violate any statue or regulation of any
government authority and that TRUSTOR/BENEFICIARY shall provide
TRUSTEE full disclosure of material facts as would affect full compliance
with law.

IN WITNESS WHEREOF, the Parties have hereunto executed this Deed this ___th
day of February 2019 at Makati City.
