This CHARTER PARTY is made at the place and date stated in Box 1 between the CHARTERERS stated in Box 4
and the OWNERS stated in Box 3 (individually a “PARTY” and collectively the “PARTIES”).

WHEREAS:

(A) The CHARTERERS wish that certain marine vessel services, including the charter of the vessel named
“[insert name of vessel]” (hereinafter referred to as “the VESSEL”), be carried out for the agreed CHARTER
PERIOD (the “CHARTER”) altogether defined as the WORK in accordance with the terms and conditions as
agreed in this CHARTER PARTY; and

(B) The OWNERS represent and warrant that it is able and willing to carry out the marine vessel services,
including the charter of the VESSEL, in accordance with the terms and conditions of this CHARTER PARTY.

Now therefore this CHARTER PARTY provides as follows:

(1) It is mutually agreed that this contract will be performed subject to the conditions contained in this
CHARTER PARTY which consists of the following documents and the defined term “this CHARTER
PARTY” will in all documents be construed accordingly:

(a) PART I – FORM OF AGREEMENT

(i) SCHEDULE 1 – SPECIAL PROVISIONS

(b) PART II – CONDITIONS OF CHARTER PARTY, including the following as annexed to this
CHARTER PARTY:

(i) ANNEX A – SCHEDULE OF COSTS

(ii) ANNEX B – HEALTH, SAFETY, SECURITY & ENVIRONMENT
(iii) ANNEX C – ADMINISTRATION INSTRUCTIONS

Any ambiguity or contradiction will be resolved by reading the CHARTER PARTY as a whole so that
each provision will have effect. If a reading of the CHARTER PARTY as a whole does not resolve the
ambiguity or contradiction, then precedence will be given in accordance with the provisions of Clause
47 of PART II – CONDITIONS OF CHARTER PARTY.

(2) Reference to a “Clause” in the table immediately above means a clause in PART II – CONDITIONS OF
CHARTER PARTY unless the context requires otherwise and words and expressions written in full capitals
have the meaning ascribed to them in PART II – CONDITIONS OF CHARTER PARTY unless expressly
stated otherwise.

(3) Subject to and in accordance with the terms of this CHARTER PARTY, the OWNERS undertake to carry
out the marine vessel services, including the charter of the VESSEL to the CHARTERERS, and the
CHARTERERS undertake to pay the HIRE.

(4) The special provisions agreed between the PARTIES for the purposes of this CHARTER PARTY are
attached to this PART I as SCHEDULE 1 – SPECIAL PROVISIONS.

(5) The CHARTER PARTY may be signed in any number of counterparts, all of which constitute a single
instrument.
