DEED OF ABSOLUTE SALE

KNOW ALL MEN BY THESE PRESENTS:

JOSE DELA CRUZ, of legal age, Filipino, married to Anna dela Cruz, and with
residential address at 1234 A. Mendoza St. Brgy. Matalinaw, City of Manila, hereinafter referred
to as the “Seller”

- and -

MARIA REYES, of legal age, Filipino, single and with residential address at 652 Acer
St., Brgy. Saksakan, Pasay City., hereinafter the “Buyer"

Witnesseth that –

Whereas, the Seller is the true and absolute owner of a condominium unit located in Unit 9, ABC
Tower, Makati City with an area of one hundred fifty square meters (150 sq.m.) more or less and
herein covered by Condominium Certificate of Title No. 163827 issued by the Registry of Deeds
for Makati City (hereinafter the “Subject Property”)

Whereas, the buyer desires to purchase the Subject property and the Seller is willing to sell the
same to the Buyer, subject to the terms and conditions of this Deed of Absolute Sale.

NOW THEREFORE, for and in consideration of the foregoing premises, and the amount of
Twenty Five Million Pesos (P25,000,000.00), receipt of which in full is hereby acknowledged by
the Seller hereby SELLS, TRANSFERS and CONVEYS the Subject Property, absolutely and
irrevocably, in favour of the Buyer, her heirs and assigns, together with all the rights and
interests thereto, free from all liens and encumbrances.

The parties further agree as follows:

1. The Seller warrants that I has valid title to, peaceful possession of and ownership over the
Subject Property and shall defend the title of the Buyer.

2. The Seller warrants that it has the capacity and authority to enter into his transaction and
there is nothing which would prevent the Buyer from obtaining valid title to and peaceful
possession of the Subject property.

3. The Buyer shall pay the documentary stamp tax, transfer tax and registration fees and all
other fees, taxes and charges arising from or connected with the sale. The capital gains
tax shall be for the account of the Seller.

IN WITNESS WHEREOF, the parties have signed this Deed of Absolute Sale this 9th day of
January, 2019 in the City of Makati.

CONTRACT OF LEASE

KNOW ALL MEN BY THESE PRESENTS:

This Contract of Lease (the “Contract”) is executed by and between:

GG PROPERTIES, INC, a corporation duly organized and existing under and by virtue
of the laws of the Republic of the Philippines, with principal office at 77 Agham St., Brgy.
Bagong Buhay, Pasig City, herein represented by its Corporate Secretary, Atty. Teddie Chan,
hereinafter referred to as the “Lessor”

- and -

JONEL CARLOS, of legal age, Filipino, single and with residential address at 62
Toshiba St., Brgy. Ilawilaw, Pasay City., hereinafter the “Buyer"

Witnesseth that –

Whereas, the Lessor is the true and absolute owner of a commercial unit in XYZ Building
located in Aurora Blvd, Quezon City, referred to as Unit 1G with an area of sixty square meters
(60 sq.m) more or less and covered by Transfer Certificate of Title No. 76346 issued by the
Registry of Deeds for Quezon City (hereinafter the “Leased Premises:.

Whereas, the Lessee desires to lease the Leased Premises and the Lessor is willing to lease the
same to the Lessee subject to the terms and conditions in this Contract.

NOW THEREFORE, for and in consideration of the foregoing premises, and the mutual
covenants herein states, the Lessor has agreed to let and by these presents does hereby let and
lease unto the Lessee the Leased Premises and the Lessee hereby accepts the same by way of
lease subject to the following terms and conditions:

1. LEASE TERM – The term of the lease shall be for a period of one (1) year commencing
on 09 January 2019 to December 09, 2020.

2. MONTHLY RENTAL – The Lessee shall pay the Lessor the amount of Fifty Five
Thousand Pesos (P55,000.00) as monthly rental, payable on the fifth day of each month,
without any grace period. The Lessee shall deliver to the Lessor an advance rental
payment equivalent to six (6) months rental which is non-refundable but consumable and
will be applied for the rental payment for six months after prior notice to the Lessor. The
said amount is exclusive of value added tax and subject to applicable withholding tax.

3. SECURITY DEPOSIT – Simultaneous with the execution of this Contract, the Lessee
shall deliver to the Lessor a security deposit equivalent to two (2) months rental to
answer for any unpaid utilities and damages to the Leased Premises, reasonable war and
tear and tear excepted. Any balance thereof shall be returned to the Lessee without
interest after sixty (60) days from expiration of the Lease Term.
4. USE OF THE LEASE PREMISES – The Leased Premises shall be exclusively used for
commercial purposes and may not be used for other purposes.

5. RULES AND REGULATIONS – The Lessee undertakes to abide by the rules and
regulations of the XYZ Building and hereby undertakes to timely pay for the Common
Use Service Area (CUSA) fees of sixty pesos (P60.00) per square meter per month.
Storage of flammable explosive materials is not also allowed to the Leased Premises.

6. SUB-LEASE - The Lessee shall not directly or indirectly sublet, allow or permit the
leased premises to be occupied in whole or in part by any person, form or corporation,
neither shall the Lessee assign its rights hereunder to any other person or entity and no
right of interest thereto or therein shall be conferred on or vested in anyone by the Lessee
without the Lessor’s written approval.

7. DEFAULT PAYMENT: In case of default by the Lessee in the payment of the lease,
such as when the checks are dishonored, the LESSOR at its option may terminate this
contract and eject the Lessee. The LESSOR has the right to padlock the premises when
the Lessee is in default of payment for Two (2) months and may forfeit whatever rental
deposit or advances have been given by the Lessee. There will also be a penalty of three
hundred (P300.00) pesos per day for failure to pay monthly rental on time.

8. JUDICIAL RELIEF: Should any one of the parties herein be compelled to seek
judicial relief against the other, the losing party shall pay an amount of One Hundred
(100) % of the amount clamed in the complaint as attorney's fees which shall in no case
be less than P50,000.00 pesos in addition to other cost and damages which the
said party may be entitled to under the law.

IN WITNESS WHEREOF, the parties have signed this Deed of Absolute Sale this 9 th day of
January, 2019 in Quezon City.

provision of Sec. 1 Rule 74 of the Rules of Court, the said HEIRS above named have agreed to
settle the estate extrajudicially and to this effect do hereby partition and adjudicate the same unto
themselves and the foregoing inheritance, subject however to the liabilities imposed by Sec. 4,
Rule 74 of the Rules of Court for a period of two years in favor of any other possible heirs,
creditors or any other person deprived of the lawful participation over the said estate of the
deceased and encumbrances;

The parties agree to publish this instrument in a newspaper of general circulation in the
City and Province of Metro Manila once a week for three consecutive weeks.
In the remote event that any other property of the decedent should ever be found which is
not included hereinabove, the HEIRS hereto further agree as they do so agree to settle and
distribute the same in like manner and proportion as herein established and disposed.

That the HEIRS hereby covenant and further warrant that should there be preterition or
omission of one, some, or all of the compulsory heirs in the direct line, whether living or not at
the time of the execution of this Deed, will not invalidate/nullify the terms and conditions of this
Deed. Instead, the HEIRS shall proportionately oblige themselves to pay to the omitted Heirs or
the latters’ heirs the share which belongs to him/them, in accordance with the rules of succession
under the Civil Code of the Philippines.

The heirs hereby affirm that they have executed this instrument voluntarily and freely and
without force, intimidation or violence upon their person, that they have hereby received their
just and proper share, and that they have no claim or demand against each other.

CONTRACT TO SELL

This CONTRACT TO SELL, made and executed this 6 day of September, 2019 by and between:

the "SELLER/VENDOR";

Street, North Olympus, Quezon City, hereinafter referred to as the "BUYER/VENDEE".

WITNESSETH;

WHEREAS, the SELLER/VENDOR is the absolute and registered owner of a parcel of


land consisting of FIVE HUNDRED (500) square meters, more or less, located at Blk 6B Lot 4,
Dollar Street, North Olympus, Quezon City and covered by Transfer Certificate of Title No.
516747 issued by the Registry of Deeds of Quezon City;

WHEREAS, the BUYER/VENDEE has offered to buy and the SELLER /VENDOR has
agreed to sell the above mentioned property under the terms and conditions herein below set
forth;

NOW THEREFORE, for and in consideration of the total sum of Five Million (Php
5,000,000.00) Philippine Currency, and of the covenants herein after set forth
the SELLER/VENDOR agrees to sell and the BUYER/VENDEE agrees to buy the aforesaid
property subject to the following terms and conditions:

1. The total consideration shall be Five Million (Php 5,000,000.00) Philippine Currency, payable
as follows:
a) The amount of ONE MILLION (Php: 1,000,000.00) PESOS, representing earnest money shall
be payable by the BUYER/VENDEE to the SELLER/VENDOR upon signing of this Contract
to Sell;

b) The remaining balance in the amount of FOUR MILLION (Php: 4,000,000) PESOS, shall be
paid in Cash on or before December 1, 2020.

c) In case the check representing the payment for the balance provided in paragraph b hereof,
is dishonored by the drawee bank, the earnest money in the amount of ONE MILLION (Php:
1,000,000.00) PESOS, shall be forfeited in favor of the SELLER/VENDOR.
2. Capital Gains Tax and Real Estate Tax, shall be for the account of the SELLER/VENDOR;
3. Documentary Stamps Tax, Registration Fee, registration expenses, and all other miscellaneous
fees and expenses shall be to the account of the BUYER/VENDEE;

4. Possession to the subject property shall be delivered by the SELLER/VENDOR to


the BUYER/VENDEE upon full payment of the total consideration;

5. Upon full payment of the total price, the SELLER/VENDOR shall sign and execute a DEED
OF ABSOLUTE SALE in favor of the BUYER/VENDEE. TheSELLER/VENDOR shall
likewise execute and/or deliver any and all documents, including but not limited to the original
copy of Transfer Certificate of Title, Tax Declaration and all other documents necessary for the
transfer of ownership from SELLER/VENDOR to the BUYER/VENDEE.

LEASE CONTRACT

KNOW ALL MEN BY THESE PRESENTS:

This CONTRACT OF LEASE is made and executed at the City of Quezon City, this 6th day of
September 2019, by and between:

Isabella R. Cruz of legal age, single, Filipino, and with residence and postal address
at 1345 Instruccion Street, Sampaloc, Manila hereinafter referred to as the LESSOR.

-AND-

John Rey Q. Ruiz .Filipino and with residence and postal address at Blk 5A Lot 3, Dollar
Street, North Olympus, Quezon City, hereinafter referred to as the LESSEE.

WITNESSETH; That

WHEREAS, the LESSOR is the owner of THE LEASED PREMISES, a residential property
situated at Blk 6B Lot 4, Dollar Street, North Olympus, Quezon City;

WHEREAS, the LESSOR agrees to lease-out the property to the LESSEE and the LESSEE is
willing to lease the same;

NOW THEREFORE, for and in consideration of the foregoing premises, the LESSOR leases
unto the LESSEE and the LESSEE hereby accepts from the LESSOR the LEASED premises,
subject to the following:

TERMS AND CONDITIONS

1. PURPOSES: That premises hereby leased shall be used exclusively by the LESSEE for
residential purposes only and shall not be diverted to other uses. It is hereby expressly agreed
that if at any time the premises are used for other purposes, the LESSOR shall have the right to
rescind this contract without prejudice to its other rights under the law.

2. TERM: This term of lease is for ONE (1) YEAR. from (Date) to (Date) inclusive. Upon its
expiration, this lease may be renewed under such terms and conditions as my be mutually agreed
upon by both parties, written notice of intention to renew the lease shall be served to the
LESSOR not later than seven (7) days prior to the expiry date of the period herein agreed upon.

3. RENTAL RATE: The monthly rental rate for the leased premises shall be in PESOS:
Twenty Thousand (P 20,000.00), Philippine Currency. All rental payments shall be payable to
the LESSOR.

4. DEPOSIT: That the LESSEE shall deposit to the LESSOR upon signing of this contract and
prior to move-in an amount equivalent to the rent for THREE (3) MONTHS or the sum
of PESOS: AMOUNT IN WORDS (P 00,000.00), Philippine Currency. wherein the two (2)
months deposit shall be applied as rent for the 11th and 12th months and the remaining one (1)
month deposit shall answer partially for damages and any other obligations, for utilities such as
Water, Electricity, CATV, Telephone, Association Dues or resulting from violation(s) of any of
the provision of this contract.

5. DEFAULT PAYMENT: In case of default by the LESSEE in the payment of the rent, such
as when the checks are dishonored, the LESSOR at its option may terminate this contract and
eject the LESSEE. The LESSOR has the right to padlock the premises when the LESSEE is in
default of payment for One (1) month and may forfeit whatever rental deposit or advances have
been given by the LESSEE.

6. SUB-LEASE: The LESSEE shall not directly or indirectly sublet, allow or permit the leased
premises to be occupied in whole or in part by any person, form or corporation, neither shall the
LESSEE assign its rights hereunder to any other person or entity and no right of interest thereto
or therein shall be conferred on or vested in anyone by the LESSEE without the LESSOR'S
written approval.

7. PUBLIC UTILITIES: The LESSEE shall pay for its telephone, electric, cable TV, water,
Internet, association dues and other public services and utilities during the duration of the lease.

8. FORCE MAJEURE: If whole or any part of the leased premises shall be destroyed
or damaged by fire, flood, lightning, typhoon, earthquake, storm, riot or any other unforeseen
disabling cause of acts of God, as to render the leased premises during the term substantially
unfit for use and occupation of the LESSEE, then this lease contract may be terminated without
compensation by the LESSOR or by the LESSEE by notice in writing to the other.

9. LESSOR'S RIGHT OF ENTRY: The LESSOR or its authorized agent shall after giving
due notice to the LESSEE shall have the right to enter the premises in the presence of the
LESSEE or its representative at any reasonable hour to examine the same or make repairs therein
or for the operation and maintenance of the building or to exhibit the leased premises to
prospective LESSEE, or for any other lawful purposes which it may deem necessary.

10. EXPIRATION OF LEASE: At the expiration of the term of this lease or cancellation
thereof, as herein provided, the LESSEE will promptly deliver to the LESSOR the leased
premises with all corresponding keys and in as good and tenable condition as the same is now,
ordinary wear and tear expected devoid of all occupants, movable furniture, articles and effects
of any kind. Non-compliance with the terms of this clause by the LESSEE will give the LESSOR
the right, at the latter's option, to refuse to accept the delivery of the premises and compel the
LESSEE to pay rent therefrom at the same rate plus Twenty Five (25) % thereof as penalty until
the LESSEE shall have complied with the terms hereof. The same penalty shall be imposed in
case the LESSEE fails to leave the premises after the expiration of this Contract of Lease or
termination for any reason whatsoever.

11. JUDICIAL RELIEF: Should any one of the parties herein be compelled to seek judicial
relief against the other, the losing party shall pay an amount of One Hundred (100) % of the
amount clamed in the complaint as attorney's fees which shall in no case be less than P50,000.00
pesos in addition to other cost and damages which the said party may be entitled to under the
law.

12. This CONTRACT OF LEASE shall be valid and binding between the parties, their
successors-in-interest and assigns.

2. After my sober and soul searching assessment and analysis of the incident, I have
realized that because I was not wearing my eyeglasses and it was dark, I can not point out,

fairness to him, I am permanently withdrawing my complaint against him. I clear him of
