Incorporators’ Resolution of:

We, the undersigned, being all the incorporators of this Association, consent and
agree that the following incorporators’ resolution was made
on date

We do hereby consent to the adoption of the following as it was adopted at a regularly


called meeting of the incorporators of this Association. In accordance with the bylaws
of this Association, by unanimous consent, the incorporators resolved that:

RESOLVED, that the association hereby appoints _____________, as duly


authorized representative of the Association authorized to do and perform any and all
acts necessary for the registration of the Association;

RESOLVED, that the undersigned incorporators, through the aforenamed


representative, undertake to change the corporate name of the Association in the event
that another homeowners’ association has already acquired a prior right to the use of
the said name or similar to it; and

RESOLVED, that the undersigned incorporators, through the aforenamed


representative, agree to any change or alteration in any of the provisions stated in the
Articles of Incorporation and/By-Laws which may be contrary to law, good customs
and public policy, and as may be directed by the HOA unit officer.
