Quotation Terms

1) Unless stated otherwise, prices are in Saudi Riyals or US Dollars. Prices are provided
according to the prevailing prices at the time of quotation. The Seller reserves the right
Prices
to change typographical or clerical errors at any time upon notice in writing.

Validity Offer is valid for thirty (30) days from above date.

Unless specifically agreed in writing, the shipment dates quoted are estimates and seller does
not guarantee a particular date of shipment or delivery of the goods. The delivery period begins
on the date a firm order with advance payment or accepted letter of credit is received from the
Buyer, unless otherwise agreed to in writing. The Seller accepts no liabilities associated with a
Shipments &
failure by the Buyer to provide sufficient information without delay in the execution of the
Delivery
order, and until the instructions for shipment and delivery are agreed. Partial shipments are
authorized. Warehousing charges at a rate of 6% (of total order value) per month will apply to
the Buyer if goods are not collected within the agreed time period. The delivery will be agreed
between Petra and the Customer.

Buyer shall inspect the goods at seller`s store/factory before shipment is affected. Seller shall

not be responsible for any damages incurred during offloading and rigging at Buyer`s site.

50% down payment upon delivery of purchase order and balance 50% payable before shipping,
or through a Letter of Credit (90% of total order value) and 10% payment prior shipping or
certified check where applicable depending on the product type. Payment of 100% of the
agreed price shall be arranged for by the Buyer, prior to delivery of goods without any right of
Payment retention or reduction, unless agreed by the Seller in writing. If payment in not made within the
allotted time, Seller shall be entitled to charge a late payment fee at a rate of 1% of the
outstanding amount for each month or part thereof the overdue payment amount, until full
payment is received. After 90 days from payment due date, any expenses incurred by Seller in
collecting past due amounts shall be charged to the account of the Buyer.
If the Seller, on the Buyer`s request, agrees to cancel any order or part thereof before
start of production, the Buyer shall reimburse the Seller for 30% of order value and for
all costs and expenses which result due to the cancellation. In the event of a

cancellation after production start, Buyer shall pay full order value. Seller reserves the
right to make up for its cancellation costs against any payments received for the order.

Two weeks free storage is allowed from date of notification from PETRA Engineering Industries
Storage Co.,
after which applicable charges will be imposed as per PETRA Engineering Industries Co. policy.
Any additional work and material different from what is stated herein, including but not limited
Changes to changes in drawings or specifications, shall be subject to seller`s approval, and shall entitle
Seller to an adjustment in the price and schedule.
Seller shall not be liable for any losses, damages, or penalties induced by late performance, or

for any changes in performance due to fires, strikes, labor disputes, supplier delays,

governmental actions, customs delays, acts of nature, or any other condition beyond the
Seller`s control.
Petra standard warranty for all products is 24 months from delivery date or 12 months from
commissioning date whichever comes first and will based on the below conditions:
1. Warranty is measured in years and is effective from date of invoice. Warranty Periods
are noncumulative.

2. Warranty excludes Consumables such as refrigerant, compressor oils, filters, belts and
other materials used by the service team.

3. Warranty covers the utilization of products under normal operating conditions as per
Petra’s Technical and Operation manuals.

4. Labor cost involved in removing the defective part(s) or installing new parts, when
applicable, is covered under our Standard Warranty. If needed, all expenses for
utilizing a crane will be paid for by the Customer

Warranty 5. Upon expiration of Labor Warranty, additional Parts and Compressor Warranty (if any)
shall cover defective parts that are verified by Petra’s service team and returned to
Petra’s nearest service center.

6. Unless otherwise pre-approved in writing by Petra, warranty shall be void when using
generators as a source of power.

7. Customer shall allow Petra’s Service Team to inspect the equipment at any time during
normal working hours. If Customer refuses to allow Petra’s representative to inspect
the equipment, warranty may be voided.

8. Customer shall maintain the equipment as per Petra’s standard Operation &
Maintenance Manuals. Reports and Logs shall be provided to Petra when requested.
Failure to do so may void the Manufacturer Warranty.

Operating the A/C unit using Generator will void the warranty
