Executive Summary

We are a premiere in the telecommunications and information technology industries that provides an
end-to-end business and technical solutions. Specifically, our company, PD&M Consulting and
Contracting Co. specializes on telecommunications, Internet and Information Technology, broadcasting,
and industrial, commercial, & military automation. We are a group of engineers and IT professionals
organized by our common interest of providing ICT (Information and Communications Technologies)
solutions, enabling services that would be integral to our customer’s business. The company was
established in August 2005, by three Filipino individuals with seasoned and diverse experience and
expertise in ICT. With its three (3) years of existence we currently have a workforce of 50 regular and
more than 200 project-based employees.

It has also established its own name in the industry, having accreditations by reputable telecoms and
leading vendor such as Ericsson, Huawei, ECI, Fujitsu, Ceragon, Alcatel-Lucent and has an
ongoing evaluation with Nokia Siemens Network. The company got continuous project
commitment with vendors for both local and foreign projects. With this, we had project
involvement with dollar denominated local and foreign projects in the telecoms industry which
on its humble means contributes to the nation’s economy.

As technology professionals and from the experienced we gained through the years, we have
inclinations on how the market transforms in the future. Here are some predictions on the
trends in ICT: In 2009, wireless technologies will continue to dominate having a 70% of the total
solutions provided, 30% will be for the wired technologies or fixed services. The % of the
technologies that are deployed in the market will reverse in the future, maybe 5 years from
now. It will be 70% for wired technologies and 30% for the fixed services. Integrated solutions
will dominate the market, and also with the stableness of wired solutions that will be readily
deployed from corporation, community, down to the household requirements.

With this development, our company which has the expertise of giving an end-to-end solution
and as system integrators in the ICT discipline, we think we are ready and prepared for these
future trends and requirements. As we continue to strive for innovation and excellence.

The company has been established in 2005 by three individuals with diverse expertise and
discipline in telecommunications, broadcasting, and industrial automation. Their combined
expertise aims to provide an end-to-end solution and services in the field of ICT (Information
and Communications Technology). It is a partnership and collaboration of telecommunications
and information technology professionals which is primarily established to engage in ICT total
solutions consulting and contracting having core strength on technology and service, enabling
telecommunications, ISP (Internet Service Provider), CATV and broadcasting, and military,
industrial and commercial automation.

Organizational Structure

This is the management operational functions of the organization. To be able to support the
financial activities of the company, an accountant and an admin assistant/accounting clerk
reports directly to the finance/HR director. In terms of the IT and engineering personnel, they
directly report to the project directors. Their duties and responsibilities are composed of optical
systems, wireless systems, OSP, data communications, microwave planning and special
projects. Each mentioned function corresponds to one department. A combined pool of
specialists and engineers do the implementation, operations and maintenance to support each
department.

Employment Structure for Filipino IT and Engineers

Normally, Filipino telecoms engineers and IT professionals choose to be employed abroad for a
better compensation. However, the current employment mechanism shows that these
professionals go through agencies in gaining employment with Telecoms equipment vendors or
Operators based abroad under short term contract; 3months for renewal only if needed. With
this, agencies which are mostly foreign get huge cut, the tenure of work is uncertain,
sponsorships/residency permits and the likes are not provided.

Our company aims to change this model by doing; as an organization; direct projects abroad
with the same prospects. Through a solid, highly trained and proactive management and
implementation team tried and proven with similar projects in the Philippines, compensation
free of agency cut, manageable tenure of work and continuous projects can be ascertained. Our
guiding principle is: “Helping others, Help Themselves”.

(Wireless LAN), WAN (Wide Area Network), email systems and applications, web design & development,
security, VoIP (Voice over IP), etc. In this sector, the company can directly communicate with customers
ranging from corporate, consumer, SME (Small Medium Enterprise), and also to individual requirements.
It was seen as a trend that all businesses needs presence online, and also employ Internet technologies
to increase organization’s productivity, efficiency, and long-term viability.

Industrial, Commercial, & Military Automation

Automation of business processes and value-chain activities are continuously implemented in


various industries. In this sector, our company PD&M can do the IT requirements of a business
ranging from newly constructed hotels, buildings, and other establishments. We can deliver and
implement projects such as structured cabling, PABX, Softswitch solutions, building
management systems, public address systems, security elements such as access control, burglar
alarms, intrusion detection system, fire detection and suppression system, and customized
systems and integrations. In this operation, PD&M normally do business directly with
customers. Majority of these customers are in the hotel, industrial, military, hospitals, etc.
businesses. Players who can do this service currently operating in the country are: PD & M
Consulting and Contracting Co., AVESCO, Guard All that focuses mainly on security, and Pilipinas
Multi-line. There is a great business potential in this area, since many existing and upcoming
establishment considers IT solutions particularly automation as an integral part of their
business to be able to compete with the growing demands and expectations of their target
market.

Internal Business Operations and Current Fund Sourcing Strategies

PD&M used to borrow from individual financiers; mostly former officemates; at an average
interest rate of 6.0% per month. Total “interest only” paid in 2008 amounts to P5.7M, P2.2M in
2007 and around P1M in 2005 and 2006. The total interest paid in nearly 4 years of operation is
around P8.9M which PD&M could have used in other projects with corresponding jobs created.
With this, the company wish to get out of the high interest monthly obligations thru the lower
interest rates offered in the news paper by Private Commercial Banks. The company’s dilemma
is that its Directors do not have big parcel of lands to use as guarantee in securing loans from
some private financial institutions aside from the issue that banks are not that really accessible
in loaning out working capital to SMEs. However, PD&M has appreciable collectibles from
completed projects in 2008 and good size of projects awarded and committed for the rest of
the year which can be a measure of the company’s capability to pay.

The projects in the telecoms industry in the Philippines and other developing countries are still
in progress. The Telecoms together with other utilities like Power and Water are in expansion
and upgrading mode in alignment to the influx of businesses coming from Europe and America.
This can be considered as good alternative in creating jobs for workers to be or already laid off

in the manufacturing and other affected industries due to the global crisis.

Here are some of the current scenarios being faced by the company:

 About 95% of previous and ongoing projects awarded by Huawei, Ericsson, Lucent,
Ceragon, Harris to PD&M are for telecoms companies like PLDT/Smart Communications,
Globe Telecoms, Digital/Sun Cellular, and Bayantel.

 Our performance in past projects gained the confidence of these clients and new
prospects to commit new and bigger projects this 2009. However, we are constrained to
accept these opportunities; especially the big ones; due to limited financial resources.

In relation to this, there is a potential downside to it, as these projects will be awarded to
financially capable foreign sub-contractors which will also mean a dollar opportunity lost to the
country. Jobs to be created by these foreign entities are designed to their business operational
convenience without long-term advantages and benefits to our Filipino engineers and skilled
workers. On the other hand, PD&M looks at these local projects as its leverage in creating jobs,
developing skills and creating a solid team in preparation for higher value, dollar generating
projects abroad which is one of the company’s objectives. Furthermore, the organization is
hoping to do direct projects with the same clients abroad. This direction hopes to initiate
protection to our OFWs in the field of Telecoms/IT from the hands of unfair practices of foreign
agents/head hunters and employers in terms of industry standard salary/compensations, work
conditions and tenure of service, etc.

With the above-mentioned factors, we are exploring financial partners to bank roll the
company’s ongoing and upcoming projects.

Actual Project Completed and Performance

PD&M has around 12 million pesos of collectibles from completed projects in 2008 but its collection is
expected to happen until the end of the 2nd quarter of 2009. In terms of future projects our company is
again awarded by Huawei Technologies Inc. a decent size of projects with Globe Telecoms and PLDT
which will massively start on the 2nd week of March 2009. Bigger projects in the succeeding phases are
expected at the start of the 3rd quarter of 2009. These new projects will again require additional
manpower and resources.

The Market

As the company provides end-to-end solutions in the ICT industry, we are looking at different
trends and market structures. Broadly, there are three major environments that we need to
consider: telecommunications, Internet and Information Technology, and industrial, commercial, &
military automation.

Telecommunication Service Sector

We have seen tremendous growth in the telecommunication service industry. Potential


business revenue drivers are continuously explored to offer compelling solutions that impacts
productivity, efficiency and effectiveness to organizations corporate operations. In line with the
consumer’s perspective, we experienced that these solutions provided becomes an integral
part of our day-to-day transactions. There are three main groups of actors playing on this field:

Customers (the end users), which are the telecommunications operators and the dominant
entities are PLDT group that includes Smart Communications, Globe Telecoms, and Digitel that
includes their wireless arm Sun Cellular. Other new competitors are coming in such as Bayan
Communications (Bayantel), and others that as of the moment do not want to be identified.

Equipment Vendors, in the telecommunications sector, these are the companies that provides
the necessary tools that enables the telecommunication operators to build their system and
network infrastructures from radio elements, transmission lines, operations & maintenance,
and solutions that facilitate applications, products and services. Major players that are
currently operating in the Philippines are Ericsson, Huawei, Nokia-Siemens (NSN), and Alcatel-
Lucent.

Contractors/Sub-contractors, wherein our company PD&M is operating, these companies are


the ones commissioned by Equipment Vendors to plan and design, install & implement,
optimize, and operate and manage the projects given by the telecommunication operators.
Most of the actors in this business are foreign-owned firms. Two major players, which are
Filipino owned companies, are our company, PD & M and INTEX. Foreign companies are: NESIC
(Japan), ETSI (Germany), ADACEL (Malaysia), UCE (Malaysia), Tele Design (USA), Soon Pooh
(Singapore), Century Way (China), and SKT (South Korea).

Here is the normal value-chain of business and operations in the telecommunication service
sector:
 A telecommunication operator; referred to as customer; expands its network coverage
reach by building new cellular sites. These players commission an equipment vendor to
provide and install its network facilities that will enable the project and deployment.
 An equipment vendor; referred to as main contractor; then assigns several sub-
contractors to do the project. These players evaluate the capability and capacity of sub-
contractors based on manpower, skills, management, and commitment to deliver the
scope on time, within a specified budget, and standard requirements. They are the ones
directly communicating with telecommunication operators and the sub-contractors.
 The sub-contractors that are awarded with the projects will then do planning & design,
install and commission, optimize, and do operations & maintenance based on the
agreed parameters and expectations of the customers, the telecommunication
operators.

Here are the estimated figures in terms of existing network and expansions based on the
projects given to the leading equipment vendors specifically Huawei. In 2008, the existing sites
of the major players in the Telco industry are: Smart Communications has about 6,000 cellular
sites, Globe Telecommunications has about 5,000 sites, and Sun Cellular has about 3,000 sites.
In 2009, based from the projects, Smart Communications is estimated to have additional 1,000
sites, Globe will have additional 1,000, Sun Cellular will have 2,000 sites, and other new
entrants in the mobile business will have 4,000 sites. Aside from Philippine projects, there are
potential foreign projects in Cambodia, New Zealand, Vietnam, etc. based from the projects
given to Huawei – as our company was also informed about. Additional 1,000 sites for Smart,
another 1,000 sites for Globe, and additional 2,000 sites for Sun Cellular are projected in 2010.

In the early days of digital mobile technologies such as GSM, GPRS, EDGE and 3G including
wireless data connectivity such as WIFI and WIMAX, Nokia Philippines was the major player,
having an estimated 45% of the market share covering mostly the European and Asian regions.
Ericsson on the other hand has about 40% of the market with the same coverage, while 15% is
with Alcatel; the remaining 5% are shared by minor players such as Lucent.

Several developments and mergers took place, new entrants to the market particularly Huawei
– re-structured the competitive arena. Currently the majority of the market share is covered by
Ericsson with about 40%. Huawei came very close next with 38%. This company started its
operation in 2003 only covering China; in 2005 it expanded its market reach to Malaysia,
Thailand, Russia (Ukraine), Brazil, Central America, New Zealand, and Philippines. Nokia
Philippines which merged with Siemens, their new group is called NSN (Nokia-Siemens
Network) still has about 20% of the market share. The main reason of the decreased in the
telecommunication pie of network expansion was their focus on their expertise, which are
Mobile Phones. Alcatel and Lucent also merged covering a minor share of about 10%.

With this market shares and projects, equipment vendors need several contractors
commissioned to complete the projects. Based from the previous network expansion projects
built and implemented, Filipino engineers are already considered as effective and equally
competitive with our foreign counterpart in terms of project completion and operation’s
sustainability, thus these vendors specifically Huawei hire Filipinos for their new projects here
in the local market and even outside the country. In addition, they found out that we have no
language barriers in any country, because of our fluency in communicating using English as the
medium.

Competitive Business Strategy

With the partners’ diverse exposures in the said fields concerning Design and Planning, Project
Management and Implementation, Operations and Maintenance, Applications Development
and Material Sourcing for Projects of various extents and complexities, it is expected that

of projects. It has been the operational capacity to handle additional projects that set us to

Business Opportunities and Requirements

The business opportunities based on the current demand for ICT solutions shows to be present
and within the area of the company’s expertise. For the telecommunication market alone, a
conservative estimate in Wireless Technology / Services 8,000 sites will be rolled-out in 2009,
and 4,000 sites for 2010. Assuming a cellular site project cost is five (5) million per base station
with all the value-chain of activities from planning & design that includes civil works, installation
& commissioning, optimization, and operations & maintenance, the estimated project cost
needed is PHP 40 billion for the year 2009, and PHP 20 billion for the year 2010. In addition,
there is the potential area and market of Internet and Information Technology sector and the
Industrial, Commercial, Military Automation wherein companies are all going to this direction.

based on the projects given to the major equipment vendors. With the current standing of our
company in terms of financial investment, there is limitation on the projects that we can
commit to be completed by next year. As much as we want to get those potential projects, we
are bound by our current operational capacity. Thus, we are seeking for investors that we can
work along with as the projects continuously come in.

The investment required depends on our commitment to equipment vendors on how many
telecommunication sites we can accommodate from site survey, network planning and
engineering, civil works, and BTS implementation and commissioning. In terms of our current
financial performance we can only do a limited project commitment and also sought financial
assistance to accommodate additional projects. Thus, we further seek investors to finance
additional projects alongside with the current capacity that we have.

Financing Proposal and Deal Structure

The company needs credit financers’ assistance to accommodate additional projects and make
a definite commitment to vendors that we can deliver. To explain further, we need a firm
commitment from credit financers to invest an amount of money for the year 2009 alone, for
the company to also commit that we can deliver additional awarded projects from vendors.
Enable to provide assurance to credit financers, his/her committed amount will is not required
to be given immediately. Instead, allocation of the committed amount will be spread within the
entire year based on the received P.O. (Purchase Order) from the vendors – which will be
transparent to the financer.

The awarded projects to PD & M depend on the committed operational capacity to equipment
vendor. This means that if we commit these numbers of projects, our company should be
capable of delivering it with the set quality standards and also complying with the timeline
agreed. The projects given to a contractor is within the period of one (1) year, as an example if
the vendor awards a project amounting to 100 million – these projects are given on a per
monthly basis (e.g. 20 million for January, 20 million for March, 20 million for June, 20 million
for September, and 20 million in December). Thus the committed amount by an investor will
use to fund project during the indicated example stages.

There are two modes of investment: (1) committed Investment Amount for the year, and (2)
per project basis. The same deal structure and ROI mechanisms will be applied, except that we
will prioritize those financers who committed for an amount for the year 2009. Unless,
additional project funding is needed, we just bank on the assistance of the first mode of
investment. Moreover, the financer’s commitment amount will be spread within the year and
will just be required if a Purchase Order (P.O.) is already given by the equipment vendor.

PD&M can commit acceptance of projects to be sub-contracted by the equipment vendors (or
the contractors) for certain amount depending on the commitment of an investor. The required
project funding is 60% of the P.O. amount awarded to the company.

 Example: Based on the awarded project by Huawei Technologies Inc. for March 2009
amounting to seven (7) million pesos, the needed investment will be PHP 4.2 million.
The needed investment from financier is the equivalent pre-computed OPEX (operating
expenses), the amount of expenses required to complete the project.

Note: the required credit financing amount is the average cost that will be allocated for the
project. + 60% is the amount of cost in a given P.O.
