Contract Agreement for Study and

Design of Water well drilling


1.1. TERMS OF CONTRACT
Definitions: - Client: Ethiopian Roads Authority
Contractor: RAMA Construction P.L.C.
Sub-Contractor: Alula Water Drilling Works
Place of work: -SNNP Regional State, along the route corridor between Turmi and Omo Town.

Scope of the work: The work consists of mobilization of geophysical equipment to the project
site; hydrogeological, geophysical, metrological and hydrological study of the proposed site;
hydrogeological and location maps of the project sites; conduct vertical electrical sounding test;
interpretation of geophysical data and report preparation.

Supervision of the works: The execution of the Works is to be supervised by the Contractor’s
appointed Supervisor, the contractor’s representative.

Duration of the work: Mobilization of geophysical equipment to the project site shall be 4
calendar days. Hydrogeological, geophysical, metrological and hydrological study of the
proposed site shall be 4 calendar days. Geophysical survey shall be 3 calendar days. Interpretation
of geophysical data and report preparation shall be 7 calendar days.

1.2. CONTRACT AMOUNT


The Contract amount is Birr 98,670.00 including VAT (attached as Schedule-3).

1.3. OBLIGATION OF THE CONTRACTOR


The Contractor shall: -
 Provide all pertinent data and information about the project site,
 Facilitate any issues related with work permit with ERA and entrances to the borehole
positions,
 Shall pay the Sub- Contractor in consideration of the execution and completion of the
work, the contract price at the times and in the manner detailed under Schedule-3.
1.4. OBLIGATION OF THE SUB- CONTRACTOR
The Sub-Contractor undertakes: -
 Start of the work within _____3_____ days from the date of the signing of the contract
agreement and receipt of advance payment,
 Discharge his obligation efficiently for the satisfactory completion of the work by using
the knowledge and skills the profession requires
 Accomplish the following detailed tasks.
i. Conduct site visits and gather information on the existing site.
ii. Mobilization of geophysical equipment to the project site.
iii. Hydrogeological, geophysical, metrological and hydrological study of the proposed
site.
iv. Hydrogeological and location maps of the project sites.
v. Conduct vertical electrical sounding test.
vi. Interpretation of geophysical data and report preparation.

1.5. MODE OF PAYMENT


Payment shall be made: -
 Advance payment 50% of the total payment (according to Schedule-3) will be paid upon
signing of this Contract Agreement,
 The remaining 50% of the total payment (according to Schedule-3) will be paid after
completion of the works and submission of the report.

1.6. BANK GUARANTEE FOR ADVANCE PAYMENT


In accordance with the contract agreement, Alula drilling works hereinafter called sub-contractor
shall deposit with Rama Construction Plc. a bank insurance guarantee to guarantee his proper
and faithful performance under the contract agreement.

1.7. TERMINATION OF THE SUB- CONTRACTOR


The Sub- Contractor may be terminated under one of the following grounds: -
 When the work is completed,
 When the two contracting parties agreed, for reasons beyond control (force majeure)
that makes it impossible for the contracting parties to discharge their obligations,
 When work progress delay is observed.
1.8. DISPUTES
All disputes in connection with the present contract shall be solved amicably; otherwise it will be
solved in accordance with the Ethiopian Laws.

1.9. GOVERNING LAW


The Contract shall be interpreted and governed by the laws and regulations of the Federal
Democratic Republic of Ethiopia. If discrepancy or inconsistency should be discovered between
the Contract and the laws and regulations of the Federal Republic of Ethiopia, the Sub-Contractor
shall immediately report the same in writing to the Contractor.
