Letter of Appointment
This has reference to your application for the post of “Human Resource Manager” and
subsequent interviews you had with us. We are pleased to offer you an appointment in our
company as “Human Resource Manager” or in such other capacity the management shall
from time to time determine. Please note that the employment terms contained in this letter
are subject to the Company’s policy.
1. APPOINTMENT
A. Date of Joining
Your date of appointment is effective from the date of joining. Therefore you are requested
to join the duty on 18th April 2016 and report to our Gurgaon office for joining.
B. Place of Posting
Your place of posting would be Our Corporate office: M – 1/20, DLF Phase II
Gurgaon 122002.
Our Registered Office: B-25, Sagar Apartments 6, Tilak Marg New Delhi -110025
However, the Company shall have the right at all times, in accordance with its
requirements and in its sole discretion, to transfer you to any other office of the
Company, whether within or outside India, whether presently in existence or
coming into existence in the future.
In view of the above, please note that you will be liable to be transferred in such
capacity as the company may time to time determine to any other location,
department, functions, establishment or branch of the Company or subsidiary,
associates or affiliate Company. In such case you will be governed by the terms and
conditions of service applicable to the new assignment.
C. Probation Period
You will be on probation for a period of Six months from the date of appointment,
during probation the notice period will be one month. If your services are found to
be satisfactory, your employment with the Company will be confirmed.
The Company, however, reserves the right to reduce/dispense with or extend the
period of your probation in its absolute discretion. Your appointment is temporary
at present and does not confer on you any right to regular employment with the
Company.
D. Job Description/Reporting
You shall perform the functions as assigned by the Company and you shall carry out
your duties faithfully and diligently.
You will report directly to your senior personnel appointed by the company time to
time.
The Company in its sole discretion from time to time as per its requirements may
change the scope/nature of your functions/duties.
2. COMPENSATION
Gross salary: Your gross salary will be Rs. 19,800 per month as detailed below:
(a) Benefits/Perks: In addition to the gross salary, you will be entitled to the
following benefits/perks, as admissible and applicable under the Company’s
rules, which are subject to modification in the future in the sole discretion of the
Company
(b) Bonus on the occasion of Diwali, based on your good performance and after
completion of a year of services.
(c) Increment: Grant of increments is not automatic and cannot be claimed by you
as a matter of night. Any increment in your salary will depend upon whether
your performance is found by the Company to be satisfactory, particularly in
terms of effectiveness, efficiency, regularity, punctuality and discipline.
Increments can also be accelerated in case of exceptionally good performance.
However, increments may be withheld, if the Company is not satisfied with your
performance.
3. Accommodation
The Company shall not provide you with any accommodation.
4. Leave
National & Festival holidays, are applicable even as per the Company’s policy, which
are in compliance with prevailing Statutory Rules and Regulations.
5. Termination
During the probationary period and any extension thereof, Company will have the
right to terminate you without giving any notice period. However, on confirmation,
the services can be terminated from either side by giving one-month of notice. The
Company Reserves the right to pay or recover salary in lieu of notice period.
Further, the Company may at its discretion relieve you from such date as it may
deem fit even prior to the expiry of the notice period. However, if the management
desires the employee to continue the employment during the notice period, the
employee shall do so.
You shall also be bound to provide the Company the above said notice on
resignation during which notice period you shall continue to perform the
functions/duties assigned to you in terms of this Letter of Appointment. The said
notice period will not be adjustable either against privilege leave or forfeiture of
salary.
It shall, however, be open to the Company to accept your resignation with effect
from any date earlier than the expiry of the aforesaid notice period. The Company
as such is fully authorized to relieve you at any time during the notice period and
you shall be entitled to your basic salary and allowances, in lieu of the remaining
period of notice.
However, if the exigencies of work are requiring, the Company, may not relieve you
earlier than the expiry of the entire period of notice.
You shall not create or cause such circumstances by way of malpractice or other
means or modes, which leave the company with no other option, except to
terminate your employment. In such an event, your said termination will bear all
those affect, impact incidence as if, you had resigned and consequently shall be
liable.
Notwithstanding the aforesaid, the Company shall have the right to terminate your
employment without notice or payment of salary in lieu thereof on the occurrence
of any of the following events:
a) You are committing a breach of any of your duties and responsibilities or any
other terms and conditions stated in this Letter of Appointment.
b) You being guilty of any gross default or misconduct or misrepresentation,
which contravenes the express or implied conditions of your employment.
c) Your termination will also depend on your targets (daily, weekly, monthly).
Notwithstanding the aforesaid, the Company shall have the right to terminate
your employment without notice period during probation period.
d) Your committing any breach of any of the terms of Clause 9 of this
appointment letter; or
e) Your remaining absent from work, without any reasonable explanation, for
more than three consecutive days, in which event it will be presumed that you
are Absconder and no longer interested in working for the Company and have
abandoned its employment.
You are aware that during the course of your employment with the Company you
will have access to confidential/proprietary information regarding the Company, its
clients, its business transactions, and associated companies. You shall not disclose
any Proprietary information to any person or entity other than employees of the
Company or use the same for any purpose (other than in the performance of your
duties as an employee of the Company) without prior written approval by an officer
of the Company, either during or after your employment with the Company, unless
and until such Proprietary information has become public knowledge without fault
by you.
All notes and memoranda pertaining to the Company’s trade secrets and
confidential/proprietary information made available to you or acquired by you
during the course of your employment shall at all times remain the property of the
Company. Upon termination of your employment, you shall return all the said
notes/memoranda and any copies thereof to the Company.
You agree that the promises you have made hereinabove are reasonable with
respect to their duration and geographical area. In the event of your actual or
threatened breach of the provisions of this clause, the Company shall have the
right to obtain injunctive relief and/or specific performance and to seek any
other remedy available to the Company under law.
a) You must carry your own bike and mobile phone from the date of joining. If not, the
company can terminate you without giving any notice period.
b) All the conversations regarding work should be done only by the official E-mail ID given
by the company. Violation of which may terminate you. Using of personnel E-mail ID for
work related conversations is strictly prohibited.
c) You should provide a contact number to the company which is always reachable. Also
you need to provide alternate contact number to the company.
d) You shall not engage in any other trade or profession or undertake any other
employment, full time or part time.
f) You shall carry out your duties with diligence and royalty at all times, keeping the
Company’s interest paramount.
g) You shall not, under any circumstances, either directly or indirectly, receive or accept
for your own or any third party’s benefit any commission, gift, rebate, discount or
profit, in any form whatsoever, from any person, company or firm having any business
transactions with the Company.
h) The terms and conditions of your employment shall be governed by and construed in
accordance with the laws of India, and any dispute in connection therewith shall be
submitted to the exclusive jurisdiction of the Courts in New Delhi.
i) This Letter of Appointment contains the entire understanding between the Company
and you and supersedes all previous agreements and/or arrangements, whether
written or oral, pertaining to the subject matter hereof. Any amendment or modification
to this Letter of Appointment shall be made in writing and be signed by both you and
the Company.
j) The terms and conditions of employment contained herein are strictly confidential and
shall be treated as privileged information between you and the Company and shall not
be disclosed to or discussed by you with anyone; and
9. Survival
Sections 6 and 7 of this Agreement shall survive termination of your employment.
Please note that the position to which you have been appointed
carries with it considerable responsibility and is integral to the
continued development and success of the company. We therefore,

successfully discharge the responsibilities/duties cast upon you.
