Declaration

EU Council regulation 267/2012 (as subsequently amended, cf. United Nations Security
Council Resolution UNSCR 2231 (2015)) and the Norwegian Export Control Regulation,
prohibits the transfer of certain items to Iran without an export license. Borregaard’s Vanisperse
is among the items requiring export license for transfer to an area, persons or entities
encompassed by the regulation. The Ministry of Foreign Affairs has indicated that Borregaard
will not have the necessary licence to export Vanisperse to Iran for the time being. As such, we
must strictly enforce our terms and conditions of sale to assure compliance with this resolutions
and relevant national law.Therefore, we have to ask you for your written acknowledgement of
your compliance to be able to offer Vanisperse for sale to your company.

Amendment
Buyer warrants that it purchases Vanisperse for the purpose of manufacturing or formulating
Buyer’s product, and that such products will not be used for military purposes (or in military
vehicles or equipment). Buyer neither will resell, redistribute nor repackage and resell or
redistribute, Vanisperse to any entity, whether government agency or private or public
enterprise, which the Buyer, after having carried out a diligent and careful examination, has
reason to suspect: (1) may be associated with or affected by the above mentioned regulations
and restrictions, or (2) may resell or redistribute Vanisperse in any way, directly or indirectly,
to any such person or entity, or for any military purpose. Buyer shall obtain the same warranty
in writing from any prospective customers before selling or redistributing Vanisperse.

Buyer agrees to hold Borregaard harmless for any loss suffered or costs incurred by Borregaard
as a consequence of any non-compliance of the said decisions and regulations by Buyer,
regarding Vanisperse.

This declaration is governed by Norwegian Law and Norwegian courts shall have sole
jurisdiction of any dispute or claim related to this declaration. This declaration supersedes and
replaced any prior declarations agreed and signed by Buyer concerning the resale of Vanisperse
concerning UNSCR 1737(2006).
