CLEARING & FORWARDING AGREEMENT

THIS AGREEMENT is made on the 16th February 2006


between BRIDGESTONE INDIA PRIVATE LIMITED, a Company
incorporated under the Companies Act, 1956 and having its
Registered Office at Plot No.12, Kheda Growth Center, Pithampur,
Post : Sagore, Dist. - Dhar 454774, Madhya Pradesh (hereinafter
referred to as “The Company”) of the ONE PART AND MESSRS
RADHAKRISHNA ENTERPRISES a ( proprietorship concern) having its
Principal Place of Business at, Shop No. S-34 to 37, S-40 to 43,
RIICO Shopping Centre, Nr. V.K.I.A Association Office, Road No. 1,
Vishwakarma Industrial Area, Jaipur (Rajasthan) (hereinafter referred
to as the “C&F Agent” which expression shall, unless it be repugnant
to the context or meaning thereof deem to include its existing and
future partners (Proprietor in case of Proprietorship Concern) and
their respective legal heirs and representatives, executors,
administrators and assigns) of the OTHER PART.

WHEREAS the Company is carrying on the business of manufacturing


and sale of automobile tyres, tubes, flaps and other accessories and
desires to set-up a selling center at JAIPUR AND JODHPUR to cater
State of Rajasthan.

AND WHEREAS the C&F Agent has approached the Company to act as the
Company’s Clearing & Forwarding Agent for the selling center at JAIPUR &
JODHPUR in State of Rajasthan which the Company has agreed to do on the
terms and conditions hereinafter mentioned.

NOW THIS AGREEMENT WITNESSETH AND IT IS HEREBY AGREED AND


DECLARED BETWEEN THE PARTIES HERETO AS FOLLOWS:

1. The C&F Agent shall act as the Company’s Clearing &


Forwarding Agent at JAIPUR AND JODHPUR to cater State of
Rajasthan for receiving, warehousing, safe storage and
dispatch of Company’s goods to various destinations, including
local and outstation deliveries for a period of 2 (Two) years
(unless otherwise terminated as provided in terms and
conditions hereinafter mentioned) effective from 16th of
February 2006 on the direction and control of the Company
& its representatives at its Branch Office at JAIPUR &
JODHPUR respectively.

2. The Company’s goods kept in the C&F Agent’s Warehouse,


though under C&F Agent’s custody, would remain the property
of the Company and the C&F Agent would be responsible for its
safety and security. The C&F Agent will not have any lien on
the Company’s goods in respect of any bills, or charges that
may remain outstanding for payment. The C&F Agent will
remain liable for any shortages, losses, misappropriation or
damages of the Company’s goods under his custody, arising
due to the negligence of the C&F or due to any other reason
whatsoever.

3. The C&F Agent will not create, in any manner whatsoever,


charges or lien on the goods received by them from the
Company or on the unserviceable goods received from the
Customers.
Warehousing requirement.

4. The C&F Agent shall provide a Warehouse of first class


construction measuring minimum 7000 sq. Ft. (inclusive of
4000 sq. Ft. for stocking) at JAIPUR & 2500 sq. Ft. (inclusive of
2300 sq. Ft. for stocking) at JODHPUR to store Company’s
goods within the area of the premises at JAIPUR & JODHPUR
respectively. The warehouse provided by the C&F should either
be of the ownership of the C&F or should have been/should be
taken on lease for a period of two years or for the period of
validity of this agreement whichever is later. The C&F should
not change the warehouse provided without the prior written
approval of the Company. Any dispute relating to the title of the
or lease of the premises in which C&F agency is carried on,
should immediately be brought to the notice of the Company.
Apart from said area C&F agent is also liable to provide
additional space of first class construction, as per the
requirement of the Company from time to time. The C&F Agent
will also ensure that no other material except the Company’s
goods will be stored in the said warehouse except prior written
approval of the Company. The Warehouse should be free from
dampness, water leakage and other elements which may
adversely affect the Company’s goods. Adequate fire
extinguishers, of the correct type, should be provided and it
should be considered as a first class risk from the point of view
of Fire Insurance. At least one fire extinguisher of 9 litre.
Water / Foam for every 300 sq ft. or part there of must be
installed. For each electrical panel/switch board two DCP
extinguisher of 5kg capacity or two CO2 extinguishers of 4.5 kg.
Capacity should be provided. All electrical panel / switchboard
should be easily approachable and electrical wiring should be
routed through proper conduits and there shall be no loose
wiring or joints in the electrical circuits. All fire extinguishers
must be kept in working condition all the time and competent
third party should be appointed for annual maintenance of the
fire extinguishers to check physical condition and contents.
Testing & refilling status along with expiry date must be
displayed on extinguisher. Escape routes should be clearly
marked on a fluorescent Board and list of the contact numbers
for emergency services should be displayed clearly at
prominent places. No inflammable material should be stored,
either in the C&F Agent’s Warehouse or any adjoining
Warehouse or in the open space immediately outside the
Warehouse within a perimeter of 20 yards. The C&F Agent
shall abide by conditions laid down by Insurance Companies /
Inspector of Explosives.

5. The C&F agent shall maintain proper 3S - Seiri (Arrangement),


Seiton (Neatness) & Seiso (Cleanliness) activities at his
Warehouse as per the guidelines separately issued by the
Company. Non-compliance of the guidelines issued by the
Company shall attract a penalty of Rs. 1000/- per “S” activity
per month.

C&F Activities and Payment terms

6. The C&F Agent would be responsible for the receipt of goods,


maintenance of warehouse, i.e. rent, municipal taxes, clerical
staff, labor, security staff, loading and unloading of goods,
clearing of consignment from Railways / Road Transport,
Bookings on Railways/Road Transport, collection of any
commercial documents (such as octroi passes, road permits,
etc.), providing Computer, Printer plus other peripherals of
Company’s configuration as per annexure II, & sufficient
number of racks of standard size for keeping all goods in racks,
communication with dealers including dispatch of Invoices or
any other communication to dealers by courier. The Company
would require two telephone lines dedicated to the Company’s
operations of which one will have a dedicated Fax Machine)
making deliveries, return of goods from dealer, undertaking for
collection of cheques and banking operations and adhering to
the reporting / documentation / monitoring systems of the
Company and any other job forming part of the C&F
operations. Manpower employed by C&F Agent should be
competent and experienced in their own field of responsibility.
Number of manpower required will be (a) One Manager (b) One
competent Computer Operator-cum-Accountant as per point 8
of Annexure II (c) One Billing Clerk (d) Two Drivers (e) One
Night Watchman (f) Two Helpers. In addition to this the C&F
Agent should maintain an e-mail facility in the C&F Agent’s
Warehouse so that communication can be made conveniently
through e-mail.

7. The C&F Agent will be paid an all-inclusive amount of fixed


commission per month for JAIPUR AND JODHPUR respectively
as fixed fees as per Annexure I, irrespective of sales made. In
addition, the C&F Agent will be paid variable commission as
per Annexure I on PSR (Passenger Car Radial Tyres) and TBS
(Truck & Bus Bias Tyres)/ LTS (Light Truck Bias tyres) on
value of sales per month based on the “Net Selling Price”. The
commission is to cover all the expenditure as mentioned in
Clause 6.

8. The ‘Net Selling Price’ is defined here as the gross amount of


Invoices for the accounting month less deductions for sales tax,
surcharge, octroi levy, discounts, allowances, sales returns and
refunds i.e. ex-Warehouse price.

9. The C&F Agent shall not be entitled to claim commission on


sales made by the Company directly to various Government
Accounts / Customers in the region where dispatches have
been made directly from Company’s Factories or Sales Offices
and on stock transferred to other Branches.

10. The C&F Agent will ensure that all operations related to the
Company are completed on the dates as per the calendar of
working days as supplied by the Company. In case of a
difference in the dates of holidays the same will be agreed upon
in writing before the start of the calendar year. C&F Agent shall
continue to perform the activities on all working days as per
Company’s requirement. The C&F will also co-operate if
required, by working on holidays. In situation beyond the
control of the C&F Agent like bandhs, strike or lockout at C&F
place, the C&F Agent will inform the Company in advance of
the same in writing stating clearly the reason why operations
would not be carried out on any particular day

11. Any request or order made by BSID sales person which is


illegal or against the company’s norms & policies, It is
obligatory on the part of the C&F Agent to immediately report
to Director (Sales & Marketing). A written approval is must
from Director (Sales & Marketing) for deviating from the
company’s policy. Any failure on part of C&F Agent to fulfill
this obligation will be considered as a violation of this
agreement.

12. The C&F agent shall make the delivery based on the order
given by BSID sales person; however he shall ensure that no
delivery of tyres is made without collection of the payment of an
amount equivalent to that of the Invoice for all local deliveries.

For any deviation from the above mentioned procedure, a prior


written sanction of Director – Finance must be obtained by the
C&F. The acknowledgement with date of the delivery of the
goods to the Dealer for all the dispatches must be obtained.

Receipt & Dispatch Requirements

13. The C&F Agent will receive, accept and properly store all goods
received at JAIPUR AND JODHPUR respectively from the
Company’s Factory / Office / Customers and dispatch
consignments of the Company’s goods to various destinations
as per the instructions of BSID sales staff.

14. The C&F agent shall ensure necessary arrangement for


receiving the goods at his Godown. He has to make proper
arrangement for labor & other facilities related to receipt of
material from the transporter. Any charges related to local
union of labor & unloading will be borne by C&F.
15. The C&F Agent will similarly clear transport and store at the
warehouse, unserviceable goods, which may be received from
customers. Such goods returned will be kept at specified place
and display of “GOODS NOT FOR SALE” to be prominently
written. The disposal instructions in respect of those will be
advised to the C&F Agent by the Company’s Officers from time
to time and the C&F Agent will act accordingly. The C&F Agent
will maintain proper records in respect of such goods
separately in a register.

16. The C&F Agent shall ensure the delivery of tyres within 24
hours of the preparation of the Invoice. He shall ensure that no
undelivered tyres are lying in the Warehouse after 24 hours of
the issue of invoice. A maximum period of 3 days can be
considered under special circumstances with the written
approval of General Manager – Sales. No commission will be
payable on sales return and for any undelivered/late delivered
tyres lying in the Warehouse if no permission has been taken.

17. The storage of goods / damaged goods / sales returns in the


warehouse will be done in line with instructions which the
company will issue from time to time so that there is no
damage to the Company’s goods.

18. Dispatches should be made by Road Transport / Railways as


the case may be as instructed by the Company and such
dispatches shall be made by the C&F Agent within the order
fulfillment period as specified by the Company, subject to
availability of booking. Consignment notes and other
documents should be forwarded to the Company’s Office as per
details which would be worked out and intimated to the C&F
Agent later or negotiated through Bankers as per the
Company’s instructions.
19. For up-country dispatches by road transport the Company
shall advise the C&F Agent the names of the authorized
Transport Carriers and the rates applicable for each
destination. In case the C&F Agent is required to arrange for
transport of goods by road to up-country stations, the company
will make reimbursement of freight charges to the C&F Agent
on the basis of rates agreed by the Company with the transport
carriers. In the event of Rail dispatches by goods train, the
C&F Agent will be reimbursed the actual Railway Freight on
the submission of the evidence of payment.

20. Dispatches of the Company’s goods will be made by the C&F


Agent as per the instructions and on behalf of the Company
and goods shall be booked showing the Company as the
‘Consignor’ and the consignee being ‘SELF’. However, the C&F
Agent will be responsible for the local cartage & the safety of
the goods from the Agent’s warehouse until booking is
completed at the Railway / Road transport booking office.
Railway / Road freight for up-country dispatches will be to the
Company’s account and separate bills should be submitted for
reimbursement of the same on a monthly basis as per
approved rates with supporting documents in the prescribed
format. To adhere to timely delivery and better service to the
customers, C&F Agent will make suitable arrangements and
the expense for maintenance of such arrangement will be on
C&F account.

21. The C&F Agent will be kept informed in writing of the credit
limit, name of Dealer’s banker, mode of collection from all the
Dealers, which are to be serviced by him in writing by the
Company. The Company will notify further new appointments
or any termination of dealers to the C&F Agent. All such
notices will be acknowledged by the C&F Agent and maintained
as records for the life of this Contract. All dispatches will be
based on the above-mentioned information and in accordance
with the Company policies and procedures for each of the
above-mentioned issues.

Records and documents


22.The C&F Agent will maintain proper records of inventory, updated
Stock register, Sales Register, claim register, collection register,
bank deposit slips, sales & stock transfer invoices (both inward and
outward), copy of lorry receipts ( inward and outward dispatches)
and all other records informed by the BSID from time to time. And
the same should be made available to BSID employee(s) for their
inspections/verifications whenever required. The C&F is also
responsible to keep/maintain records prescribed under the
provisions of Local Sales Tax Act/VAT/CST. The C&F Agent shall
also take the data back up of all the documents/files in a CD (read
only) at a periodical intervals as directed by BSID time to time and
a copy there of shall be forwarded to BSID HO. The C&F will have to
appoint person / persons who will be in a position to operate
Company’s software program (currently Branch Automation System,
[BAS] & Bridgestone All India Network (BrAIN) ) or such other
system introduced in future in the computer system and generate
reports as provided and required by the Company. The C&F Agent
will follow the working procedures as prescribed in the Company’s
C&F manual and TS 16949 standards.
The C&F agent shall give in writing and get the approval from BSID,
the names of persons who are authorized to sign invoices and all
relevant documents on behalf of the company. The C&F agent shall
fully indemnify BSID for the actions taken by such authorized
persons.

All documents and records maintained or to be maintained from


time to time shall be the property of BSID and therefore BSID
reserves the right to call for or to take in it’s custody all such
records/documents required by it. However, in the event of
termination of the C&F agreement, the C&F shall handover complete
records, files, and other documents to the authorized person of
BSID.
Collections & Banking operations
23.The C&F Agent will be responsible for collecting payments of the
sale proceeds in respect of goods sold by the C&F Agent, and the
same will be lodged immediately within hours/days/by the next
working days in the Company’s Bank account which is already in
operation at JAIPUR AND JODHPUR respectively. Under no
circumstances, shall any payment be held back by the C&F Agent or
any delay made in depositing of Cheque / Demand Draft in the
Company’s Bank account or with the Company office. In case of
failure to deposit or delay in depositing of Cheque / Demand Draft
with the Company or in the Company’s Bank Account wherever
instructed, the Company shall charge the C&F Agent interest @ 24%
per annum, for the period of delay on that amount.

24. Besides collection and deposit of instrument of sale proceeds,


the C&F Agent will liaison with the Bank and ensure that the
Bank follows the standing instructions given by Head Office for
transfer of funds either by T/T (Telegraphic Transfer) or by
Demand Draft or by EFT (Electronic Fund Transfer).

25. In respect of money received, the C&F Agent shall follow the
instructions given or to be given by BSID regarding Cash
Management System (CMS) The C&F shall maintain proper
records of collection.

Other Points

26. At the Warehouse where the Company’s goods are stored, the
C&F Agent shall arrange to maintain a proper notice board
with the following wordings:
“GOODS STORED IN THIS WAREHOUSE ARE THE PROPERTY
OF BRIDGESTONE INDIA PRIVATE LIMITED, REGISTERED
OFFICE: Plot No.12, Kheda Growth Center, Pithampur, Post
Sagore –454774, Dist. Dhar, Madhya Pradesh, India.

27. If any documents, papers orders or notices addressed to the


company are received by the C&F Agent, the same will be
forwarded to the Company promptly for necessary action and
the C&F Agent should not deal with the same in any manner
whatsoever unless otherwise instructed by the Company in
writing in this respect.

28. The C&F Agent shall not part with the Company’s privileged
information to any body without the prior written consent of
the Company.

29. The C&F Agent shall provide a Security Deposit equivalent to


the average stock / sales value at / from the warehouse and for
satisfactory performance of the terms and conditions of the
agreement as per Annexure-I. The C&F Agent will get interest
on his security deposit amount as per Annexure-I. The C&F
Agent undertakes to settle all genuine claims that may arise on
him / them for proper fulfillment of the contractual obligations
and other genuine claims towards any loss of goods/funds the
Company may suffer during the course of the operations
through the C&F Agent.

30. The C&F Agent is fully responsible for complying with the rules
and regulations as applicable to such Agency operations under
the local laws/state & Central laws such as Sales Tax, Octroi,
Excise, Licenses, Shops & Establishment Act, Labor
Department and others laws as Contract labour, Aboilition of
Child labour and other applicable laws are prevalent now
and /or such rules and regulations that may be enforced
during the operation of this agreement.
31. The C&F Agent will cooperate and facilitate all activities such
as Audit, Inspection or assistance in Legal Disputes to the
Company against third parties. The Company will duly inform
the C&F Agent in advance about the same so that the C&F
Agent has the necessary time to plan for the activities and also
he should support & assist to the internal audit team during
their surprise/general visits to the C&F.

32. The C&F Agent shall have no right to transfer or assign this
Agency Agreement or Commencement of Contract or benefits
arising under it to any person without the written consent of
the Company.

33. The Agreement shall remain valid for a period of 2 (Two) years
(unless otherwise terminated as provided in terms and
conditions hereinafter mentioned) from the date of agreement
and will be reviewed by the Company every year. It may be
further renewed at the option of the Company for period or
periods by issuing a renewal letter to C&F Agent. Any
modifications to this agreement will be made in writing with the
consent of both the parties and will be duly attested by both
the parties. This Agreement may be terminated by either party
during the agreement period by giving a clear notice of 2 (Two)
calendar months or compensation of 2 (Two) month’s fixed
commission (as mentioned in Annexure-I) and in the event of
the Company exercising the right, the C&F Agent shall not be
entitled to claim any additional compensation or damage from
the Company. On termination of the contract all stocks shall
be transferred to an alternate location as per the instructions
of the Company and within the specified time frame. The cost
of transferring and transporting the goods to the alternate
locations shall be borne by the C&F Agent / Company
depending on whose initiation the Agreement is terminated.

34. All disputes arising between the parties hereto as to the


construction, meaning or effect of this Agreement or any
article, clause or thing contained herein or the rights, duties,
liabilities and obligation of the parties hereto including
interpretation there of shall be referred to the sole arbitration of
the nominee of the Managing Director of the Company, whose
award shall be final and binding on both the parties. All such
arbitration proceedings shall be in accordance with and subject
to the provisions of the Arbitration and Conciliation Act, 1996
or any statutory modifications or re-enactment, thereof for the
time being in force. The venue of arbitration shall be at
Company’s Registered Office presently Kheda, Dist.: Dhar.
Presently, all legal related matters will be under the jurisdiction
of High Court of Madhya Pradesh at Indore.

Force Majeure

35. For the purposes of this contract, Force Majeure means an


event which is beyond the reasonable control of a party and
which makes either or both the parties performance of their
obligations under the contract impossible or so impractical as
to be considered impossible under the circumstances. Under
such circumstances the failure of the party to fulfill any of its
obligations under the contract shall not be considered to be a
breach of/default under this contract in so far as the affected
party (a) has taken all reasonable precautions, due care and
reasonable alternative measures in order to carry out the terms
and conditions of the contract, and (b) has informed the other
party as soon as possible about the occurrence of such an
event.

36. The agreement shall remain valid for 2 (two) years (unless
otherwise terminated as provided in terms and conditions
hereinafter mentioned) from the date of agreement and mean
while if the Company adds further goods in future to its
manufacturing range such as truck, bus, tractor, earth mover
tyres, the commission payable will be on slab basis and current
commission rate (as per Annexure-I ) will be altered accordingly
which will be notified to the C&F Agent later and will be
binding on the C&F Agent.
37.
a) No expenses other than Fixed commission, Variable
commission, (as per Clause 7), Secondary Freight (As per
Clause 18) and ISDN usage charges for BrAIN on actual is
payable to the C&F Agent.
b) The Insurance coverage for Fire, Earthquake damage,
Theft, and Burglary shall be taken by the Company
centrally for all locations from its Registered Office.
However the cost incurred in insurance coverage for theft,
and burglary will be on C&F agent’s account.

38. Your appointment is for JAIPUR AND JODHPUR along with to


cater it’s near by Suburban areas only. The Company reserves the
right to appoint any other C&F Agent or Distributor / Dealer at
your place or anywhere else in JAIPUR AND JODHPUR and
suburban area under C&F Agent’s operation. The discretion of the
Company regarding this will be absolute and final.

IN ACCEPTANCE OF ALL THE TERMS & CONDITIONS AS


AFOREMENTIONED IN CLAUSE 1 TO 38.
IN WITNESS WHERE OF THE PARTIES HAVE SIGNED THIS
AGREEMENT ON THIS.

Commission:
1) Fixed Commission
For Jaipur : Rs. 20,000/- (Rupees Twenty thousand only) per
Month as fixed fees, irrespective of sale made.
For Jodhpur : Rs. 10,000/- (Rupees Ten thousand only) per
Month as fixed fees, irrespective of sale made.

2) Variable Commission :(a) 1.25 % commission on PSR on value of sales


based On the Net Selling Price (defined in
Clause - 8).

(b) 1.00 % commission on TBS / LTS on value of


sales based on the Net Selling Price (defined in
Clause-8).
Security Deposit:
Amount : Rs. 10,00,000 (Rupees Ten Lakhs only).
Interest rate : 8 % Per Annum

Note: The aforesaid commission, security deposit and rate of interest


thereon are subject to change with the consent in writing of both parties to
the agreement.

based e-mail account as well as to access BrAIN System as an
alternative arrangement.
6. Standard E-Mail Account provided by BSID (i.e. cnf-
locationname@bridgestone.co.in, for example cnf-
northdelhi@bridgestone.co.in)
7. ISDN Dial up 64 KBPS BRI Line connection from local basic
telephone service provider
8. Personnel: One dedicated person to operate BrAIN system. He/She
should be a Graduate with skills to operate application systems.
He/She should possess good IQ to grasp the new concepts and good
communication skills to interact with BSID staff.
9. Connectivity Software: You are required to retain the CD containing
the Cisco Systems VPN Client Software & AS/400 Client Access
Software provided by BSID

Dial-up connectivity for accessing BrAIN System

You are required to take and maintain an ISDN Dial up 64 KBPS BRI
Line connection at your C&F for accessing BrAIN System as the primary
link, and maintain one Internet connection through Normal (PSTN)
Telephone line on a Windows XP/2000 machine as a backup or the
alternate solution to the ISDN line for accessing BrAIN System

The Company policy on the matter is :-

1.     ISDN Connection

The ISDN Connection would be in the name of C&F.


For initial payment:-

I. Registration Charges ( One-Time, Non-Refundable ) -


Company will bear
II. Security Deposit (One-Time, Refundable) - C&F will bear.
III. Installation Charges ( One-Time, Non-Refundable ) - C&F
will bear.

For recurring (monthly usage) payment:- Company will bear ISDN


usage charges incurred only for BrAIN access, and not for
Internet/any other communication. This line should be used
exclusively for BrAIN access, use of this ISDN line for Internet,
Voice calls or any other communication is strictly prohibited.

ISDN Terminal Adapter (Modem) – C&F’s are required to


purchased a Modem as recommended by MIS

NT1 - Network Termination Equipment – C&F’s are required to


purchased a NT1 as recommended by MIS

2. Normal (PSTN) connection

Reimbursement for using the Internet connection through Normal


(PSTN) Telephone line as a backup to ISDN line will be given for the
duration of connectivity, based on the log book maintained by you, in
which you will have to log date, time & duration which will be verified
& cross checked by MIS
