Exclusions:
1. Modules damages due to external impact will not be covered in this contract. Any
electrical fault in Module will be addressed and rectified.
2. Any statutory approval as required for government agency.
3. Security for the site.
4. Weeding and de-weeding at site.
5. Pest control.
6. Plant insurance after Installation and Commissioning.
7. Water for Modules cleaning.
8. Bore-well with submersible pump set.
9. Any civil and Structural work.
10. Water drainage
11. Internet Connectivity for Remote Monitoring of the plant.

Considerations for Technical Proposal:


1. We have considered cumulative Capacity of 4 MWp , in compliance to the State
Open Access Policy . The Capacity is however, subject to change in Detailed
Engineering Stage. Any change in site / change in number of sites / reductions in
capacity beyond 5 % shall lead to a revision in Project Cost.

2. We have considered fixed Tilt of Modules 15 degrees.

3. List of makes of equipment shall be as per our makes list attached. However, YSC
GREEN ENERGY Approved Equivalent makes may also be considered in event of
unavailability of proposed makes during execution stage.

4. The system capacity is based on the assumption that customer would provide us
clear shadow free SPV plant installation. If the trees or any shadow causing object

is present in the vicinity, customer will make arrangement of removal of the trees /
shadow causing objects during Project execution & O & M period (if applicable).

5. Customer shall neither cause nor permit any interference with the Solar Energy
Facility's optimal performance as a result of any activity on the Property or
otherwise in customer's control. Examples of such interference include, but are not
limited to, reduction of solar insolation and access to sunlight, release of effluents
on to the Solar Energy Facility, or excessive heating at the Site to the extent such
conditions were not already present.

6. Post bid, if there is any change in specifications and project configuration due to
Customer recommendations at post bid stage or after site visit, any additional
commercial implications due to same shall be borne by the Customer.

7. The customer shall ensure to maintain proper approach for smooth movement of
men and material to the roof / area of installation. Site Access in form of Road,
Ladder, stairs etc. shall be arranged by customer.

8. The Project is on Turnkey Design and Build Model. Any surplus material shall be
returned to YSC GREEN ENERGY after Project commissioning.

9. CEIG and Metering approval as per the prevailing state policy is considered in YSC
GREEN ENERGY Scope.

10. Notwithstanding any provisions of this Proposal, YSC GREEN ENERGY is not liable to
pay any liquidated damage charges or compensate in any manner for the delay
including but not limited to installation of Net Meter and getting any government
and statutory approvals as per the agreed scope (as stated above). YSC GREEN
ENERGY will make all efforts to obtain the approvals within the minimum possible
time from the competent authority.

11. Any delay in any government or statutory including but not limited to Metering
approval (as per agreed scope) from the competent authority does not entitle
customer to shut down the plant since the approval is beyond YSC GREEN ENERGY's
control. Customer shall be liable to pay the entire payment as mentioned in this
proposal for the solar power plant generating system.

12. Customer to provide documentation support to YSC GREEN ENERGY for the
approvals as per the agreed scope above including but not limited to updated CEIG
approved drawings of the plant as existing.

13. YSC GREEN ENERGY shall not be responsible for all the Liaoning charges with the
state DISCOM for the approvals as per the agreed scope. However, all statutory fees
as well as metering / approval hardware upgrade cost (as recommended by
DISCOM) shall be borne by the Customer.

14. Commissioning or Commissioned shall mean, in relation to solar power plant the
date on which solar power plant starts injecting power at the Delivery Point.

15. Deemed Commissioning shall be construed as Commissioning if solar power plant


has achieved mechanical completion and its Commissioning is not possible for the
lack of evacuation infrastructure or due to any other obligations of the customer
during construction period.

16. Delivery Point (s) shall mean the connection point (s) of the solar power plant to the
existing electrical system of the customer, which shall be the solar power plant's AC
distribution board, connected to customer's LT panel.

Exclusions:
Please note the following exclusions in our technical proposal

1. Operation & Maintenance. A separate order may be placed for O7M.


2. Computer, Internet connectivity and related hardware
3. Free power and Water for construction.
4. Water at a pressure of 6 bar on the site arrangement.
5. Land Leveling, Fending, Local Approvals from Gram Panchayat.
6. ROW (Right of Way)

3. Safety

4.1 Price for Design, Supply, Installation, Testing and commissioning

Taxes and Duties shall be applicable as per the central and state government
directive at the time of dispatch and installation and commissioning of the
plant.
Any imposition of octroi, BCD, Anti-dumping duties or any government
charges imposed on solar items will be a pass thru and will be borne by the
customer plus additional taxes on the imposed charges.

6. Commercial Terms and Conditions

Commercial Terms and Conditions


S.No. Term Contract Clause

Purchase Order A Single PO is to be placed for Turnkey EPC of solar Project as supply of
1 solar power Generation System.

➢ The price quoted in this Proposal is inclusive of design, manufacturing,


sourcing, testing, supply, installation & commissioning, as per the bill
of materials & ratings submitted by YSC GREEN ENERGY along with
the final offer. Any change in scope of work or addition to the bill of
materials and / or ratings or any variation, whatsoever, shall be
charged extra to Customer
2 Price ➢ The price quoted is CIF - site and is firm.
➢ The basic price is exclusive of O & M Charges (AMC / CMC charges)
➢ Any statutory variation in taxes and duties from the date of
submission of this proposal including change of rates for Solar PV
System and / or its parts / components / equipment's under GST ,
imposition of Antidumping Duty ( ADD ) and / or Safeguard Duty ( SDD
) and / or countervailing duty and / or Basic Custom Duty or any other
duties or taxes on imported modules , cells and / or any imported
equipment and / or any raw material or intermediate components of
imported equipment's by the Government of India / State
Government would be in customer's account and shall be payable by
the customer at applicable rate .

The foreign exchange rate considered as 1 US $ = (NR 74 and any changes

Customer. Foreign exchange rate shall be considered on the date of order

placement and payment of advance. Any change in the foreign exchange
rate due to extension of the project period not attributable to YSC GREEN
ENERGY or due to force majeure shall be payable by the customer.

4 Offer Validity The price quoted by YSC GREEN ENERGY Along with this Proposal is valid
for eleven (11 day from such communication to customer and thereafter
the same shall be subject to reconfirmation by YSC GREEN ENERGY.
a. Advance Amount of 10 % of the Total Contract Value to be paid by the
Customer along with the Purchase Order.
b. 88 % of the Total Contract Value to be paid by the Customer before
Dispatch of materials after intimation by YSC GREEN ENERGY on
readiness of material.
5 c. 2 % of the Total Contract Value to be paid by the customer within
Terms of seven ( 7 ) days of solar power plant commissioning as per the
Payment provisions of this proposal against submission of Bank Guarantee with
validity of XX months from date of commissioning in the Mutually
agreed format at the time of order placement .
d. O&M Charges (if applicable) to be paid on quarterly basis in a year by
the customer basis on the contract value mentioned in the proposal.

6 Taxies, Duties YSC GREEN ENERGY at its sole discretion shall have the liberty to raise
invoices from any location in India. All the applicable taxes, duties, levies
and Rates
and charges shall be payable by the customer at actual on the prevailing
rate.

7 Inclusion of Any additional item due to change in scope or due to change in building
or initial layout shall be changed extra and will be to customer account.
Excluded Items

The Customer shall ensure the accuracy of all information and / or data
to be supplied by the Customer and shall be responsible for acquiring and
providing legal and physical possession of the Site and access thereto ,
for preparation and maintenance of proper access roads to , and provide
8 Access and the right of way for , the site , and for providing possession of and access
permitted to all other areas reasonably required for the proper execution of the
construction work , including all requisite rights of way . Customer shall
ensure handing over of valid road permits (multiple numbers depending

on number of truck loads) to YSC GREEN ENERGY at least five (5) working
days prior to dispatch of any supplies.

The Customer must not interrupt the works, and / or shall abstain from
any act or omission of which it can reasonably be expected that it may
delay the works or make the works more difficult and or expensive for
9 Interruption in YSC GREEN ENERGY. Customer shall not unreasonably hold any
Work Engineering, approvals which will delay the project and make reasonable
efforts that all Engineering approvals shall be provided within 7 days of
submission of drawings.

YSC GREEN ENERGY shall complete the p project in 25 weeks from NTP
(i.e. Notice to Proceed shall PO placement, Advance Payment, Order
Acceptance by YSC GREEN ENERGY, Successful Site Handover,
10 Delivery and Engineering drawing and Document approval by customer whichever is
Handover later), or as mutually agreed between the parties in the Agreement.
Project shall be deemed to have been handed over to Customer by YSC
GREEN ENERGY, on commissioning of the solar power plant.

he Project shall be termed as commissioned when power will flow from

However, in case where YSC GREEN ENERGY has completed its
obligations as per the agreed scope of work mentioned in this Proposal,

Customer grid, then the Project shall be deemed as commissioned. YSC
GREEN ENERGY obligations under the Purchase order shall be deemed to
have completed in case of deemed commissioning.

The solar power plant carries FIVE (5) years limited warranty against any
manufacturing defects, as per existing warranty policy of YSC GREEN
ENERGY. Solar photovoltaic modules carry TEN (10) years manufacturing
defect and performance warranty against excess of 20 % degradation in
12 Warranty TWENTY - FIVE (25) years as per existing warranty policy of YSC GREEN
ENERGY. This warranty shall exclude the physical damages or the
damages to Modules & Equipment’s due to the Environmental factors in
the area of plant installation including from the industrial Establishment
in the plant vicinity.

On delivery of supplies to Customer's site in good condition, Customer


shall be responsible for safety & security of the materials till handing over
of the same to YSC GREEN ENERGY designated personnel for installation.
Customer shall resolve the disturbances at its premises and neighboring
13 Security and areas which will impact the project progress at its own risk & cost and for
Safety smooth execution of the project by YSC GREEN ENERGY. In such case,
Customer shall provide safety & security for the YSC GREEN ENERGY
designated personnel working at site. Any delay in execution or damage
of materials due to any disturbances at site shall be Attributable to and
compensated by Customer.

Civil and YSC GREEN ENERGY limits itself to providing structures for its module
mounting on ground mount. Any changes in design which are attributable

to Customer shall be charged extra.

Notwithstanding anything contained in this Proposal, its appendices, any


offer, or order to the contrary, with respect to all claims arising out of the
performance or non - performance of obligations under this Proposal or
resultant Agreement or purchase order (s), whether arising in contract,
tort, warranty, strict liability or otherwise, total liability of YSC GREEN
ENERGY shall not exceed beyond 5 % of the total contract value received
15 Limitation of from Customer. Notwithstanding anything contained anywhere else in
Liability this Proposal, or in the resultant Agreement, or anywhere else, in present
or in future, in no event shall YSC GREEN ENERGY be liable, whether in
contract, tort or otherwise, to the Customer for special, indirect or
consequential loss or damage (such as, not exclusively, loss of
production, loss of Reputation, loss of income, loss of profit, etc.).

It means the occurrence of any of the following events coming into effect
after date of submission of Original Proposal / bid, resulting into any
additional recurring / non - recurring expenditure by YSC GREEN ENERGY
or any adverse implications on the assured income, due to such changes
in law, to YSC GREEN ENERGY:
➢ The enactment, coming into effect, adoption, promulgation,
amendment, modification or repeal (without re - enactment or
consolidation) in India, of any Law, including rules and regulations
framed pursuant to such Law; including the charges which may be

16 Change in Law levied from time to time as notified with prospective or retrospective
effect or
➢ change in interpretation of any Law by competent court, tribunal or
Indian Government Instrumentality provided that such interpretation
is by a final authority for the relevant Law or
➢ the imposition of a requirement or change in requirement for
obtaining any approvals covenant, license which was not required
earlier for the Project / Power Station or its operation or
➢ in case of imported equipment / spares, any change in law or taxes &
duties occurring in India or in the jurisdiction from where the
equipment / spares / intermediate components is / are being
imported into India impacting YSC GREEN ENERGY or its suppliers or
➢ any change in law or regulation pertaining to interconnect stand
injection, etc.

Customer shall fully Indemnify and hold harmless YSC GREEN ENERGY and
its affiliates , associates , directors , employees and contractors from and
against , any and all losses , costs , damages , injuries , liabilities , claims
17 Indemnification and causes of action , including without limitation arising out of or
resulting from claims by third parties , acts , omissions or breach of any
of the Customer's affiliates , suppliers , employees , agents or contractors
in the performance of Customer's obligations under this Proposal or any
resultant Agreement or otherwise arising out of the solar power system
or its usage .

For the offered supplies and services, YSC GREEN ENERGY shall cover
insurance for marine - cum storage - cum - erection through appropriate
erection all risk policy for all offered items till commissioning. On
18 Insurance commissioning of the solar power plant, suitable asset insurance will
have to be arranged by Customer at its own cost since the asset is in the
name the customer

Force majeure shall mean any cause , existing or future , which is beyond
the reasonable control of YSC GREEN ENERGY including , but not limited
to , acts of God , storm , fire , floods , explosion , epidemics , quarantine ,
earthquake , strike , riot , lock out , embargo , interference by civil or
military authorities , acts , regulations or orders of any governmental
authority in their sovereign capacity , acts of war ( declared or undeclared
) including any acts of terrorism , and all other such acts of similar or
analogous nature ( where all such acts to be collectively referred to as "

Force Majeure " ) . YSC GREEN ENERGY shall not be liable for the failure
to perform any obligation in terms of this Proposal if and to such extent
such failure is caused by a Force Majeure, if none of such acts of Force
Majeure will relieve the Customer from meeting its payment obligations.

Upon such suspension, YSC GREEN ENERGY shall be entitled to be paid


the following amounts:
a) all the amounts payable for the works completed until the date of

b) the cost of materials which have been delivered to Customer, or of
which Contractor is liable to accept delivery;
c) any other cost or liability, including unamortized cost of materials,
which in the circumstances was reasonably incurred by YSC GREEN
ENERGY in the expectation of completion of the works.
d) demobilization costs of Contractor personnel and equipment; and
e) all other costs incurred by YSC GREEN ENERGY on account of
suspension of order on such other suppliers.

Both parties shall reserve the right to suspend the work in full or part by
a written notice in event of:
21 Suspension 1. Written notice by Customer or Project Manager.
2. Customer has failed to give material dispatch clearance or pay the
Contractor any sum due under the Contract within the specified
perjod .

3. Contractor is unable to carry out any of its obligations under the


Contract for any reason attributable to the Customer, including but
not limited to the Customer failure to provide possession of or access
to the Site or Govt. approvals.

If the Contractor's performance of its obligations is suspended or the rate


of progress is reduced for any of the reasons above then the Time for
Completion shall be extended in accordance and all additional costs or
expenses incurred by the Contractor as a result of such suspension shall
be paid by Customer in addition to the contract price.

Termination by Customer for Contractor Default: The Customer may


terminate the Contract forthwith in the following circumstances by giving
a notice of termination and its reasons therefor to the Contractor,

1. has abandoned or repudiated the Contract

2. if the Contractor becomes bankrupt or insolvent, has a receiving


order issued against it, compounds with its creditors, or, if the
Contractor is a corporation, a resolution is passed, or order is made
for its winding up

The Contractor shall be entitled to be paid the Contract Price


attributable to the Facilities executed as at the date of termination, the
value of any unused or partially used Plant and Equipment on the Site,
and the costs, if any, incurred in protecting the Facilities and in leaving
the Site in a clean and safe condition. Any sums due to the Employer
from the Contractor accruing prior to the date of termination shall be
22 Termination deducted from the amount to be paid to the Contractor under this
Contract.

Termination by Contractor on Customer Default: The Contractor may


terminate the Contract forthwith in the following circumstances by
giving a notice of termination and its reasons therefor to the Customer,

1. Customer has failed to pay the Contractor any sum due under the
Contract within the specified period, has failed to approve any
invoice
2. If the Customer becomes bankrupt or insolvent, has a receiving order
issued against it, compounds with its creditors, or, if the Customer is
a corporation, a resolution is passed, or order is made for its winding
up
3. the Contractor is unable to carry out any of its obligations under the
Contract for any reason attributable to the Customer, including but
not limited to the Customer's failure to provide possession of or
access to the site or other areas or failure to obtain any government
permit necessary for the execution or failed to give dispatch
clearance in specified period

If the Contract is terminated for the reasons above, the Customer shall
pay to the Contractor payments and reason - able compensation for all
loss or damage sustained by the Contractor arising out of, in connection
with or in consequence of such termination which includes but not
limited to:
1. Contract Price to the parts of Facilities executed by the contract as
on date of termination.
2. Cost of demobilization of Equipment's and contractors.
3. any amounts to be paid by the Contractor to its Subcontractors in
connection with the termination of any subcontracts, including any
cancellation charges

4. costs incurred by the Contractor in protecting the Facilities and


leaving the Site in a clean and safe condition.
5. the cost of satisfying all other obligations, commitments and claims
that the Contractor may in good faith have undertaken with third
parties in connection with the contract.

The Customer agrees and gives its irrevocable and unconditional consent
to YSC GREEN ENERGY to issue any press release or announcement
23 Publicity Right relating to this Proposal, or any resultant Agreement, or use the data
photographs, designs, etc. of the solar power plant for its publicity and /
or marketing activities or use the same for publication anywhere. YSC
GREEN ENERGY understands and agrees that no such usage shall be in a
manner defamatory to the Customer.

Any dispute, including claims seeking redress or asserting rights under


applicable law, shall, be resolved and finally settled in accordance with
the provisions of the Arbitration and Conciliation Act, 1996, as may be
24 Arbitration amended from time to time or its re - enactment. The arbitral tribunal
shall be composed of two arbitrators to be appointed by each of the
parties and the third arbitrator shall be appointed by the arbitrators
appointed by the parties and for such arbitration, the seat of arbitration
shall be in New Delhi, India. All proceedings of Arbitration shall be held in
English.

All questions concerning the construction, validity and interpretation of


this Proposal or any resultant Agreement will be governed by the laws of
India, and the courts at New Delhi, India shall have exclusive jurisdiction
25 Government Law with respect to any dispute that occurs hereof. No remedy described in
and Jurisdiction this Proposal or any resultant Agreement shall in any way limit the parties
' remedies available at law, in equity or otherwise in relation to any
breach or threatened breach of the terms and condition of the Proposal
by any defaulting party, and any party may seek a restrictive injunction
from an appropriate court of law to safeguard Its interests.
