STATEMENT OF MAIN TERMS OF EMPLOYMENT


This Statement forms part of your Terms and Conditions of Employment and sets out
particulars of the main terms on which UPI Education Limited t/a UPI, 16 Liffey St. Lower
North City, Dublin 1, D01 P0E0, Ireland.

Company.

PLACE OF WORK
Your normal place of work is at 16 Liffey St. Lower North City, Dublin 1. However, you may be required
to travel to and work at various locations and sites as dictated by the needs of the Company. You will not
be required to work outside the State.

PART TIME EMPLOYMENT


Your employment will be on a part-time basis in accordance with the working hours set out in the hours
of work section below. (The Company reserves the right to review the part-time position and may, at its
absolute discretion, require you to work on a full-time basis).

HOURS OF WORK
Your normal hours of work are 20 per week, on a flexible basis, hours will be assigned by your direct
Manager. You are required to arrive at the Company or venue at least 15 minutes before the start of your

with the Organisation of Working Time Act. You may be required to work additional hours when
authorised and as necessitated by the needs of the Company.

MINIMUM REST PERIODS


As part of your employment, and in accordance with the Organisation of Working Time Act, if you work
more than 4.5 hours you will be entitled to a 15 minute unpaid rest break each day. If you work for more
than six hours you will be entitled to a 30 minute unpaid rest break each day (which may be inclusive of the
previous 15 minute break). As part of your employment you will also be entitled to a daily rest period of 11
consecutive hours in a 24 hour period and a weekly rest period of 24 consecutive hours per seven days,
following a daily rest period. You are required to notify your Line Manager in writing, within one week, if
you did not or have not been able to avail of your rest breaks from work and setting out why you believe
you were unable to do so. Your Line Manager will seek to ensure you are afforded this as soon as possible.
Breaks over and above Minimum entitlements are specified in the ‘Hours of Work’ section.

REMUNERATION
Your start rate of pay is currently € 11.30 per hour payable on the final day of each month by credit transfer
as detailed on your pay statement. If this day is a public/bank holiday, Saturday, or Sunday you will be paid
on the last working day prior to this date. Your gross rate of pay will incur appropriate deductions for
PAYE and PRSI. In accordance with section 23 of the National Minimum Wage Act, 2000, you may request
a written statement of your average hourly rate of pay for any pay reference period falling within the
previous 12 months. For the purposes of the National Minimum Wage Act, the pay reference period is a
calendar month. Authorised additional hours worked will be given as time off in lieu and is at the discretion
of the Director.

NEW SALES REPS

Upon selling a minimum of 3 programmes, between ESL programmes, the contractor will receive a fixed
amount of €300. On exceeding selling the minimum of 12,000€ as listed above (tuition fees after discounts
applied), the commission grid below will be applied, it has to be noted that ELI Students renewing with
ELI will no generate a commission or count towards minimum revenue requirement for the agent regardless
of the number and Non ELI Student’s renewal courses won’t count either towards minimum revenue
requirement for the agent regardless of the number.

• Less than 12,000€: 2%


• From 12,001 to 15,999€: 3%
• Exceeding 16,000€: 4%

AS A STEADY MEMBER OF THE TEAM:

Upon selling a minimum of more than three sales the commission grid below will apply from the first sale.
The contractor will receive a fixed amount of €11,30/hour x 20 hs (€904.00) per month. If the minimum
is not achieved the contractor will cease to receive a fixed amount of €11,30/hour x 20 hs (€904.00) per
month. It has to be noted that ELI Students renewing with ELI will not generate a commission or count
towards minimum revenue requirement for the agent regardless of the number and Non ELI Student’s
renewal courses won’t count either towards minimum revenue or minimum sales requirement for the agent
regardless of the number.

• RN Commissions 1.5% (Over tuition fees)


• HE Education 2.5% (Once the commission is paid to the Agency)

ANNUAL HOLIDAYS
Your holiday year begins on 1st January and ends on 31st December each year. If you work for at least
1365 hours during the holiday year you will receive a paid holiday entitlement of four of your working
weeks during the complete holiday year. Alternatively you will receive a paid holiday entitlement of 8% of
the total hours worked in the leave year, subject to a maximum of four of your working weeks. You must
remain in employment with the Company for the complete holiday year to avail of the full entitlement.

For part years of service your entitlement will be calculated as 1/52nd of the annual entitlement for each
completed week of service during that holiday year.

Conditions relating to the taking of annual holidays are shown in the Employee Handbook to which you
should refer.

PUBLIC HOLIDAYS
In addition to the annual holiday entitlement you are allowed the following public/bank holidays each year
with pay or alternative days as decided by us:-

New Year's Day The first Monday in June


St Brigid’s Day The first Monday in August
St Patrick's Day The last Monday in October
Good Friday Christmas Day
Easter Monday St. Stephen’s Day
Early May Bank Holiday

For full time workers there is no service requirement in respect of benefits for Public Holiday entitlements,
for part time workers you must have worked 40 hours in the preceding five weeks to the Public Holiday to
benefit from the Public Holiday entitlement. If you are not required to work on one of the above days, and

it is a day you do not normally work, you will receive one fifth of your last normal weekly wage for that
day. In the event of you working on one of the above days, in addition to basic pay for the hours worked,
you will either be paid an additional days pay calculated on the basis of the number of hours worked on
your last working day before the Public Holiday.

JOB FLEXIBILITY
It is an express condition of employment that you are prepared, whenever necessary, to transfer to any
alternative departments or duties either on a temporary or permanent basis within our Company. This
flexibility is essential as the type and volume of work is always subject to change, and it allows us to operate
efficiently and gain maximum potential from our work force.

SICKNESS PAY AND CONDITIONS


There is currently no contractual sickness/injury payments scheme in addition to state benefit. Any
additional payments which may be made will be at our absolute discretion. However, the Company will
ensure that its obligations in relation to statutory sickness payments in line with legislation are met.

DISCIPLINARY RULES AND PROCEDURES


The disciplinary rules and procedures that apply to your employment are shown in the Employee Handbook
to which you should refer.

DISCIPLINARY APPEAL PROCEDURE


The disciplinary rules and procedures, which form part of the Terms and Conditions of Employment,
incorporate the right to lodge an appeal in respect of any disciplinary action taken against you. If you wish
to exercise this right, you should apply either verbally or in writing to your Line Manager, HR Officer, or a
nominated independent person within five working days of the decision you are complaining against.
Further information can be found in the Employee Handbook.

GRIEVANCE PROCEDURE
It is important that if you feel dissatisfied with any matter relating to your work you should have an
immediate means by which such a grievance can be aired and resolved. If you feel aggrieved at any such
matter during the course of your employment you should raise the grievance with your Line Manager, HR
Officer or a nominated independent person either verbally or in writing. Further information can be found
in the Employee Handbook.

BULLYING & HARASSMENT RULES AND PROCEDURES


The rules and procedures in relation to Bullying, Personal Harassment & Sexual Harassment applicable to
your employment are shown in the Employee Handbook to which you should refer. It is important that if
you feel displeased with any matter relating to your work or feel as though you are being subjected to
bullying and/or harassment you should refer this matter immediately to your Line Manager, HR Officer.

NOTICE OF TERMINATION TO BE GIVEN BY EMPLOYER


Under 13 weeks service - Nil.
13 weeks but less than 10 years’ service - 1 month.
10 years but less than 15 years’ service - 6 weeks.
15 years’ service or more - 8 weeks.

NOTICE OF TERMINATION TO BE GIVEN BY EMPLOYEE


Under 13 weeks service - Nil.
13 weeks service or more - 1 month.
We reserve the contractual right to give pay in lieu of all or any part of the above notice by either party.

PERSONAL RETIREMENT SAVINGS ACCOUNT (PRSA)


There is a personal retirement savings account (PRSA) scheme applicable to your employment, details of
which are available separately.

RETIREMENT AGE
The normal retirement age in our Organisation is in line with the State Pension Age.

SAFETY
We take our obligations regarding the safety, health, and welfare of our employees seriously and in this
regard your attention is drawn to our Safety Statement which is available on the premises.

MONETARY SHORTAGES
Any monetary shortages at the end of the day will be the responsibility of the individual on duty and must
be made good by that individual. Any such shortages may be deducted from pay. This is an express written
term of your terms and conditions of employment in compliance with current legislation.

DEDUCTIONS FROM PAY


I confirm that I have read, understood, and agree to the policies in relation to deductions from pay, and
agree that the Company may make deductions in line with the procedures set out and the Deductions from
Pay Agreement.

OWNERSHIP OF INTELLECTUAL PROPERTY


All intellectual property and related material, including any trade secrets, moral rights, leads information,
goodwill, relevant registrations or applications for registration, and rights in any patent, copyright,
trademark, trade dress, industrial design and trade name (the "Intellectual Property") that is developed or
produced under this Agreement, will be the sole property of the employer. The use of the Intellectual
Property by the employer will not be restricted in any manner.

The employee may not use the Intellectual Property for any purpose other than that contracted for in this
Agreement except with the written consent of the employer. The Contractor will be responsible for any
and all damages resulting from the unauthorized use of the Intellectual Property

AMENDMENTS TO TERMS AND CONDITIONS OF EMPLOYMENT


We reserve the right to make amendments to your terms and conditions of employment and will provide
you with 28 days’ notice of any change coming into effect, taking into account the requirements of the
Company.
