COMPROMISE AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This Agreement is being executed this ____ day of June 2018, by and
between:

CHERUB AUTODEALER, INC. (FOTON CALAMBA), herein represented


by JERSON G. MADRONA, hereinafter referred to as the “FIRST PARTY”;
-and-

EMMANUEL N. LAVARRO, hereinafter referred to as the “SECOND


PARTY”;

WITNESSETH:

WHEREAS, the FIRST PARTY is the private complainant in People of


the Philippines vs. Emmanuel N. Lavarro, under criminal case no: 62667-18,
under MTCC Branch 2 in Calamba City, while the SECOND PARTY is the
accused therein;

WHEREAS, FIRST PARTY is duly represented by Jerson G. Madrona


by virtue of a Secretary’s Certificate herein attached as Annex A;

WHEREAS, both PARTIES desire to put an end to litigation of the


abovementioned case;

NOW THEREFORE, the PARTIES, assisted by their respective


undersigned counsels, upon signing of this Agreement, hereby undertake and
mutually agree as follows:

1. The SECOND PARTY shall pay the FIRST PARTY the amount of
Fifty Eight Thousand Pesos (Php58,000.00) in CASH in order to
settle the civil aspect of the case against him.

2. The payment of Php 58,000.00 will consist of:

a. The cash bond for the accused in this case amounting to


Twelve Thousand Pesos (Php 12,000.00) which will be
surrendered to the First Party immediately after such is
released by the Court;

b. The amount of Ten Thousand Pesos cash (Php 10,000.00),


which will be paid immediately upon the execution of this
agreement;

c. The remainder, in the amount of Thirty Six Thousand Pesos
(Php 36,000.00) which shall be payable in seven (7) monthly
installments of Five Thousand Pesos (Php 5,000.00) for the
first six (6) months and Six Thousand Pesos (Php 6,000.00) on
the last month. The payments will be through Post Dated
Checks.

3. Each Party hereby severally represents and warrants that this


Agreement has been duly authorized, executed, and delivered by
each Party and constitutes that it is legal, valid, and binding
obligation, enforceable against them in accordance with its terms.
Each Party has voluntarily executed this Agreement with the
assistance of their respective counsels and with full knowledge and
understanding of the terms and conditions thereof and its legal
consequential effects.

4. Upon (i)execution of this Agreement and (ii) payment of the initial


payment in cash to FIRST PARTY as agreed upon in paragraphs 1
and 2 hereof, FIRST PARTY shall execute an Affidavit of Desistance
for the provisional dismissal of the above-mentioned cases and the
Affidavit of Desistance shall be immediately filed with the Municipal
Trial Court in Cities, Branch 2 of Calamba City for the latter’s
information and immediate dismissal of the above-entitled case
provisionally, subject to the completion of the conditions herein.

5. Thereupon full compliance herewith, PARTIES thereby mutually,


freely and voluntarily release one another, from any and all manner
of action and causes of action whatsoever in law or equity, which
they had, now have, or may have against each other arising from the
same incident and causes of action.

IN WITNESS WHEREOF, the parties have mutually agreed to the above


stated stipulations and sign this Compromise Agreement this ____ day of June
2018.
