This annual maintenance agreement is between ALSHAMIL IT and a client for the period from January 2023 to January 2024. ALSHAMIL IT will provide ongoing software, hardware, and systems support and maintenance to the client. 1. Duration of AMC
a) The contract shall be in force for the period from JANUARY 2023 to JANUARY 2024 and shall
cover all those items as specified in the Annexure to this agreement. That the prices as
specified in this Agreement shall not be subject to any escalation. The Annual Maintenance
Contract may be further extended with the mutual consent of both the parties. (CLIENT and
CONTRACTOR)
b) The mutually agreed charges of the AMC will firm & final for the whole period of the
contract.

2. Procedure for Rendering service


a) In case of any malfunctioning or breakdown, rendering services under an Annual
Maintenance Contract (AMC) will provide ongoing support, maintenance, and updates for a
client's software, hardware, or any other systems.

3. Response time
a) Response time to reach on site shall be 3-4 hours during office hours 9 to 5 , Monday to
Friday and 4-6 hours in off hours & holidays.

4. Payment
a) AMC charges after deducting penalty will be paid quarterly at the end of Quarter. Taxes shall
be paid as applicable. Taxes to be clearly shown in invoices raised.
b) No advance payment will be released against the service order.
c) The Service Provider shall submit GST invoices for payment of quarterly maintenance
charges.
d) Consolidated complaint reports furnishing the details of branch-wise breakdown calls
lodged/attended must be submitted for release of quarterly payment. e) Quarterly
Preventive Maintenance Report must be submitted for release of quarterly payment.

5. Termination Clause:
a) Either party may terminate this contract with [Specify notice period] written notice if the
other party breaches any material term.

6. Confidentiality:
a) Both parties agree to keep confidential any proprietary or sensitive information disclosed
during the course of this contract.

7. Client Responsibilities:
a) The client shall provide necessary access, cooperation, and information for [Your Company
