Earnest Money Deposit: As per annexure table for participating at

our e- Auction, the intending bidders shall pay refundable Earnest
MoneyDeposit (EMD) as mentioned herein above in favour of “A One
Salasa Pvt. Ltd.” payable at “Mumbai”.All lot EMD Rs 145000/-
EMD should be deposited one day before the auction date. In no case, it will
be accepted beyond 12 PM on the Auction Date.
Earnest Money Deposit
(EMD) Registration form duly filled is must and TIN & PAN registration copies
must be enclosed.
EMD of unsuccessful participants will be sent back within three working
days after completion of auction through courier/Registered Post at
bidder’s risk to the address given by the registration form.
EMD shall bear no interest. After getting confirmation from Seller, EMDs of
successful bidders will be retained by auctioneer as security deposit or
could be transferred to Seller.
Security Deposit will be refunded by the Seller, only after successful
completion of lifting and it shall bear no interest.
Additional Lots and/ or
Revised Quantity Updated Quantity, if any, will be declared before starting of e-Auction. Please
check for updates regularly on website.

GSTAs Applicable under the relevant Act will be charged extra at the
Rate,Taxes and Duties time of delivery and the rate offered shall be exclusive of all taxes.
Manner of payment shall be as mentioned in special terms &
conditions.
Start Bid and Increment Will be displayed at the time of auction.
 Qty indicated is approx. .and may vary and all the lots are to be sold on
Quantity ground clearance basis(+/- 10% of quantity mentioned in catalogue)

Result Declaration Lots will be sold on “Subject to Confirmation and Special Terms &
conditions as mentioned hereunder” basis; the purchaser will be
intimatedby email by the Seller for the confirmation or rejection of
lot, as the case may be.

Result “Subject to Confirmation by the Seller” will be declared within 7

(Seven) working days from the date of auction.

 Loading & Transportation will be in buyer’s scope.

Delivery  Lifting to be done as per terms mentioned below in annexture.

1) In case of failure of the purchaser to comply with the conditions, Seller

may at its discretion, terminate the contract and the EMD paid by the
bidder/ purchaser will stand forfeited for the breach of contract by the
purchaser. The lot in question will be re-sold by the Seller without any
reference to the defaulting purchaser, to any other interested buyer at
his risk.
The lots paid for must be completely removed at the Purchaser’s
Forfeiture of expense within the specified scheduled period.
EarnestMoneyDeposit If any lot is not removed within this specified period, the Seller mayre-
sell / re-auctionthe said lot or portion thereof at the purchaser's risk
and expense.
2) EMD Deposit will stand forfeited in the event of the purchaser not
removing the lots within the specified time period.
3) In case of failure to lift the sold lot, A One Salasar Pvt Ltd and
ULTRATECH CEMENT LTD .at its sole discretion may debar the
bidder/purchaser for all future auctions of all other companies and
associates of Jindal Poly Films Ltd. Seller’s decision will be final in this
regard if there is breach of condition from buyer side and seller has fulfilled
his terms till then.
 Instructions to e-Auction participants
1. Bidders are requested to fill up the Registration Form Completely and attach the same with EMD, without
which EMD will be returned back/ not considered. Unregistered (new) buyers will be required to register
with A One Salasar, after paying registration fee/charges as applicable.
2. All those who have registered online and wish to participate in the auction, should send their Earnest Money
Deposit (EMD) by RTGS/DD favoring A One Salasar Pvt. Ltd” payable at “Mumbai” along with details
in the Registration Form, Copies of GST & PAN registration copies and Profile Form attached here with
through courier or personally and obtain necessary receipt for the same. Please do not mention your
Password in your letter. EMD must reach the Auctioneer’saddress as mentioned in cover page.
3. Forms received thereafter or on the day of e-Auction for becoming Registered Participants will be
rejected out rightly and such bidders will not be allowed to participate at the Live-Auction andtheir
DD will be returned to them through Courier at his/their risks. Hence, in your own interest, you are
requested to complete all the formalities to become Registered Participant in advance and well in time.
4. Please Note the DD against EMD must be received by us/seller in one day inadvance along with
Registration Form and Profile Form attached herewith on or before date and time mentioned
above. The Auctioneers / Seller is not liable for the delay or late receipt of DD whether sent
through Courier or Post.
5. Please do not reveal / pass your User ID and Password to any other person/s. It is your personal property
and we will not be responsible for any leakage or misuse or illegal use of your User ID and Password.
Nevertheless, you will be held personally liable to the Seller and the Auctioneers for any misuse or illegal
use of your User ID and password by other person/s and any successful transaction online by such un
authorized person due to your negligence will be considered as your own transaction and you will be
required to fulfill the contract as per terms and conditions of the sale.
6. ULTRATECH CEMENT LTD reserves the right to modify and amend the terms & conditions and
announce the same at any time before the auction concludes. Announcements during the auction on the
website including announcement of any additional conditions OR correction in the catalogue and/or
additions or deletions of items being offered for sale are being done with the consent and knowledge of the
ULTRATECH CEMENT LTD , and it is binding on the bidder.
7. Participation and bidding in this Auction shall be treated as conclusive evidence of the fact that the bidder
has inspected the Auction Property and the documents pertaining to it and is satisfied in all respects
regarding quantity, quality, condition of the Auction property, taxes and duties, and other extraneous factors
and the Principle of Caveat Emptor (let the buyer beware) will apply. It shall also imply that the bidder has
carefully gone through and understood the terms and conditions of Auction including the amendments if
any, prevailing at the time of Auction. Seller/AOSPL will not entertain any complaints or objections once Bid
is placed.
8. AOSPL takes no responsibility of the quality, quantity, documentation details of buyers/sellers. Both the
buyers &sellers agree to defend indemnity and hold harmless. AOSPL from any loss, damage, costand
expenses caused by any reason during this transaction. In no event shall AOSPL be liable for any loss
for the transactors by business, revenues, profit, costs direct and incidental, consequential or punitive
damages of any claim. Both the parties agree to have discussed all the related matter regarding this
transaction and have understood in full that AOSPL has provided a source of supply and has nothing
to do any further especially with regards to quality, warranty, guarantees, delivery schedules, payments,
rejections, transportation, legal laws and regulations to be followed from time to time etc. Since AOSPL
does not possess knowledge base of the commodities under transaction both the parties agree that the
matter contained in the materials as a part or as a whole does not violate any applicable law. A One Salasar
Pvt Limited is only an e-commerce service provider, and is not and cannot be a party to or control in any
manner any transactions between the Seller and Bidder.
9. The Seller/Bidder agrees to limit the liability of AOSPL to them for any and all claims, losses, costs, damages
of any nature whatsoever or claims expenses from any cause or causes, including attorney’s fees and costs,
so that the total aggregate liability of A One Salasar Pvt Limited to the Seller/Bidder shall not exceed its
total fee receivable from the Seller/Bidder. It is intended that this limitation apply to any and all liability or
cause of action however alleged or arising, unless otherwise prohibited by law.

10. Seller/Auctioneer does not give warranty or guarantee of the quality, quantity, measurement, condition
Chemical composition of each individual item/s or lot/s that form the auction property and about its “End
Use” or fitness for a particular purpose. Wherever images of the auction property are displayed,
Bidders may note that AOSPL does not represent or warrant that the images are accurate, complete,
reliable, current or error-free event though care has been taken to present them. These are only indicative
in nature; hence bidders are advised to physically inspect the auction property before placing bids. Sale is
on “AS IS WHERE IS BASIS “and “NO COMPLAINT BASIS“.
11. The highest bidder does not get any right to demand acceptance of his offer. ULTRATECH CEMENT LTD
reserves the right to accept/ reject/ cancel any bid, withdraw any portion of the Auction Property at any
stage from Auction even after acceptance of bid/ issue of delivery order or release order/ deposit of full
value by successful bidder without assigning any reason thereof. In the event of such rejection/
cancellation/ withdrawal, ULTRATECH CEMENT LTD , shall refund the value of Auction Property, if paid
for, to the successful bidder. ULTRATECH CEMENT LTD shall not be responsible for any damages/loss
whatsoever to the successful bidder on account of such withdrawal.
12. In the event of failure on the part of the successful bidder to fulfill his contractual obligations, seller /
AOSPL reserves the right to debar such bidder from participating in any future auction conducted by
AOSPL on behalf of seller.
13. The prospective bidder has to register with the AOSPL.
14. On payment of EMD, and on satisfying the pre-qualification norms as may be fixed from time to time by
Ultratech Cement Ltd ., AOSPL will activate the User Identity to enter into Websitewww.salasarauction.com
15. Bidders SHOULD NOT disclose their PASSWORD to anyone and safeguard its secrecy. Bidders are
advised to change the Password.
16. Time Extension: If any market-leading bid (bid higher than the highest at the point intime) is received
within the last 5 minutes (“Time Extension” as mentioned in the Bidding Room will be in force & 5 Minutes
is an example) of closing time, the time will be extended automatically by 5 minutes but such extensions
are subject to maximum of 30 minutes from scheduled time.
17. Training: AOSPL will provide training (online) if required by the bidders at a mutually convenient date
and time before the Auction.
18. Bids: All bids placed are legally valid bids and are to be considered as bids from the bidder himself. Once
the bid is placed, the Bidders cannot reduce or withdraw the bid for whatever reason. If done so, the
ULTRATECH CEMENT LTD will forfeit the EMD. The highest and the latest bid on the Auction shall
supersede all the previous bids of the bidder. Bidders may please note that in the event of a manual
bid amount matching that of an auto bid, the manual bid will prevail and be considered. The bidder with
the highest offer/ bid does not get any right to demand acceptance of his Bid

19. Auto Bid: -

a. Auto Bid facility is provided for bidders intending to place a maximum value for a lot/lots.
b. Auto bid is not a confirmed bid. It is only the maximum ceiling amount set by the bidder to
enable the auction engine to place bids on his behalf, whenever he is out bided, up to theceiling
set by him.
c. Once auto bid is set, the e-auction site will consider the ceiling amount for the next possible
Bid only, depending on the highest bid prevailing at that point of time and the increment amount
prescribed for that particular lot.
20. Bidders may please note that in the event of a manual bid amount matching that of auto bid, the manual
bid will prevail and be considered.
 GENERAL CONDITIONS OF SALE

Definitions: “Seller/ Company” means “Ultratech Cement Ltd .”

“Auctioneer” means “A One Salasar Pvt. Ltd.“
“Buyer/Purchaser” means “The Successful Bidder” to whom of Sale order is issued.

1. The Company reserves the right to accept or reject the highest offer and all or any offer without
disclosing any reason thereof.

2. FULL PAYMENT & DELIVERY: As details above and as follows:

a. Materials must be removed (after making full payment with GST and TCS, if any) on or before due date,
failing which penalty for delay in collection / balance payment (As given below) of the terms and conditions
of the sale will be applicable.
b. In the event of the failure of the Buyer to pay the sale value of Lot mentioned in clause for Full payment&
delivery (As above), the contract will automatically stand terminated and the EMD/SD will stand forfeited
for the breach of contract by the Buyer. The lot in question shall be resold by the Company without any
further reference to the Buyer.
c. Sale Value to be paid within prescribed time by RTGS/DD to the respective Unit directly.
d. Cash Deposit is not allowed. For cash deposits if any there will be a penalty of Rs.5000/-+GST.
e. EMD Refund Request received before 12PM will only be considered for refund on the same day. Request
received after 12PM will be processed next day for refund.

3. Description of Materials and Quality and Quantity

a. The materials shall be disposed off in “AS-IS-WHERE-IS & NO COMPLAINT” AND “WET, DRY OR
RUSTY”conditions. Only material mentioned in the catalogue/bid sheet shall be delivered. Inside&
outside attachment shall be removed from the nearest point, unless otherwise mentioned.
b. Numbers, quantities or tonnage or nature of materials given in the catalogue are approximate and the
materials will be sold without any regard or consideration of these numbers/ tonnage or nature of materials
and no Warranty or guarantee shall be implied. The quantity of material may vary considerably, that is, it
may be much more than the approximate quantity indicated in the catalogue or much less. The Buyer must
lift the quantity mentioned in sale order.
c. Descriptiongiveninourenclosedlistisinbrief.Offersbythebidderswillbedeemedtohavebeenmade on the clear
understanding that intending bidder / bidders have satisfied themselves fully in regards to the nature,
condition, quality of goods upon in inspection or otherwise. No error, omission or mis-statement or mis-
description whatsoever and howsoever made or published whether in advertisement or list or otherwise and
no defects or faults in the goods shall invalidate the contract or be subject matter of any claim on the part
of the bidder whether in compensation or otherwise howsoever nor will anysuch claim be entertained by
the sellers.
d. While removing the material if any item is found to be useful seller will take out the same.

4. Removal of Materials:
a. It will be successful Buyer’s responsibility to weigh the empty truck at the Seller weigh bridge and produce
the necessary weight certificates of that the weight of the empty truck will be deducted from theweight of
the fully loaded truck.
b. All the consignments must be weighed/ measured even if they are sold on lot basis for Seller’s record.
c. Should the original Buyer wish to take delivery of the scrap material through a representative, he must
authorize the latter by a letter of authority or continuing authority which shall be presented to the officer
concerned. Maybe the officer concerned in his entire discretion decline to act on any such authority and it
ought to be for the Buyer to satisfy the officer concerned that the authority is genuine. Delivery to such
person shall be sole responsibility of the Buyer & no claim shall lie against the Seller on any account
whatsoever, if delivery is offered to a wrong person.
d. The Seller reserves the right to unload the vehicles for inspection purpose. If it is suspected at any time that
the Buyer has loaded the material / materials for which he is not Buyer or if the Buyer is found to carry
excess material than that mentioned in the documents, the Co. will be within its right to detain the truck,
unload the goods at the cost & expenses of the Buyer & terminate the contract forthwith and forfeit the sale
value & claim such further losses and damages that may be caused to the Seller.
 e. It shall be the responsibility of the Buyer to see that he or his servants or agents collect and load only that
quality and kind of scrap that is covered by the contract and in the event of his servants or agents finding
any other quality of or kind or scrap mixed with the scrap allotted to him he should forthwith bringit to the
notice of the yard master and lift scrap only after segregation.
f. Oxy-cutting/cutting may be considered on specific request depending upon the merit of the case, at the sole
discretion of the Seller. Necessary cutting tools/equipment/consumables should be arranged by the Buyer
at his own cost. However, Ultratech Cement Ltd shall allow cutting with proper security vigilance on case
to case basis. None of the material/lot partially or fully be allowed for burning/burial under the groundwithin
the Ultratech Cement Ltd Premises. If buyer is found doing so will be considered as breach of contractand
his EMD will be forfeited with closure of contract.
g. During the course of the removal of the scrap material if any damage is caused to the Seller's premises,
installations or instruments, the buyer will be entirely held responsible to make good such losses. Till such
period, the damage is repaired or compensated to the Seller, no delivery of any lot/s purchased by the said
bidder will be allowed.
h. Lots sold on Accumulated / Arranged basis at the tender must be removed by the Buyer on or before
scheduled period as mentioned hereinabove or in Auctioneer website.
i. Loading / Unloading will be carried out by the Buyer at his own costs & risk. All tools and tackles, Labor,
Forklifts, Crane etc. will be arranged by the Buyers at their own cost. Non availability of the same will not
be considered as a ground for 'Late-Lifting' of the materials. Ground rent for delay would be charged @
1% per week of the total sale value and will be recovered from EMD.

5. Decision in case of disputes:

a. In case of any dispute regarding the contract , the decision of the Seller shall be final and binding. If there
is any dispute as to the last or highest bid or dispute in identifying the item belonging to particular lot, the
dispute shall be determined by the Seller and their decision shall be final and binding to all.
b. Only the appropriate Court in Vellore will have Jurisdiction to deal with any disputes arising out of this
contract. Dispute settlement related to the process of Auction would have to be done with AOSPL.
c. In case of any dispute arising out of or relating to the terms of this contract the matter shall be referredto
one Arbitrator appointed by Seller. The arbitrator so appointed shall act in accordance with the provision
of Arbitration & Conciliation Act, 1996 and the venue of arbitration shall be Seller’s Office or as suggested
by the Seller.

6. Right of Acceptance / Rejection of offer:

a. The Seller reserves the right to withdraw wholly or partially any or all the items set for sale at any time during
the period of contract without assigning any reasons.
b. The Auctioneer / Seller also reserve the right to accept any bid on "Subject To Confirmation” & the Seller‟
final decision will be informed to the Auctioneer after getting approval from the management.
c. The goods are sold subject to the reserve price fixed by the Seller. The Seller is not bound to accept the
highest offer. The Seller reserves the right to reject any CONDITIONAL offers.
7. Termination of Contract: The Seller reserves the right to terminate the contract at any time by giving three
days notice on the following ground.
a. Unsatisfactory execution or performance of the contract by the Buyer.
b. For improper behavior of the Buyer or breach of the terms and conditions of the contract.
c. Decision of the Seller to terminate the contract shall be final and binding and no claim for damages and
compensation shall lie. Provided always that in the event of the Buyer or his agent or servant committing
or attempting to commit theft, fraud, dishonesty or gross misbehavior in connection with the subject matter
of this contract or in any other -connection whatsoever concerning the business of the Seller, theSeller will
be entitled to terminate the contract - forthwith and forfeit the Security Deposit at its sole discretion.

8. Passing of Property In the goods: It is expressly made clear that the property in the goods whether sold by
units, weights or lots, whether arranged or otherwise, will remain that of the Seller and will pass on to the Buyer
only when material is taken out by the Buyer from the factory Premises after getting valid dispatch documents.
9. Other Terms and Conditions:
a. GST, TCS or any other taxes as applicable under the relevant Act will be charged extra at the rate
prevailing at the time of delivery and the rate offered shall be exclusive of all taxes. The rates
mentionedin the catalogue are only indicative for the guidance of the bidders.
b. Customers for which CST is applicable will have to submit "C" Form at the time of lifting of material,
otherwise full sales tax will be applicable.
c. Contractors shall be fully responsible for safety of his workers & equipment and materials/ equipment
of ULTRATECH CEMENT LTD under his custody and shall abide by safety rules prescribed by the
Govt./company.
d. Contractor has to strictly follow Safety/Security/Traffic and statutory rules and be governed by the
rules & regulations under the factories act, WCP act & other statutory clauses.
e. The Contractor shall provide all safety gadgets/ equipment to his workers before putting them on
job and shall also ensure that his workmen make use of the safety items while at work.
f. Charges towards any damage of the ULTRATECH CEMENT LTD equipment / material caused due
to mis-handling by contractor’s workers shall be deducted from Contractor’s bill after assessment by
ULTRATECH CEMENT LTD Scrap committee. The assessments of ULTRATECH CEMENT LTD
Scrap committee shall be final & binding on the Contractor.
g. RULES AND REGULATIONS: The contractors hall follow all the rules and regulations under contract
Labor Act, Factories Act, Industrial Dispute Act, Payment of Bonus Act, PF Act, ESI Act, Gratuity Act,
Maternity act, All India Motor Vehicle Act 1988, Rajasthan Motor Vehicle Rules 1951,as amended up
todate and other laws in force during the currency of Contract.
h. All buyers should report for lifting the material with labor's insurance and / or ESI, safety shoes,
Helmets & other PPE like hand gloves etc as per requirements
i. All trucks, handcarts, carrying such materials outside ULTRATECH CEMENT LTD premises are
subject to inspection by ULTRATECH CEMENT LTD Security Department at the gate. If required, the
buyer will have to unload the vehicleif Security Officer Demands for a surprise check.
j. Any person employed or engaged by the buyer for the purpose of the execution of the contract shall
be required to observe the rules and regulations that are prevailing in our Company. The movement
of his persons shall be restricted only to the place of work assigned to them. Each person engaged by
thebuyer shall be required to obtain a Pass from our Security Department for entering and leavingour
Factory premises. All the labour engaged by the buyer shall be subjected to inspection by our Security
Dept.
k. All notices, letters sent to the Buyer shall be deemed to have been received by him/them on expiry
of48 hours from the time of posting if the same are sent at the address given by the Buyer.
l. Any person employed or engaged by the buyer for the purpose of the execution of the contract shall
be required to observe the rules and regulations that are prevailing in our Company. The movement
of his persons shall be restricted only to the place of work assigned to them. Each person engaged by
the buyer shall be required to obtain a Pass from our Security Department for entering and leaving our
Factory premises. All the labour engaged by the buyer shall be subjected to inspection by our Security
Dept.
m. All notices, letters sent to the Buyer shall be deemed to have been received by him/them on expiry
of48 hours from the time of posting if the same are sent at the address given by the Buyer.
n. If any person/s bid at the auction on behalf of the undisclosed principal, he/they shall immediately after
the bid at the time of payment of EMD, disclose the name of his /their principal who is the actualBuyer
and the receipt for the earnest money and/or Security Deposit would be issued in the name of the
principal.
o. Resale will not be recognized and release order will be made out in the name of actual successful
Buyers only.
p. The Buyer shall not be entitled to resell any lot or part of a lot while the goods are still lying within the
premises of the Company and no delivery would be affected by the Company to any person other
than the Buyer whose names are mentioned in the delivery order.
q. All Buyers of the lots before collecting purchased materials from inside the works should contact
the Company'sauthorizedofficertogetthemfullyacquaintedwithsafetyrulesandregulations.Buyerswill
beallowedtostartcollectingmaterialsonlywhentheyhaveconfirmedinwritingthattheyareagreeable to
follow the various safety rules and plant regulations.
r. The Company will in no way be responsible for any accident, damage or injury to the contractor's
workmen or equipment, even though he should follow all safety norms implemented in the company
which are mandatory.
 s. If the successful Buyer at any stage either neglects or refuses or is unable to take delivery of the
materials for any reasons whatsoever or the performance of the Buyer is unsatisfactory, the Company
will have the right to terminate the contract, enforce forfeiture of Buyer's EMD/security deposit and
claim such further losses and damages that may be caused to the Company to determine and declare
at its sole discretion.
t. In the event of the Buyer failing to remove the materials and to pay price thereof, the Co. shall be free
to sell the goods to any person or persons and to recover from the original Buyer the amount by which
materials actually sold, falls short of the price agreed by the original Buyer. This does not in any way
effect the right of the Company to forfeit EMD as provided herein.
u. The successful Buyer is also required to sign an agreement to complete the sale according to the
conditionshereofandsubscribehissignaturetotheBid-sheetagainstthelotorlotsknockeddowntohim.
In the event of the Buyer failing to sign the agreement or Bid-sheet the goods may, if the
Auctioneers / Company think fit, be put up for sale again immediately and resold on account and
at the risk of the defaulting Buyer who shall be responsible for the deficit, if any, in the price and
such deficit shall be debt due from the defaulting Buyer, but he shall not be entitled to any increase
arising from such resale.
v. Special Conditions of sale or Additional Conditions of sale, if any, will be announced at the time of
auction.
w.Inspection of scrap items within specified period is must for participants, because they can
understand the possibility of loading, disposal procedures, safety rules, gate pass system and other
terms & conditioned.
x. Wearing safety shoe is must while inspection.

10. Force Majeure: Seller shall not be liable for any failure or delay in performance on our part due to any cause
beyond our control including fires, floods, and strikes, go slow lockouts, closure, dislocation of normal working
condition, war riots epidemics, civil commotion, break-down of machineries and shortage of labors etc.

catalog for Sale including the disclaimer clauses and understood them fully. I/We, hereby unconditionally

2. I/We further declare that I/We intend to purchase the auctioned material from seller for our own use/business
and that the information revealed by me/us in this acceptance form is true and correct to the best of my/our
belief. I/We understand and agree that if any of the statement/information revealed by me/usis found to be
incorrect and/or untrue, the bid/s submitted by me/us is liable to be cancelled and in such case the EMD/
Earnest Money Deposit paid by me/us is liable to be forfeited by the seller and the seller will be at liberty
to annul the offer made tome/us at any point of time.

and any other monies paid by me/us along with the tender and thereafter, are liable to be forfeited by the
seller and that the seller has also aright to proceed against me/us for specific performance of the contract,
if so desired by the seller.
4. The decisions taken by representative so seller shall be binding on me.
5. I/We also undertake to abide by the additional conditions if announced during the auction including the
announcement of correction in catalogue and/or additions or deletions of items being offered for sale.
6. I note with due care that the SCSPL shall be making the announcements of correction with the consent
and knowledge of the seller and AOSPL shall not be liable for the last-minute changes.
