BRIEF Assignment 2
1. The final grade for each member in a group will be calculated as stated below:
Fail (F) F F F F
INDIVIDUAL
Pass (P) F P P P
Merit (M) F P M M
Distinction (D) F P M D
If the Group report gains P or M or D, the final individual grade of each member may be or P or M
or D, or even gets failed (F), depends on his/her performance during the Individual assessment, but
cannot exceed the highest score of the Group Report grade;
If the Group report gets F, the final individual grade of each member in a group is Fail (F) for all
criteria, despite the fact that (i) the members of a group perform excellently and are able to get P/M/D
for the Individual assessment or (ii) the Group report even gains P for some of these criteria.
Each member of a group has to study the whole content of the Assignment 2. The tutor will make questions
regarding the whole contents of the group report Time for each member’s test is about 10-20 minutes at
maximum. Questions during the individual assessment include the contents of the Report and the key
knowledge of some main legal theories of the Lectures.
Some key knowledge should be questioned during the individual assessment as follows:
1. Validity of contract
2. Form of contract;
3. Distinguish different Alternative dispute resolutions (ADR)
4. Distinguish condition and warranty;
5. Distinguish Contract for service and employment contract;
6. Understanding of anti-discrimination in employment
7. Termination of employment contract
8. Some main duties of employers;
9. Role of Trade unions;
10. Different types of company; and understanding of legal personality
11. Role of shareholders and understanding of limited liability
12. Different types of shares;
13. Duties of Directors;
14. Dissolution of company
3. The format of the Report and submission
Format:
Group must use font Calibri size 12, set number of the pages and use multiple line spacing at 1.5.
Margins must be: left: 1.25 cm; right: 1 cm; top: 1 cm and bottom: 1 cm.
Group should use in text references and a list of all cited sources at the end of the essay by applying
Harvard referencing style.
The recommended word limit is 2000-2500 words (+/-10%), excluding the tables, graphs, diagrams,
appendixes and references. You will not be penalized for exceeding the total word limit.
The cover page of the report has to be the Assignment front sheet 2 (to be attached with this
assignment brief).
Submission:
Group are compulsory to submit the assignment in due date and in a way requested by the Tutor.
Remember to convert the word file into PDF file before the submission on CMS.
Notes:
The individual Assignment must be a Group’s own work, and not be copied by or from another
students or another group.
If the group uses ideas, quotes or data (such as diagrams) from books, journals or other sources,
group must reference your sources, using the Harvard style.
Make sure that group understand and follow the guidelines to avoid plagiarism. Failure to comply
this requirement will result in a failed assignment.

Vocational scenario
Organization and Role
You are working as legal expert at the international investment fund, Dragon Capital Fund. This year , your
company’s business plan is to invest in the UK and a new market, Vietnam.
This time, you are assigned to make a research about how companies in Vietnam obey the contract law, labor
law and company law by finding out several scandal/ legal troubles/ disputes relate to contract law,
employment law and company law and how to resolve them.
- Business contract
- Employment issue.
- Company issue.
Those three legal issues might happen in various different companies or in one company.

Your task is to make a report of what you have conducted for the research in the following themes:
1. Introduce the purpose and main contents of the report from the perspective stated in the Scenario.
2. Use specific examples, illustrate how company, employment and contract law has a potential impact
upon business. Specifically, describe in the followings:
(i) One (01) real contract with an assumption of legal trouble or a factual legal trouble;
(iii) One (01) factual legal trouble of company aspect. And, figure out the analysis of the effects of
those legal troubles upon the business.
3. Analyse the potential impact on business through differentiation between legislation, regulations and
standards as follows:
(ii) Explain how the Law: Law, Decree, Circular, Decision etc. regulate this internal regulation of the
company.
(iii) Make a conclusion of the legality of this internal regulation of the company.
4. Explore how different types of business organisations are legally formed. Present different types of
organizations/companies as after:
5. Analyse the advantages and disadvantages of the formation of different types of business organisations.
Goods examples or data are provided to support the analysis.
Point out which type of business organization is the most popular in Vietnam or in other localized
country (for foreign students) and critical analyse the reasons why this type of business organization is so
popular with good examples, evidences or data.

appropriate recommendations to legal solutions:
Explain the advantages and disadvantages of various ways/ methods to obtain these legal solutions (ways
to resolve the dispute): Alternative Dispute Resolution (ADR), civil litigation procedures (court),
tribunals, the role of unions, or citizens Advice.
The advantages and disadvantages are explained with respect to: time saving; procedure; economic
aspect; confidentiality; remaining relationship; should be taken to assess the effectiveness.
9. Recommend legal solutions for resolving a range of disputes, using examples to demonstrate how a party
might obtain legal advice and support.
The legal solutions and the ways to obtain the legal solutions are proposed to settle down the disputes or
the scandals of contract law, labor law and company law which are pointed out in Question 2. To be
specific:
(i) The legal solutions with regard to resolving the substantial issues of the disputes: compensation,
liquidated damages ; discharge the contract, dismiss the CEO, etc.; and
(ii) The ways/ methods to obtain these legal solutions (ways to resolve the dispute): Alternative
Dispute Resolution (ADR), civil litigation procedures (court), tribunals, the role of unions, or
citizens Advice.
10. Critically evaluate the effectiveness of legal solutions, legal advice and support for dispute resolution.
Evaluate that which way to obtain legal solutions are applied most popularly in Vietnam or in the other
localized country (for foreign students). Provide good examples or data to support for your opinion.
11. Conclude to summarize all the key findings and analysis must be presented.
