Retail Associates
We are pleased to present you with the 2021 US Retail Store Incentive Program that has
been designed to reward you for exceeding the sales plan established for your store. The
following is an outline of the program:

Program Details
1. Your store must achieve target for your monthly sales goal. There is also the potential for a
stretch which will allow you to earn a percent share of the incremental sales above target.
The payment table is listed below:

2. POS sales, ADAS sales/fulfilment, Ship from Store, BOPIS and GNC Delivers count toward
the sale plan.

3. Payments will be calculated and paid monthly.

4. Payments will be made by the last pay of the following month or sooner if administratively
practical to do so as judged by GNC.

5. New Hires that are hired into an eligible position on or before the 15th of the month will be
pro-rated based upon the amount of time you are in an eligible position during the month.

6. New Hires that are hired into an eligible position after the 15th of the month will be eligible
beginning the first of the month following their date of hire.

7. If you transfer from one store to another within a month, you will be paid a pro-rated portion
from the new and old store.

8. If you are promoted or demoted in a month and meet the eligibility requirements, you will be
paid a prorated portion of the eligible bonus based on time in each position.

9. Full-time associates must work an average of 37 hours per week during the relevant month.
Part-time associates must work an average of greater than 15 hours per week during the
relevant month. Part-time Assistant Store Managers will be paid in accordance with the
Sales Associate payout group based on hours worked. You must meet the minimum hours
worked to be eligible during a given calendar month, as noted in the 2021 Monthly Hours
Requirement document available on the Scoop.

10. If you do not meet your hours minimum solely because you were on a legally protected
leave of absence, you may qualify to for a pro-rated (reduced) incentive based on the hours
you actually worked during the month as a percentage of your hours minimum.

11. If there is more than one Store Manager at a location, only the manager of record, identified
by the District Manager, is eligible for Store Manager payout. The non-Manager of Record
will be eligible for payout in accordance with the Sales Associate payout group based on
hours worked.

12. The Company reserves the right to amend or terminate this plan at any time.

Performance period: The time period during which the performance is being measured for
purposes of this plan is monthly.

Criteria for earning an award: Awards under this plan are not earned or payable unless/until
all terms of the plan have been met, including the following:

1. Associate must be active and in an eligible position through the last day of the month
under evaluation. Employment to the date of payment is not required.
2. Associate must not have received a written counseling or performance improvement
plan in the month under evaluation.
3. Associate must properly and timely enter all time worked in the time recording
system. Associates are responsible for ensuring that their time records are accurate and
that any required corrections are made in a timely manner.

Not a contract for a term of employment: This plan and the awards to be paid through it do
not constitute a contract for employment for any specific or defined term. All eligible employees
are employed by the Company on an at-will basis absent a specific contract stating otherwise
and signed by the Company’s CEO or other authorized officer.

It is our expectation that you will maximize your incentive potential this year by increasing your
stores’ sales potential.
