**Loan Restructuring Agreement**

This Loan Restructuring Agreement ("Agreement") is made and entered into as of [Date], by and between:

**[Lender Name]**, a corporation organized and existing under the laws of the Republic of the Philippines, with its principal office
located at [Lender Address] (hereinafter referred to as the "Lender"); and

**[Borrower Name]**, a corporation organized and existing under the laws of the Republic of the Philippines, with its principal office
located at [Borrower Address] (hereinafter referred to as the "Borrower").

**Background:**

1. **Original Loan:** Borrower and Lender entered into a loan agreement dated [Original Loan Date], whereby Lender extended a
loan in the amount of [Original Loan Amount] to Borrower.

2. **Default:** Borrower has defaulted on the repayment obligations under the Original Loan Agreement.

3. **Restructuring Proposal:** Borrower has proposed a restructuring of the Original Loan Agreement, and Lender has agreed to
restructure the loan subject to the terms and conditions set forth herein.

**Agreement:**

1. **Loan Amount:** The outstanding balance of the loan as of the date of this Agreement is [Outstanding Loan Amount].

2. **Restructured Loan Terms:** The parties agree to restructure the loan as follows:
- **New Loan Amount:** [New Loan Amount]
- **Repayment Period:** [Repayment Period]
- **Interest Rate:** [Interest Rate]

3. **Repayment Schedule:** Borrower agrees to make payments in accordance with the repayment schedule attached hereto as Annex

5. **Prepayment:** Borrower shall have the right to prepay the loan, in whole or in part, at any time without penalty.

6. **Default and Remedies:** In the event of default by Borrower under this Agreement, Lender shall have all rights and remedies
available under applicable law and the Original Loan Agreement.

7. **Governing Law:** This Agreement shall be governed by and construed in accordance with the laws of the Republic of the
Philippines.

8. **Entire Agreement:** This Agreement constitutes the entire agreement between the parties with respect to the subject matter
hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to such subject
matter.
