Subject: SolarPro Partner Acknowledgement

Dear Sir,

We are pleased to confirm Mr XXX , is an accredited SolarPro Sale Partner (SP) for SolarSquare Energy
(SSE).

As our partner, we invite you to refer us to clients and support the sales closure of new solar projects.
SSE will take all technical responsibility for the project and offer the best quality solar plants and
honest advice to all clients referred by our SolarPro partners (SP).

The Terms & Conditions of our agreement with SolarPro Partners are as follows:
● A SolarPro Partner (SP) will work exclusively with SolarSquare Energy (SSE) and no other Solar
Company. This MOU is valid from 2nd Apr 2024 till 2nd Apr 2025 until and unless revised or a new channel
partner policy is introduced by SSE which will supersede this agreement.
● The commission structure for SP’s residential segment orders is attached in Annexure A and for
commercial segment orders is attached in Annexure B
● SP commission shall be released by SSE post the client’s 30% payment against the project (for
residential projects only , for all commercial projects the payout cycle will be discussed at the project
level). And commission payouts will be released after 5% TDS is deducted. Terms of payment are
attached in Annexure C.
● SSE will release SP commission once we receive 2 bookings in lifetime from our partners.
● The margin structures are for new clients bought in via SP’s. For any repeat business (commercial
segment) from an existing client brought by an SP, the applicable commission would go to the SP as long
as the SP logs the lead first into our system.
● Each Party shall be responsible for its own costs and expenses incurred by it in connection with the
performance of this MOU, including, but not limited to, the exchange of information, costs of travel,
Negotiation with any potential client, costs for performing each Party’s obligations, etc. In no event shall
either party be liable to any other party for any costs incurred by such Party in connection with the
performance of this MOU.

SSE will provide digital marketing materials if the SP wants to organize any marketing and promotion
activity for a society or community. For other needs, this can be discussed at event level.. The
sale/bookings from this event shall be considered for payout till 30 days from the same society or
community.

Annexure A
Segment – Residential Commission

● From 0kW to 10kW - INR 2000/kW


● Between 10kW to 30kW - INR 1000/kW

Therefore if a SP books 15kW project with us then his total earning will be 25,000/-

- For 0kW to 10kW - 2000*10


- For 10kW to 15kW - 1000*5

Kindly Note:
- Terms can be modify as per SSE terms and regulations.
- Payment would be made once the client has made the 30% payment.
- Payment will be released once Projects escalations get sorted out.
- Commission payouts will be released after 5% TDS is deducted
- In any case, if the project is canceled after the commission has been paid out,
the commission will be adjusted in subsequent projects.
- SolarPro Partner will engage in Client project’s activity if needed.
- This is with effect from 1st April 24, Leads already submitted will be
considered under old structure.

For 15kW Project Payout / KW Amount


First 10 KW 2000 20000
Next 5 KW 1000 5000
Total Earning 25000

Annexure B
Segment – Commercial Commission
- For projects greater than 30kW : Flat Rs 50,000 or as per discussion at project level
- In the case of commercial projects, the payout cycle will be discussed at the project
level.

Annexure C
Terms of Payment - Residential
● All payments will be made by NEFT/RTGS.
● We will release payments within 15 days after receiving 30% of the client's payment. (for residential
projects only , for all commercial projects the payout cycle will be discussed at the project level).
● All commissions’ income is subject to deduction of TDS on commission u/s 194H @5%.
● An individual already registered under GST Act will be subject to a deduction of 18% on commission
value.
● Any new changes in government tax and laws will be adjusted at actuals.

Kindly Note that above terms can be changed due to Company’s policies and Regulations.
