Article 2. Quality : As the sample MS 01 in catalog A that both sides


agreed in the negotiation on 02nd January, 2019.

Coconut sap and extract is classified in Class A according to the Seller’s


standard/ Vietnam export standard.

Origin: Made in Vietnam

Best before date/expiry date/ manufacturing date

Article 3. Packing: Coconut sap and extract will be packed in a PE plastic box
(10cm x 8cm x 15cm), contains 500gr. All boxes have to be put in a carton,
then packed in a dry container.
Marking: Contract No. TPV 01/EX

Importer: Puresun Trading Co., Ltd.

Keelung Seaport, Taiwan.

ARTICLE 4 : Terms of payment

100% contract value (equal to $US 38,880) will be paid by irrevocable L/C at
sight issued by Tachong Bank Ltd, Taiwan Branch, Tainan,Taiwan . L/C will be
opened within five days after signing the contract/ before 15 January, 2019.

L/C opening bank: Tachong Bank Ltd, Taiwan Branch, Tainan,Taiwan

L/C advising bank: Industrial Commercial Bank of Vietnam

ARTICLE 5: Terms of delivery:

- Delivery time : Not later than March, 19th 2019

- Partial shipment is allowed.

- Transshipment is not allowed.

- Port of loading : ANY PORT OF HOCHIMINH CITY, VIETNAM

- Port of discharge : Keelung Port, TAIWAN .

ARTICLE 4: Full set of documents required:

- 01 full set 03/03 original clean on-board Bill of Lading marked “Freight
Prepaid”, consigned to the Buyer \\ made out to order of L/C opening bank
(Tachong Bank Ltd, Taiwan Branch, Tainan,Taiwan).

- Commercial Invoice issued by the Seller in triplicate.

- Packing List issued by the Seller in triplicate.


- Certificate of Origin – Form E, issued by the Vietnam Chamber of
Commerce and Industry 01 originals and 02 copies.

- Certificate of Quality and Quantity issued by the Seller/ issued by


Vinacontrol.

ARTICLE 5 : Arbitration

In the course of execution of the contract, all disputes not reaching as


amicable agreement shall be settled by the International Center under
Chamber of Commerce and Industry of Vietnam whose awards shall be as
final and binding both sides. The fees for the arbitration and other charges
will be born by the losing side.

ARTICLE 6: General article

The both sides undertake to carry out this contract fully. Any changes
or amendments to this contract will be valid only after a written agreement
has been duty signed by both sides

This contract comes into force from the signing date and is made out in 04
English originals in the same value, 02 originals for each.
