A COURSE DESCRIPTION:
Legal rules for business in Nigeria. It comprises of: The Law of Contract, Contract of Sales of
Goods, Law of Agency, and Law of Hire Purchase

B COURSE OBJECTIVES/GOALS
At the end of this course, students are expected to:

1. Understand the rudiments of Business Law in Nigeria.


2. Appreciate the principles and the legal rules regulating the business environment in Nigeria
as well as areas in need of reforms.
3. Be equipped to survive in the business world, the corporate world and the society in
general.

MODULE ONE: GENERAL INTRODUCTION OF THE COURSE AND THE NIGERIAN


LEGAL SYSTEM
Week 1: Introduction to Nigerian Legal System; Definition of Contract; Types of Contract.
Week 2: Elements of a valid Contract

MODULE TWO: LAW OF CONTRACT


Week 3: Vitiating Factors of a Contract: Duress and Undue Influence, Misrepresentation, Mistake, and
Non est factum.
Week 4: Privity of Contract; Discharge of Contract; Remedies for breach of Contract

MODULE TWO: SALES OF GOODS
Week 5: The Nature and Formation of the Sales of Goods; Conditions and Warranties
Week 6: Sellers’ obligations; Duties of the buyer; Remedies for breach of contract of sale of goods
MODULE THREE: LAW OF AGENCY
Week 7: Definition of agency; Types of agents; Rights and duties of principal and agent
Week 8: Relations of principal and agents to third parties.
Week 9: Termination of agency
MODULE THREE: HIRE PURCHASE
Week 10: Machinery and law regulating hire purchase transaction; Common law and the Hire
Purchase Act 1965.
Week 11: Nature of Hire Purchase transaction; Obligation of the parties and right of disposal; Discharge
of a Hire Purchase Contract.
MODULE FOUR: E-COMMERCE
Week 12: The legal framework for e-commerce
Week 13: Revision.

METHOD OF GRADING
 Mid-Semester Test = 15%
 Test and Assignments = 15%
 End of Semester Exams = 70%

GROUND RULES AND REGULATION

 The University guidelines on attendance requirements will be observed in this course


 Improper behaviour and dressing will not be tolerated during lectures.
 Active class participation will be required.
