• Assisted in drafting the due diligence report for Haldiram's focusing on legal and financial aspects.
• Conducted clause referencing and reviewed the clauses in the Share Purchase Agreement, ensuring accuracy and
compliance.
• Proofread and analyzed the redline AOA of the company, identifying and rectifying inconsistencies.

• Drafted a deal closure of a successful transaction in which our client Birla Estates acquired 16.5 Acres of land in Pune
in which the land parcel forms a part of integrated township project

• Researched the forfeiture and cancellation process of shares under the Companies Act.
• Researched on Cases regarding Back-to-Back contracts involving power purchase agreements and power sale
agreement and determining liability of intermediary.

• Researched SC judgments on Section 2(v)(b) of the FEMA Act, 1999, interpreting the definition of 'person resident' in
India.
• Drafted and refined clauses for a shareholder's agreement, including Governing Law, Jurisdiction, Arbitration,
Confidentiality, Notice, and Relief from Courts.
 • Reviewed, proofread, and assisted in drafting SHAs, SPAs, and other transaction documents. Conducted litigation
