Dear Sir,

THIS DEED OF GUARANTEE executed by the …… (Bank name &


address…………………….. (Hereinafter referred to as the Bank) in favour of the
Assistant Commissioner of Customs New Custom House, New Delhi (hereinafter
referred to as the Central Government) at the request of M/s VSL INDIA PVT. LTD
36, Annai Indra Nagar old Mahabalipuram Road Thuraipakkam Chennai Tamil Nadu
600096. (hereinafter referred to as the Importer).

This Guarantee is issued subject to the conditions that the liability of the bank under this
guarantee is limited to a Sum of Rs. ----/- (Thirteen Lakh Fourty Eight Thousand Eight
Hundred and Three only) and whereas as per request of the Importer we furnish the
required Bank Guarantee to the satisfaction of the President of India through Assistant
Commissioner of Customs New Custom House, New Delhi for a sum of Rs. ----/-
(Thirteen Lakh Fourty Eight Thousand Eight Hundred and Three only) in respect of
import as described herein below and accordingly we do hereby guarantee to and
covenant with Central Government that we would make the said payment to the Central
Government on demand without demur and notwithstanding that the importer are not
called upon in the first instance to pay to the Government the said amount before calling
upon the said bank to pay the said amount under this guarantee.

declare that this guarantee shall remain in force for one year and if the final assessment is
not discharged within the aforesaid period the said bank may consider to renew this
guarantee from time to time on receipt of request from the importer.

We are further covenant and declare that if the said importer M/s VSL INDIA PVT.
LTD do not obtains and furnish renewal of this guarantee from time to the Central
Government not less than 30 days prior to the expiry of this guarantee or renewal of said
guarantee so as to keep the same valid and subsisting till the final assessment and for six
months thereafter than the entire amount remaining till the final assessment and for six
months thereafter than the entire amount remaining due shall be become fort with due
and payable and the Bank shall pay to the Government of India merely on demand.

Notwithstanding anything herein before contained our liability under this guarantee is
restricted to Rs. 13, 48,803/- ((Thirteen Lakh Fourty Eight Thousand Eight Hundred and
Three only) and will expire on ……….. and unless a demand or claim is made against us
in writing within Six Month from the date ……… i.e. upto ……….. all your rights shall
be forfeited and we shall be relieved and discharged from all our liabilities there under.
