Clause
A. General
ITT 1. Scope of Tender
Clause
1.1 The Procuring Entity named in the Tender Data Sheet (TDS) (hereinafter referred to as the
“PE”) wishes to issues these e- Tender Document (hereinafter referred to as the “e-TD”) for the
supply of Goods, and related services incidental there to, as specified in the TDS. The name of
the Tender and the number and identification of its constituent lot(s) are stated in the TDS.
The PE is: Local Government Engineering Department, represented by Project
Director, Climate Resilient Livelihood Improvement and Watershed Management in the
Chittagong Hill Tracts (CRLIWM-CHT) Sector Project (LGED Part), RDEC Bhaban, Level-
10, Agargaon, Sher-e-Bangla Nagar, Dhaka-1207.

The Name and identification number of Tender are: Supply of 07 (Seven) Nos. Road Roller
(10 tons) for Climate Resilient Livelihood Improvement and Watershed Management in the
Chittagong Hill Tracts (CRLIWM-CHT) Sector Project (LGED Part) and Tender package
no.: CRLIWM-CHT-Equipment-G-01 (ADB Package No. LGED/R.Equipment/GD-03),

Number of Lot: Single Lot

ITT 3. Source of Funds


Clause
3.1 The PE has been allocated public funds from the source as indicated in the TDS and intends to
apply a portion of the funds to eligible payments under the contract for which this e-TD is issued.
The source of public fund is: GOB & ADB supporting the project of CRLIWM-CHT
3.3 Payments by the development partner, if so indicated in the TDS, will be made only at the
request of the Government and upon approval by the development partner in accordance with the
applicable Loan/Credit/Grant Agreement, and will be subject in all respects to the terms and
conditions of that Agreement.
The name of the Development Partner is – Asian Development Bank (ADB) under Loan
No.: L4333-BAN In compliance with the financing agreement for the project with the
Development Partner, amendments have been made in the provisions of instructions to
Tenderers (ITT) and General Conditions of Contract (GCC) which are provided in
Appendix-A and Appendix-B respectively attached in section 6 with the tender.
ITT 5. Eligible Tenderers
Clause
5.1 This Invitation for Tenders is open to all potential Tenderers from all countries, except for any
specified in the TDS
Tenderers from the following countries are not eligible: Non-ADB member countries (List of
ADB member countries is attached in Section 6 of the bidding document as Appendix C).
Note: If a bidder is a Joint Venture, a lead partner shall submit the tender in the e-GP
system and provide a copy of the Joint Venture agreement or a formal intent to enter into
an agreement clearly indicating their partners names and which shall be attached to their
tender uploaded in the system. To ensure eligibility of the Joint Venture partners, the
Procuring Entity, at its discretion, may seek clarification on these documents during
evaluation.

ITT 6. Eligible Goods and related services


Clause
6.1 All goods and related services to be supplied under the contract are eligible, unless their origin
is from a country specified in the TDS.
Goods and related Services from the following counties are not eligible: Materials,
equipment and associated services from the following countries are not eligible:
Country(ies) not covered in “Appendix-C: List of ADB Member Countries”.
Materials, equipment and associated services should have complete permits, clearance or
licenses as applicable from the country of origin and Government of Bangladesh.

B. e-Tender Document
ITT 10.Clarification of e-TD
Clause
10.2 A prospective Tenderer requiring any clarification of the e--TD shall be allowed to post
clarification as stated sub clause 10.1 till the date and time as specified in the TDS, but not later
than the date of pre-tender meeting as stated under ITT clause 11, if held
Allowed to post clarification till the Date and Time of Pre-Tender meeting
ITT 11.Pre-Tender Meeting
Clause
11.1 To clarify issues and to answer questions on any matter arising in the e-TD, the PE may, if
stated in the TDS, hold a Pre-Tender Meeting
Pre- Tender meeting will be held on the date and time stated in e-Tender notice.
11.2 Pre-Tender Meeting will be held online on the date and time as specified in the TDS.
Clarifications to the queries of the Tenderer will be made online, and also responses will be shared
through dashboard of the Tenderer, who have purchased the e-TD
Pre- Tender meeting [Date & Time] As mentioned in e-Tender Notice
C. Qualification Criteria
ITT 15.Experience Criteria
Clause
15.1 Tenderer shall have the following minimum level of supply experience to qualify for supplying
the Goods and related services under the contract:

(a) A minimum number of years of General experience in the supply of goods and related services
as specified in the TDS; and
(b) Specific experience of satisfactory completion of supply of Goods similar to the proposed
goods in at least a number of contract(s) and, each with a minimum value, over the period, as
specified in TDS; and
(c) A minimum supply and/or production capacity of Goods as specified in the TDS.
(a) Tenderer shall have a minimum of 05 (five) years of General experience in the supply of
Goods and related services as Supplier.
(b) The satisfactory completion of supply of similar Goods of minimum BDT 44,500,000
(Four Crore Forty-Five Lac) only under maximum one (1) contract in the last 05 (Five)
years. i.e. years counting backward from the date of publication of IFT in the e-GP System.
(c) The minimum supply and/or production capacity of Goods is: minimum 07 (Seven) nos.
of Road Roller (10 ton) per year within the last 05 (Five) years. This should be evidenced
with certification/document provided by the proposed manufacturer or distributor or source
of supply.
(Years counting backward from the date of publication of IFT in the e-GP System).
Note 1: If a tenderer participates as a joint venture, qualification criteria will be evaluated as
specified in Appendix D which is attached in Section 6.
Note 2: In case the past experience was accomplished through Joint Venture (JV),
Tenderer shall provide detailed information on each of the JV member’s performed
activities as required in the form of the template “Details of Completed Goods Contract”
provided in Appendix-E to establish value of executed contract as partner. If no such
information is provided, the percent share of business mentioned in past JV agreement and
contract agreement (submitted along with the Tender) will be taken into account to
determine the specific experience of the Tenderer. Payment Certificate without clear
indication of JV % Share would not be considered in capacity calculation.
Note 3: To qualify for multiple contract awards to be implemented by the same supplier
over an overlapping time-period, supplier shall meet the aggregated requirement of ITT
15.1 (C).

ITT 16. Financial Criteria


Clause
(a) Availability of minimum liquid assets i.e. working capital or credit line(s) from any Scheduled
Bank, net of other contractual commitments of the amount as specified in the TDS.
The minimum amount of liquid assets i.e. working capital or credit line(s), net of other
contractual commitments is BDT 52,000,000 (Five Crore Twenty Lac) only.
Tenderers shall submit the liquid asset in one or combination of more than one of the
following four options. Please also note that in case of joint venture, Lead and individual
partners must submit liquid asset.
1. Working capital: authenticated by Audit Report not earlier than FY 2023-2024; and/or
2. Credit line: authenticated by any scheduled bank shall be furnished in accordance with
the format as specified in Appendix F: Form PG3-8; "Sample Format Line of Credit" which
is attached in Section 6 of the Tender Document without alteration as stated under ITT Sub
Clause 16.1(a); and/or
3. Credit facilities: authenticated by credit sanctioned letter and bank statement of the
credit account issued not earlier than 28 days prior to the day of the original deadline for
submission of Tenders for this Contract; and/or
4. Bank Statement: Authenticated by bank statement with at least one day-end closing
balance from any scheduled bank issued not earlier than 28 days prior to the day of the
original deadline for submission of Tenders for this Contract.

D. Tender Preparation
ITT 22. Contents of e-Tender
Clause
(m) Any other document as specified in the TDS.
The Tenderer shall submit with its e-Tender the following additional documents:
1. Printed Catalogue/Brochure stating technical features of all the goods
2. Manufacturer's Authorization letter from the Manufacturer as per requirement mentioned
in the item’s specification
3. Valid Trade License, Business Identification Number (BIN) or equivalent
Certificate/Registration/Value Added Tax (VAT) Registration Certificate.
4. Certificate of incorporation and Import Registration certificate (Required for local agents
or distributor), if applicable
5. Documents of own service center and list of technical manpower including their phone
number for the project area.
6. Documents of Minimum one service center in any of the 3 hill district to get the service.
ITT 23. Tender Prices
Clause
23.2 Tenders are being invited either for one or more items on an ‘item-by-item’ basis or a single
lot or for a number of lots on ‘lot-by-lot’ basis, as specified in the TDS.

ITT 25. Documents Establishing the Conformity of the Goods and related services
Clause
(b) if so required in TDS, Tenderer shall also furnish a list giving full particulars, including available
sources and current prices of spare parts, special tools, etc., necessary for the proper and
continuing functioning of the Goods during the period specified in the TDS, following
commencement of the use of the Goods by the PE; and
Spare parts are: Required
ITT 26. Documents Establishing Qualifications of the Tenderer
Clause
(b) that, if required in the TDS, a Tenderer that does not manufacture or produce the Goods it
offers to supply shall submit the Manufacturer’s Authorization Letter (Form e-PG3-5) furnished in
Section 5: Tender and Contract Forms, to demonstrate that it has been duly authorized by the
manufacturer or producer of the Goods to supply the Goods to Bangladesh.; and
Manufacturer’s authorization is: Required.
A Manufacturer’s Authorization Letter, addressed to PE is required for item of Road Roller
(10 tons) listed in the Price and Delivery schedule for Goods and related Service.

(c) that, if required in the TDS, in case of a Tenderer not doing business within Bangladesh, the
Tenderer is or will be (if awarded the contract) represented by an Agent in the country equipped
and able to carry out the Supplier’s maintenance.
After sales service is: Required
ITT 27. Validity Period of Tender
Clause
27.1 Tenders shall remain valid for the period specified in the TDS after the date of Tender
submission deadline as stated under ITT Clause 36.
The Tender validity period shall be: 120 days.
ITT 29. e-Tender Security
Clause
29.2 Amount of the e-Tender security may be determined on the basis of different percentages for
each lot, but the amount in fixed as specified in TDS, if so indicated that the e-Tenders are invited
on lot-by-lot basis under ITT Sub clause 23.2,
The amount of the Tender Security shall be BDT 1,400,000 (Fourteen Lakh) only in the
form of Pay Order/Bank Draft in favor of Project Director, Climate Resilient Livelihood
Improvement and Watershed Management in the Chittagong Hill Tracts (CRLIWM-CHT)
Sector Project (LGED Part).
29.3 One e-Tender security, at the percentage as specified in TDS, of the total value of the items
offered by the Tenderer, may be submitted, if so indicated that the Tenders for one or more items
are invited on an ‘item-by-item basis’.,
The Tender security at the percentage: Not Applicable
E. Tender Submission
ITT 36. Deadline for lodgment (e-submission) of e-Tender
Clause
36.1 e-Tenders shall be lodged to the e-GP system not later than the date and time specified in
the TDS.
The deadline for lodgment of e-Tenders is as stated in the e-Tender Notice.
G. Contract Award
ITT 53. PE’s Right to Vary Quantities
Clause
53.1 PE reserves the right at the time of Contract Award to increase or decrease the quantity, per
item, of Goods and related services originally specified in Price Schedule, provided this does not
exceed the percentages indicated in the TDS, and without any change in the unit prices or other
terms and conditions of the Tender and the e-TD.
The maximum percentage by which quantities per item may be increased is 15% (Fifteen
Percent).
The maximum percentage by which quantities per item may be decreased is 15% (Fifteen
Percent).

ITT 55. Performance Security


Clause
55.1 Performance Security shall be furnished by the successful Tenderer in the amount as
specified in the TDS.
The amount of Performance Security shall be ten 10% percent of the Contract Price.
