RESIGNATION OF ORGANIZER, AUTHORIZED REPRESENTATIVE, AND INITIAL


MANAGER
OF
INSTAMICS LLC

Andrew Pierce, an authorized representative of Company Sage*, being the Organizer, authorized
representative, and initial Manager of instamics LLC, herein the “Company”, a limited liability
company organized in the State of Arkansas, does hereby adopt the following resolutions and
takes the following action by written consent in lieu of a meeting.

RESOLVED, that from this day hence, the undersigned has fulfilled the duties of Organizer,
authorized representative, and initial Manager of the Company and relinquishes all further duties
to the Member(s) of the Company; and

RESOLVED, that simultaneous with the Organizer, authorized representative, and initial
Manager’s transfer of all further duties to the Member(s), the said Organizer, authorized
representative, and initial Manager resigns such offices effective this date; and

RESOLVED, that the following named individual(s) and/or entity(ies) shall constitute the initial
Member(s) of instamics LLC who shall have all those rights, duties, powers, and authority as
provided under the laws of the State of Arkansas:
