1. Title of the Constitution
The Constitution of Ndoto Mpya Group.

2. Purpose of the Community Group


The group is established to promote economic empowerment and community development for its
members by fostering unity, resource pooling, and entrepreneurship. It seeks to improve the
living standards of members and encourage active participation in poverty reduction initiatives
through joint ventures and personal development.

3. Address of the Group/Project


Physical Address: Tigoi/Kitagwa Sub-location, Vihiga County, Kenya.
Postal Address: P.O. Box 115, Vihiga, Kenya.

4. Goal
The overarching goal of the group is to uplift members economically, socially, and personally by
fostering self-reliance, reducing poverty, and enhancing community resilience.

5. Specific Objectives
1. To provide opportunities for members to engage in joint and individual income-
generating activities.
2. To equip members with knowledge and skills for self-reliance through training and
capacity-building workshops.
3. To build social capital by fostering unity, trust, and mutual respect among members.
4. To facilitate access to financial resources through member contributions and external
funding.
5. To advocate for and implement sustainable projects for community development.

6. Values
The group upholds the following values as guiding principles:

 Integrity: Commitment to honesty and transparency in all activities.

 Respect: Valuing the contributions and individuality of each member.
 Hard Work: Encouraging dedication and effort in all group activities.
 Cooperation: Promoting teamwork and mutual support among members.
 Self-Worth: Empowering members to realize their potential and confidence.

7. Group Activities
The group engages in the following activities to achieve its objectives:

1. Regular group meetings to discuss progress and plan new initiatives.


2. Development of joint ventures, such as farming, small-scale businesses, and creative
projects.
3. Training workshops on entrepreneurship, financial literacy, and leadership.
4. Investment in community-based projects to address local challenges.
5. Managing pooled funds for members to access credit and business support.

8. Membership
Eligibility

Membership is open to:

1. Kenyan citizens residing in Tigoi/Kitagwa Sub-location.


2. Individuals aged 18 years and above, regardless of gender, religion, or ethnicity.
3. Low-income earners earning $1 or less per day.
4. Those who demonstrate commitment to group values and objectives.

Procedure for Joining

1. Submission of a written application to the group Secretary.


2. Payment of a registration fee of Ksh. 250.
3. Approval of membership by the general meeting.

Rights of Members

1. Equal participation in decision-making and voting.


2. Access to group resources, including training and pooled funds.
3. Freedom to propose projects and initiatives.
4. Entitlement to their contributions and accrued interests upon withdrawal or expulsion.

Duties of Members

1. Regular attendance at meetings and active participation in group activities.


2. Adherence to the group’s rules, values, and constitution.

3. Contribution to group funds as agreed.
4. Respect for fellow members and elected officials.

Discipline of Members

1. Members must avoid behavior that contradicts the group’s principles.


2. Penalty for unexcused absenteeism is Ksh. 50 per meeting.
3. Expulsion for repeated absenteeism or misconduct.

9. Office Bearers
Positions and Roles

The group’s leadership comprises the following elected officials:

1. Chairperson
o Presides over meetings and oversees group operations.
o Signs official documents and financial transactions.
o Represents the group in external engagements.
2. Vice-Chairperson
o Assumes the Chairperson’s duties in their absence.
o Assists in daily management tasks.
3. Secretary
o Maintains group records, including meeting minutes and correspondence.
o Prepares and dispatches notices for meetings.
o Co-signs financial documents.
4. Assistant Secretary
o Assists the Secretary and acts in their absence.
5. Treasurer
o Manages the group’s finances and maintains accurate records.
o Prepares financial reports and ensures funds are audited.

Election of Office Bearers

1. Officials are elected annually by majority vote during a general meeting.


2. Candidates must be active members in good standing.

Tenure of Office

1. Office bearers serve a one-year term.


2. Re-election is permitted for subsequent terms.

Removal of Office Bearers

1. Grounds for removal include misconduct, non-performance, or violation of group
principles.
2. Removal requires a two-thirds majority vote by members.

10. Group Finances


Sources of Funds

1. Membership fees and regular contributions.


2. Profits from group investments.
3. Donations and grants from legal sources.

Management of Funds

1. Funds are deposited in a group bank account.


2. Financial transactions require signatures from the Chairperson, Treasurer, and Secretary.
3. Detailed financial records are maintained and audited annually.

Utilization of Funds

Funds are used for:

 Operational expenses.
 Approved investments.
 Capacity-building activities.
 Statutory obligations such as taxes.

11. Group Assets


1. All assets are recorded and managed transparently.
2. Decisions on asset disposal require member approval.
3. Upon dissolution, assets are distributed equitably among members.

12. Record Management


The group maintains:

1. A membership register.
2. Financial records, including cashbooks and payment vouchers.
3. Minutes of all meetings.
4. Investment and project reports.

13. Meetings
1. General Meetings: Held weekly to review progress and discuss new initiatives.
2. Committee Meetings: Held quarterly to prepare reports for the general meeting.
3. Emergency Meetings: Convened as needed to address urgent matters.

Quorum

 Two-thirds of the members must be present for decisions to be valid.

14. Dispute Resolution


1. Disputes are resolved through mediation by elected officials.
2. Unresolved disputes may be escalated to external arbitration.
3. Members must adhere to the group’s conflict resolution procedures.

15. Amendments to the Constitution


1. Proposals for amendments require a written submission signed by at least 10 members.
2. Notice of amendments must be given at least 14 days before discussion.
3. A two-thirds majority vote is required for adoption.

16. Dissolution
1. The group may be dissolved by a two-thirds majority vote.
2. Assets are liquidated and distributed equitably after settling liabilities.
3. A detailed report of the dissolution process is presented to members.

17. Commitment Clause


All members commit to upholding the provisions of this constitution. By signing below,
members agree to abide by the group’s rules and principles.
