The employer is a business Organization, licensed as incorporated and operating with the Laws of Denmark as
Construction Engineering, Pipeline, Oil and Gas, Energy, Infrastructure and many more. It is the belief to this
organization that the employee possesses those skills, Qualification and abilities from your CV/ credentials to contribute
to the further and aspirations of Soil & Building Construction Engineering Company, Denmark.

(HEREIN AFTER KNOWN AND CALLED THE FOREIGN WORKER)

I, Mr. Jeroen Cornelis Franciscus–Direktør of SOIL & BUILDING DENMARK, hereby agrees to offer employment
with newly employee that assent to all that is written below in this Memorandum of Understanding and Contract
Agreement Bond.

Soil & Building A/S Profile, We operates in the construction and civil engineering industries in the Denmark
Infrastructures, Modern building developer, constructs, and refurbishes private and public sector buildings, constructs
residential, head office, hospital, station, refurbishment, Railways, Tunnels, Road, Bridges, and PPP, projects; and builds
residential, office, school, and research and laboratory facilities, as well also engages in electrical installation activities, Oil
and Gas, Piping, and many more. The company's geographical segments include Denmark and the Rest of Europe.

2, HOURS OF WORK: The hours of work shall be between 9a.m to 5 p.m., with an hour break, time use shall be set
out by the employer from time to time, but any event shall at all times be in compliance with the Organization. If any
event occurs during your work time and you default to meet up with your time or not able to carry your duty on that
day, a text or call will be made to your HR department. Monday to Friday will be your working days. HR department
we will monitor your performance annual, with good performance and hard work, the management will increase your
annual salary with 20%.

3, SALARY: After reduction of taxes. The Employee, monthly basic salary shall be €8,200.00 euro and your monthly
allowance shall be €2,600.00 Euro, Total is €10,800.00, Ten Thousand Eight Hundred Euro, or you can be paid in Danish
Krone which is equivalent to 80,700.00 Danish Kroner, shall pay to you at end of every month, starting from the day of
joining. There will be 20% of salary increase every year, depends the individual performance.

4, BENEFITS: This organization is entitled to buy Air Ticket for the employee from your country to Denmark, free
medicals, free family housing accommodations, free lunch, transportation, Gratuity , Performance bonus, Retirement
benefits, Flexible time off (FTO), Wellness program, Tuition and professional development opportunities, Dental
insurance, Paid family leave.

5, TICKET AND VISA: Employer shall provide flight ticket, housing accommodation, free health care, feeding and
transportation. Also provide the attested documents needed to facilitate the approval of employee visa and work permit.

Employee will be responsible for the payment of their visa fee. After that Employer shall refund the amount employee
spent on visa processing fee and pay one month salary in advance before employee arrive in Denmark. The employee will
be on probation for the period of 2 months, and pre-boarding, orientation, training, and integration to his/her new role
into the organization.

6, ANNUAL LEAVE: In accordance with the provisions of Organization of working time Act, one (Month) of Annual
vacation will be granted to you. But after 2 years of your service it will be extended to 45 days of annual leave.

7, ACCIDENTAL INSURANCE: The Company currently provides personal accident insurance for regular employees
up to a maximum cover of €2,500.00 Euro, payable in accordance with the provisions of the policy less any legally required
benefits. The company may terminate or change the scheme at any time at its discretion.

8, YOUR JOB POSITION & DESCRIPTION: Your Job description will be detailed to you in our appointment offer
letter which will be our next process it is the duty of the Employee to perform all essential job Functions and duties from
time to time with best of your Knowledge.

9, CONTRACT DURATION: The duration of first contract shall be (4) Four years and Full Time employment.

10, EMERGENCY/ PERSONAL LEAVE: Employees will be granted for a maximum of Thirty (30) which employee
will be in contact with employer constantly, after Thirty days if the employee did not return, addition fifteen (15) unpaid
days will be added to employee. All costs of the emergency leave including airline tickets and visas are at the employer
responsibility.

11, EFFECTIVE DATE OF CONTRACT: The effective date of the Employment contract is the date employee report to
work.

12, PROBATIONARY PERIOD: It is understood that the first 2 Months of employment constitutes a probationary
period. During This time, the Employee is not eligible for any benefits except monthly salary with Housing
accommodation and transportation. You will follow the direction of your Probation officer to avoid termination of your
employment.

13, TERMINATION: It is the intention of both parties to form a long and mutually profitable relationship. However,
this Relationship may be terminated by either party at any time provided 2 months [length of time] written notice is
delivered to the other party. The Employee agrees to return Any Employer property upon termination.

14, PLACE OF WORK: The Employee: (you) shall be based for the time being in Headquarter in Denmark.

15, MATERNITY AND CHILD CARE LEAVE: Employer provides free medical coverage in
Denmark for you and family throughout the contract duration.

16, MANAGEMENT DUTIES: You shall carry out directions order given to you by the Management, whether in
writing or not, and you shall carry out the duties of your employment honestly and with all diligence to the best of your
Knowledge, Skill and ability. Any refusal on your part to carry out such reasonable orders of the Management will
amount to insubordination and willful misconduct and will lead you to a disciplinary action.

17, SAFETY REQUIREMENTS: The Company provides employees with safety equipment and protective clothing
required in their work. The Company will replace worn or damaged equipment and protective clothing. And employees
must put on effective protection equipment as a safety measure.

18, TERMINATION FOR CAUSE: Termination for cause is without notice and without payment of return airline
transportation and end of service award, except accrued vacation according to the Denmark Labor and Workmen Law.
Terminations for cause include, but are not limited to, neglect of duties, falsification of any records, unauthorized
absences, fighting, bribery, dishonesty, insubordination or committing any offense mentioned in Article 21 of the
Denmark Labor and Workmen Law.

19, NON-COMPETITION & CONFIDENTIALITY:

A, You shall neither divulge nor give out information to any unauthorized during the period of your service or even
afterwards by word or mouth or otherwise, particulars or details of our business process, technical know-how, security
arrangements, administrative and / or organizational matters of a confidential/ secret nature, which may be your
privilege to know by virtue of your being our employee.

B, You shall keep confidential all the information and material provided to you by the company or by its clients
concerning their affairs, in order to enable the company to perform the service. This also includes such information as is
already known to the public which also you will not release, use or disclose except with the prior written permission of the
company. Your obligation to keep such information confidential shall remain even on termination or cancellation of this
employment.

C, You will face instant dismissal if you fail to comply with any of the provisions contained in these conditions.
Further, any document notes, memoranda, writing materials, records, other stored information of any kind or tangible
items of any nature acquired by you in the course of your employment shall remain the property of the company. You
must not remove any property belonging to the company from the company premises at any time without prior
written consent from the company. You must return to the company upon request and in any event upon termination
of your employment with the company howsoever arising, all documents and tangible items which belong to the
company or which contain or refer to any confidential information which is in your possession or under your control.
You must, if requested by the company to delete all the confidential information from any reusable material and /or
refer to any confidential information which is in your possession or under your control.

D, Your services shall be governed by the rules and regulations of the company.

20, MEDICAL TERMINATION: If an employee's services are terminated for medical reasons he will receive pro rata
benefits according to the Organization policy.

21, DISCIPLINE & CONDUCT: The assignment offered to you on a whole time basis. You will not carry on or be
concerned with any business of your own or on behalf of anyone else directly or indirectly, nor shall you take up other
business or be associated with any other business with or without remuneration during the course of your employment
with the company.

22, DISPUTE: Any dispute regarding the construction of this Agreement or interpretation of any dispute arising out
of this agreement shall be referred to the Managing Director or HR Manager of the company whose decision shall be
final and binding.

23, PAYMENT OF OVERTIME: The Company pays overtime for all hours authorized and worked over nine hours a
day or forty-eight hours a week.

24, FOOD AND ACCOMMODATIONS: The Company provides free food to the employees. The company provides
free housing and utilities (excluding telephone) to employees at the assignment location. Employees must occupy
Company accommodations as a condition of their employment. Employer must satisfied The Comfort of the house
accommodations to Employee.

25, GOVERNING LAW AND JURISDICTION: The terms and conditions of this agreement shall be constructed
and interpreted in accordance with the Denmark Laws and the parties shall submit to the non-exclusive jurisdiction of
the Denmark Courts located in København in the event of any dispute arising out of and /or in connection with your
employment. We are very confident that you will be an exceptional addition to our company.

26, RULES, PROCESURES POLICIES: The Company has established rules, procedures and policies which from
time to time are subject to amendment and additions/ alterations. As an employee, you are under an obligation to
comply with all the rules additional /alterations and amendments to them. Such rules, procedure, policies and benefit
are available for inspection at the Human Resources. Department during office hours. The Company will endeavor to
provide you with information on these items, but it's your obligation to inquire on a regular basis as to their status.

27, ENTIRETY OF TERMS AND CONDITIONS: This Agreement and the provisions in the company policy
expressly incorporated herein contains the entire agreement between the two parties and supersedes all agreements and
arrangements written or oral, relating to your employment by the Company Soil & Building A/S Construction Company
Denmark (which shall be deemed to have been terminated by mutual consent). In the event of any discrepancy between
this agreement and the provisions in the Company Policy, this Agreement shall prevail. Any notice required to be given
hereunder shall be in writing and shall be deemed to be duly served in the case of notice to the Company immediately if
handed personally to your Department Head or upon the expiration of 24 hours is sent to its address and in the case of
notice to you if handed to you personally or upon the expiration of 24 hours if left at or sent by registered post and
addressed to your last known address.

ACCEPTANCE: I have read and understand the contents of the Appointment letter. I hereby
agree to and accept employment with Soil & Building A/S Organization, Denmark on the terms and
conditions contained in this Appointment letter (including the signing of the Employee Handbook).

EMPLOYEE ACCEPTANCE AND ACKNOWLEDGEMENT

I .............................................................. Have read and understood the above terms & Conditions of the
Memorandum of Understanding and Contract Agreement Bond and hereby affix my signature in
acceptance of same.

During the continuance of my employment with the company and for the period of my appointment I
will not engage in any employment or divulge any information which came to my knowledge in the
course of carrying out my duty or reveal any trade secret(s) to another company or person(s) who engage
in rendering same services or production within the same locality with the company except with the
written consent/permission of the company.
