Part 1: General Information & Eligibility Criteria

OBJECTIVE:

The aim of this Expression of Interest (EoI) is to invite proposals from potential bidders
interested in becoming Business Partners with CEL for the Sales & Marketing of Products
& Services of CEL / Business Partner / Third Party in CEL's designated business areas,
which include Defence Business (DB), Security and Surveillance (SSG), Information
Technology Solutions (IT), Railway Electronics, Renewable Energy or any other business
area# the company may be interested in working.

The selected Business Partner will undertake responsibilities such as generating inquiries,
presenting CEL's offerings to customers, securing orders on behalf of CEL, and
collaborating with CEL throughout the order execution process.

The CEL’s technical & marketing team will provide full support to the Business Partner in
obtaining orders, presenting solutions, and other related activities.

ABOUT CEL:

Central Electronics Limited (CEL), founded in 1974, has been at the forefront of advancing
indigenous technologies and manufacturing capabilities in India. The outset goal was to
commercialize technologies developed by national laboratories and research institutions
across the nation.

CEL operates in four primary business areas, namely:

4. Renewable Energy / Solar Photovoltaics

CEL’s current product range includes Technical Ceramics for Microwave frequencies
(including ferrite phase shifters for C- and X-bands & fused silica-based ceramic radomes),
Piezoelectric Ceramics, Railway Electronics (including Axle Counters & Broken Rail
Detection Systems), Solar Photovoltaic Systems, Security & Surveillance Solutions
(including Smart Board) and Information Technology Products.

CEL’s state-of-the-art manufacturing facilities, coupled with stringent quality control

measures, enables delivery of products and services of the highest standards. CEL has

invested significantly in advanced electronics manufacturing technologies, including

surface mount technology (SMT), microelectronics and precision engineering, assembly
lines, environmental test chambers, Clean Rooms (1000 and 10000 class), Tool Room and
Machining Equipment’s etc. to produce cutting-edge technology products with high
reliability and performance. CEL has implemented enterprise resource planning (ERP)
systems, e-Office, and other digital technologies which has streamlined workflows and
improved decision-making processes.

to give a presentation. This presentation should detail the offered products and services,
market potential, business volume, and potential customers in the new business area.
b. The decision to empanel the bidder in a business area where CEL is not currently
operating will be made after approval from the competent authority at CEL. This decision
will be final and binding.

HOW TO APPLY:
Interested bidder desirous of becoming Business Partners with CEL for the Sales & Marketing
of Products & Services (of CEL / Business Partner / Third Party), may submit their Expression
of Interest in off-line mode along with specified documents and duly filled in enclosed “Part 3:
Format for Submission of Response to EOI” and “Part 4: Undertaking and Declaration by
Bidder.

3. Copies of the audited balance sheet and profit and loss account of any three

the Procurement Entity in last 5 years.

Part 2: General Guidelines and Terms & Conditions

1. AGREEMENT:
a) The bidders which respond to this EOI in the manner so prescribed and which, in
the considered opinion of CEL meet the pre-qualification criterion as mentioned,
will be shortlisted for signing the agreement for the business partner.
b) An agreement will be signed with the eligible bidder, outlining the scope of work,
revenue sharing, operational modalities, and other terms and conditions.
c) The initial period of agreement will be two years from the date of signing of
agreement. The agreement can be extended mutually after review of the
performance of the business partner.

2. SECURITY DEPOSIT:
a) The successful bidders are required to submit a refundable, interest-free security
deposit of Rs. 5,00,000/- (Five Lakhs Only) in the form of a Bank Guarantee or
Demand Draft, payable to Central Electronics Limited, Sahibabad, during the
signing of the agreement.
b) The security deposit will be refunded upon the completion of the agreement
period or upon successful termination of the agreement subject to clause no. 5.

3. AREAS OF OPERATION:
a) The selected business partner is expected to boost CEL's market presence within
its designated business areas, leveraging their expertise and credentials.
b) The empaneled business partner, possessing credentials in any of CEL's
designated business areas (Defence Business, Security and Surveillance,
Information Technology Solutions, Railway Electronics & Renewable Energy), is
permitted to undertake work in other designated business areas of CEL also.
However, this is subject to the empaneled business partner having suitable
solutions and manpower to execute work in those other designated business
areas. The decision of same lies with the respective business head of other
designated business areas.

4. WORKING POLICY
a) Business Partners shall be appointed on Non-Exclusive Basis. The preference
for selecting the business partner to perform the business shall be based on a
First Come-First Serve Basis, i.e. the business partner who brings the enquiry

first shall be given preference over other business partners.

b) The Business Partner shall seek prior clearance of CEL before initiation of any
discussion/communication with the concerned Government / Private agencies for
submission of offer.
c) The Business Partners are required to take the Authorization Letter from CEL
specific to the enquiry.
d) The Authorization letter will be issued by the Head - M&CC, in consultation with
the respective divisional head of the business area where enquiry lies.

5. BUSINESS GENERATION:
a) The empaneled business partner, are expected to generate a minimum business
of Rs. 01 Crore within one year of signing of the agreement.
b) The maximum value of a single purchase order issued to the business partner by
CEL will not exceed three times the partner's average turnover in the last three
financial years. However, there is no restriction on the maximum value of
cumulative purchase orders within a year.
c) If the empaneled business partner fails to generate any business during the
agreement period, a penalty of Rs. 01 Lakh will be levied, which can be deducted
from the Security Deposit submitted by the business partner.
d) CEL reserves the right to revoke the empanelment of business partner failing to
generate minimum business generation indicated above.

6. CONFIDENTIALITY:
a) Any documents, drawings, samples, data, related correspondence, or other
information provided by or on behalf of the CEL to the Business Partner,
concerning the contract, regardless of whether shared before, during, or after the
contract's completion or termination, are to be treated as confidential.
b) If directed by CEL, all copies of such information must be returned upon the
completion of performance and obligations under the contract.
c) Business Partners are to maintain confidentiality of the Technical and
Commercial documents (price, Quotations, etc.) provided by CEL.

7. INDEMNITY:
The empaneled business partner to indemnify CEL from any claims / penalties /
statuary charges, liquidated damages, with legal expenses etc as charged by the
customer. LD/ Penalties incurred on account of delay in supply, product failure

during warranty if any and deficiency in Warranty and AMC services attributable
to the partner shall be borne by the business partner.

8. SET OFF:
Any Sum of money due and payable to the supplier under this contract may be
appropriated by the purchaser or any other person contracting through the CEL
and set off the same against any claim of the purchaser for payment of a sum of
money arising out of this contract or under any other contract made by the
supplier with the purchaser.

9. RESOLUTION OF DISPUTES:
a) Arbitration: All the disputes, controversies/ difference of opinions, breach and
violation if arising from or related to this tender between the parties, shall be
resolved by mutual discussion /reconciliations in good faith. If disputes,
controversies /difference of opinions, breach and violation arising from or related
to this tender cannot be resolved within 30 days of commencement of
reconciliations / discussions, then the matter shall be referred to the sole
arbitrator. The party invoking arbitration shall suggest five names out of list of
panel arbitrators of DIAC/SCOPE, Delhi and the other party will choose one
name out of the same to act as an arbitrator. Decision of the arbitrator shall be
final binding on both the parties. The cost of arbitration, if any shall be shared
equally between the parties.
b) The arbitration proceedings shall be conducted by the Arbitral Tribunal in
accordance with the provisions of the Arbitration & Conciliation Act, 1996 as
amended from time to time. The place of arbitration shall be Delhi/NCR and
language of such arbitration proceedings shall be in English.
c) All disputes relating to this agreement shall be subject to jurisdiction of the courts
at New Delhi only.

10. GOVERNING LAW:

The contract shall be governed by the laws of the Union of India for the time
being in force. All disputes arising out of or in any way connected with this
agreement shall be deemed to have arisen in New Delhi and only the courts in
Delhi alone shall have exclusive jurisdiction to determine the same.

11. RIGHT TO ACCEPT ANY BID AND TO REJECT ANY OR ALL BIDS OR TO
EOI No. : C-2(b)/EOI/MCC/0383/2024-25

CANCEL THE EOI:

CEL reserves the right to accept or reject any bid, and to annul the bidding
process and reject all bids, at any time prior to award of contract without
assigning any reason whatsoever and without thereby incurring any liability to the
affected bidder or bidders on the grounds of purchaser’s action.

12. AMENDMENT OF EOI:

At any time prior to the last date for receipt of offers, CEL, may, for any reason,
whether at its own initiative or in response to a clarification requested by a
prospective bidder, modify the EOI document by an amendment. CEL may, at
their discretion, extend the last date for the receipt of offers and/or make other
changes in the requirements set out in the Invitation for EOI.

13. DISCLAIMER:
CEL and/or its officers, employees disclaim all liability from any loss or damage,
whether foreseeable or not, suffered by any person acting on or refraining from
acting because of any information including statements, information, forecasts,
estimates or projections contained in this document or conduct ancillary to it
whether or not the loss or damage arises in connection with any omission,
negligence, default, lack of care or misrepresentation on the part of CEL and/or
any of its officers, employees.
