AND WHEREAS the parties hereto have been carrying on partnership

buisiness under the name and style of M/s. ___________________ (formerly
known as M/s. ___________________________) at _________ its principal place of
business at Ahmedabad and/or any where on the terms and conditions
contained in the duly executed deed of partnership dated ____________ and
since modified by Deed of Partnership dated __________, 2006.

WHEREAS the parties have mutually agreed upon to carry on the said business
in the name and style of M/s. ___________________, (JOINT STOCK
COMPANY)

AND WHEREAS all the parties hereto who are the members of the said Co-
partnership buisiness, for sake of smooth working and better and effective
management and improvement and advancement of business, have agreed
that all the members of the co-partnership or joint stock company ( having its
meaning as defined under section 566 of the Companies Act, 1956) will abide
by and be subject to declaration and regulations contained in the
Memorandum and Articles of Association, as attached hereto.

AND WHEREAS the said co-partnership or joint stock company has for its
assets and liabilities, interalia, the premises and business carried on under the
name and style of M/s. ___________________, situated at _________, which
include the properties, liabilities, debts including secured and unsecured loan
mentioned in schedule attached hereto (which are here in after described as
the properties and liabilities).

AND WHEREAS the parties hereto in the said co-partnership or joint stock
company have mutually settled the shareholdings of the subscribed capital
amongst themselves as the members of the said joint stock company in the
following manner:

NOW, THIS INDENTURE WITNESSETH that each of the parties hereto

respectfully so far as it relates to the acts and deeds of himself/herself ,
his/her representatives, heirs, executors and administrators, both here by
covenant with each of the other or them respectively, so far as it relates, to
the acts and deeds of himself/herself and his/her respective representatives,
heirs, executors and administrators and also a separate covenant with each of
the other of them that the several persons, if any, who shall become members
of the company in the manner contained in the Memorandum and Articles of
Association, to be a joint stock company under the name and style specified
in the Memorandum of Association and that such company and the members
there of shall be subject to the declarations contained in the Memorandum
and Articles of Association and that such company and the members thereof
shall be subject to the declarations contained in the Memorandum and Articles
of Association.
