RECORDING AGREEMENT
This Recording Agreement ("Agreement") is made on this ___ day of
_____________, 20, by and between Hitsound Records ("Label") and
[Artist's Legal Name] ("Artist"). Collectively referred to as the
"Parties."
WHEREAS, the Label is a record company engaged in the business
of producing, promoting, and distributing music recordings; and
WHEREAS, the Artist is a musical artist desiring to record and
release musical compositions and sound recordings;
NOW, THEREFORE, in consideration of the covenants and promises
contained herein, the Parties agree as follows:
1. TERM: This Agreement shall commence on the Effective Date
and continue for a period of [Number] years unless earlier
terminated in accordance with this Agreement.
2. RECORDING COMMITMENT: a. The Artist agrees to
deliver a minimum of [Number] studio albums to the Label
during the Term. b. The Label shall have the right of first refusal
to release any additional studio albums recorded by the Artist
during the Term.
3. EXCLUSIVE RECORDING AGREEMENT: a. The Artist
agrees to record exclusively for Hitsound Records during the
Term, and shall not record for any other record label, except
with the prior written consent of the Label.
4. ADVANCES: a. The Label agrees to provide the Artist with an
advance payment of $__________ upon the signing of this
Agreement. b. Additional advances for recording expenses,
promotional activities, and other costs shall be provided as
mutually agreed upon by the Parties in writing.
5. ROYALTIES: a. The Artist shall be entitled to royalties based
on the net revenue earned from the sale and exploitation of
sound recordings, as outlined in Exhibit A attached hereto.
6. PUBLISHING RIGHTS: a. The Parties shall enter into a
separate agreement for publishing rights, if applicable, with
respect to the musical compositions recorded under this
Agreement.
7. ARTISTIC CONTROL: a. The Artist shall have creative
control over the musical content of the recordings, subject to the
Label's approval of the final masters.
8. DISTRIBUTION: a. The Label shall be responsible for the
distribution of the sound recordings produced under this
Agreement through all available channels, including physical
and digital distribution.
9. PROMOTION: a. The Label shall use commercially reasonable
efforts to promote and market the Artist's sound recordings.
10. TERMINATION: a. Either party may terminate this
Agreement upon written notice to the other party for a material
breach of this Agreement, subject to the cure provisions outlined
herein. b. The Label may terminate this Agreement if the Artist's
recordings fail to meet mutually agreed-upon sales or streaming
targets, as set forth in Exhibit B.
11. GOVERNING LAW: a. This Agreement shall be
governed by and construed in accordance with the laws of the
state of [State], without regard to its conflict of laws principles.
