Business Agreement

This Agreement is entered into on this ___ day of ___, 2024, by and between:

Recitals

Whereas, ACVL is a movers and packers company providing relocation services across
Canada and seeks to enhance its sales through the services of an external vendor;
Whereas, XYZ agrees to serve as a sales vendor for ACVL, managing lead conversions
and customer acquisition according to the terms herein;
Therefore, both parties agree to the following terms and conditions:

1. Scope of Services

1.1 The Vendor shall be responsible for the sales function on behalf of ACVL, converting
leads provided by the Company into successful sales.

1.2 ACVL will provide the Vendor with 150 leads per sales agent per month. Additional
leads can be provided upon request, subject to availability.

1.3 The cost of lead generation, as well as access to ACVL’s CRM and Zoho Voice
systems, will be borne by ACVL.

2. Commission Structure

2.1 The Vendor’s commission will be based on the conversion rate of leads provided by
ACVL and calculated on the sale value before tax according to the following structure:

● 5% on sale value for achieving a 10% to below 15% conversion rate.


● 7.5% on sale value for achieving greater than 15% conversion rate

2.2 Commissions shall be paid only after the successful completion of the job and once
the final invoice is fully paid by the end customer.

2.3 The Company will determine the frequency of commission payouts, either:
● Commission to be paid Between the 1st and 5th of the month for the jobs
completed in the previous month.

2.4 A minimum 10% conversion rate is required for commission eligibility. However, the
Vendor will have a 3-month cooling period from the start date during which this
minimum requirement will not apply.

3. Vendor Responsibilities

3.1 The Vendor shall be responsible for all additional resources and operational costs
required to perform the services outlined in this Agreement, including but not limited to:

● Laptops
● Wi-Fi connectivity
● Office rent (if applicable)
● Agent salaries

3.2 The Vendor shall ensure that all sales agents adhere to ACVL’s standards for
professionalism and quality in client interactions.

4. Confidentiality

4.1 The Vendor agrees to maintain the confidentiality of all client data, ACVL’s business
information, and other sensitive data. This information shall not be shared or disclosed
to third parties without prior written consent from ACVL.

4.2 This confidentiality obligation shall remain in effect both during and after the
termination of this Agreement.

5. Term and Termination

5.1 This Agreement shall commence on the Effective Date and remain in effect until
terminated by either party.

5.2 Either party may terminate this Agreement by providing 30 days’ written notice to
the other party.

5.3 In cases of material breach by either party, this Agreement may be terminated
immediately. Termination due to breach requires written notice specifying the nature of
the breach.

6. Dispute Resolution

6.1 In the event of any disputes arising from this Agreement, both parties agree to first
attempt to resolve the matter through good faith negotiation.
6.2 If negotiations fail, the matter will be referred to mediation. If mediation does not
resolve the dispute, both parties agree to submit to the jurisdiction of [specify
appropriate jurisdiction].

7. Miscellaneous

7.1 Amendments: Any modifications to this Agreement shall be made in writing and
signed by both parties.

7.2 Entire Agreement: This Agreement constitutes the complete understanding between
ACVL and XYZ concerning the subject matter hereof and supersedes all prior
discussions or agreements.

7.3 Indemnification: The Vendor agrees to indemnify and hold harmless ACVL against
any claims or damages arising from the Vendor’s negligence or misconduct.

7.4 Assignment: Neither party may assign its rights or obligations under this Agreement
without the prior written consent of the other party.

7.5 Governing Law: This Agreement shall be governed by the laws of [specify governing

IN WITNESS WHEREOF, the parties have executed this Agreement on the date first
written above.

8. Subcontractors. Except otherwise stipulated, the Service Provider may, at their


discretion, retain a third-party subcontractor to perform some of all of the roofing
services of the Services under this Agreement, and the Client agrees not to retain
or employ any outside parties to help with the Services.

9. Dispute Resolution. Parties to this Agreement shall first attempt to settle any
dispute through good-faith negotiation. If the dispute cannot be settled between
the parties via negotiation, either party may initiate mediation or binding
arbitration in the State of ________________. If the parties do not wish to mediate
or arbitrate the dispute and litigation is necessary, this Agreement will be
interpreted based on the laws of the State of _________________, without regard to
the conflict of law provisions of such state. The Parties agree the dispute will be
resolved in a court of competent jurisdiction in the State of
_____________________.

10. Governing Law. This Service Agreement shall be governed in all respects by the
laws of the State of ___________________ without regard to the conflict of law
provisions of such state. This Agreementshall be binding upon the successors
and assigns of the respective parties.
11. Force Majeure. Service Provider and any of its employees or agents shall not be
in breach of this Service. Agreement for any delay or failure in performance
caused by reasons out of its reasonable control. This includes, but is not limited
to, acts of God or a public enemy; natural calamities; failure of a third party to
perform; changes in the laws or regulations; actions of any civil, military or
regulatory authority; power outage or other disruptions of communication
methods or any other cause which would be out of the reasonable control of the
Service Provider.

12. No Waiver. No waiver of or failure to act upon any of the provisions of this
Agreement or any right or remedy arising under this Agreement shall be deemed
or shall constitute a waiver of any other provisions, rights or remedies (whether
similar or dissimilar).

13. Amendment. This Agreement may be amended only by a writing signed by all of
the Parties hereto.

14. Entire Agreement. This Agreement constitutes the sole and entire agreement of
the Parties regarding the subject matter contained herein, and supersedes all
prior and contemporaneous understandings, agreements, representations, and
warranties, both written and oral, regarding such subject matter. This Agreement
may only be amended, modified, or supplemented by an agreement in writing
signed by each Party hereto.
