 ANNEXURE: 3 - TERMS AND CONDITIONS

1. Price/s are for equipment and services as detailed and indicated in this offer.
2. All prices are in SAR

• Our quotation includes the following items.

• Supply of material as detailed in Description and BOM

3. The following items are NOT included in this Quotation

• Installation, Mounting and other related works or supervision thereof

• All expenses for client, Buyer’s and any third parties witness of inspection for factory shop test
• Any additional cost when the special tests beyond our standard tests are required
• Supply of Testing Equipment
• Network switches and printer
• Supply of Cables
• Any fasteners required to mount the offered items at site.

4. PAYMENT TERMS:

Advance through TT with PO 50%

Through TT upon readiness prior to dispatch 50%

• The invoice will be supported by a timesheet /Minutes of meeting / letter signed by our engineer and
customer’s representative. Subsequent deputation of the engineer will be at our discretion if any previous
invoice of commissioning charges becomes overdue.
• The customer should settle the 15% VAT amount appearing in the invoice within one week from date of the
invoice. There is no credit for VAT as we need to file our returns and pay to FTA every month.
• Testing and Commissioning-Fifteen days included with one-time mobilization.
• Each mobilization thereafter will be charged at SAR 3000.
• Testing and Commissioning- SAR 2500/DAY/PERSON

5. VALIDITY:

• Up to one month from the date of the quote, and thereafter it shall be subject to AET’s confirmation.

6. DELIVERY PERIOD:

• 12 to 14 Weeks from the effectiveness of the contract, design drawing approval, and advance clearance.
• Ex-work Dammam

7. WARRANTY:

All equipment supplied under this Quotation shall be guaranteed against any defects caused to Seller design,
material and workmanship, for 12 months from the ready for commissioning or 18 months form the date of B/L
date whichever comes earlier

8. FACTORY INSPECTION:

Routine tests shall be carried out on the Equipment. However, as an inspection, only one set of each type of
Equipment will be conducted. If an inspection by Client or any third party is required, traveling, meal charge,
accommodation and any other fees for inspectors shall be borne and paid by the Client or the third party. Any
Inspection other than Equipment test is not considered. Inspection shall be carried out in compliance with an
approved test procedure.

9. PACKING:

Seller standard export packing shall be applied. Heavy equipment will be shipped bare. The packing shall be adequate
to protect against mechanical damage during transport to its final destination, including any transition during
shipment and will be packed suitable for indoor storage for up to three (3) months after arriving at site origin country.
In case the Client prefers to store the Equipment for more than three (3) months, then it should be treated as long-tern
storage and shall be maintained in accordance with the instructions given by Seller.

10. SHIPMENT:

The shipment shall be affected within 2 weeks from factory shop (acceptable test). The extension of the guarantee
period resulted from the delay of shipment is not permitted.

11. CUSTOMS DUTIES, TAX AND CHARGES:

Seller’s Proposal does not include any taxes, custom duties, levies or other charges in any kind or whatsoever imposed
outside the country of origin. If required those cost, it shall be borne and paid by the Client. Any kind of tax or insurance
fee is not included in our proposal, either. If the contract should be subject to these tax or fees, it shall be borne and
paid by the Client.

12. CANCELLATION CHARGES:

1. Initial Consultation and Design Phase:

• Percentage: 25% of total project cost
2. Engineering and Documentation:
• Percentage: 25% of total project cost.
3. Procurement and materials:
• Percentage: 25% of total project cost.
4. Manufacturing and Assembly:
• Percentage: 25% of total project cost.
13. LIABILITY:

No liability is accepted for any damages caused to the equipment or other properties belonging to the customer due to
accidents or mishaps during service, maintenance, erection and commissioning and it will therefore be unto the
customer to insure against these risks. Our company shall be fully indemnified against all damages or any
responsibility for any mishap in the plant, machinery etc. or for any accident during erection to the staff provided by
the customer or by a third party. It will therefore be up to the customer to ensure the healthiness of the tools and
tackles, plant and machinery, scaffoldings and other equipment provided to us for the work before its use.
