CONTRACT OF SERVICE

KNOW ALL MEN BY THESE PRESENTS:

This Contract of Service (hereinafter, the “Contract”) HIS CONTRACT made and entered
into by and between:

The PRIMEWATER INFRASTRUCTURE CORP., LEYTE


METRO, a private company that provides water to its service coverage area of
seven towns and one city and a corporation duly organized and existing under
and by virtue of the laws of the Republic of the Philippines; with a branch
office business address at A. Mabini Street, Tacloban City, represented by its
OperationsBranch HeadManager GLADYS G. KEMPISSANSY N. SUSON,
herein referred to as the FIRST PARTY;

ALIW BROADCASTING CO., a corporation duly organized and existing


under and by virtue of the laws of the Republic of the Philippines, LAMRAG
RADIO, a provincial station of Aliw Broadcasting Co. that is engaged in
production, advertising, and broadcasting with a business address at Corner
San Francisco and Texas Streets, Phase 4 Extension, Brgy. 109-A, V&G
Subdivision, Tacloban City, represented by its proprietor Dr. NICODEMUS
ABIA, herein referred to as the SECOND PARTY.

WITNESSED: That –

WHEREAS, the SECOND PARTY is engaged in business of radio broadcasting, production


and advertisement under the provincial radio station: DYAW - LAMRAG RADIO TACLOBAN
89.5 kHz.

WHEREAS, the FIRST PARTY already has a radio program with an outlet for the
SECOND PARTY, which was ;

WHEREAS, the said radio program was originally run, managed and anchored by its joint
venture partner, the Leyte Metropolitan Water District (“LMWD”);

WHEREAS, the radio program was one of the assumed programs by the FIRST
PARTY in on 2 July 2019 September 2019 when LMWD entered into a Joint Venture Agreement
with the FIRST PARTY, for the Financing, Development, Rehabilitation, Refurbishment,
Expansion, Improvement, Operation and Maintenance of the Water Supply and Septage Management
Systems of Leyte Metropolitan Water District; the above-mentioned radio program was one of the
programs assumed by the FIRST PARTY;

WHEREAS, during the time of the commencement of the the said Rradio Program
program managed by the LMWD there is no written agreement between the LMWD and the

SECOND PARTY, thus, herein parties agreed to execute this Contract to formalize said

agreementdoes not have a written Black and White Contract between the LMWD and the SECOND
PARTY.

NOW THEREFORE PREMISES CONSIDERED, the parties have hereunto agreed on


the following terms and conditions:

[1.] Term. This Contract shall be effective for a term of one year ________________ which will
commence on September 2024________________________ until SeptemberDecember
20254. service contract will be entered into by and between the first and second parties
beginning in September and ending in December 2024. This Contract may be extended or
renewed upon mutual written agreement of the PARTIES.

[2.] During the term of the contract, the parties agreedThat both PARTIES agrees to wit;

[2.1.] The SECOND PARTY agreed to broadcast will be broadcasting the FIRST PARTY's
radio program (block time) on an agreed-upon schedulee;

1.1. The SECOND PARTY shall ould broadcast the FIRST PARTY's program
simultaneously on radio and its social media platforms, such as the second
Second party's Party's Facebook page.

1.2. The SECOND PARTY shall regularly produces program and information-
development plugs to promote the FIRST PARTY's program on other time slots;

1.3. To ensure that more consumers have access, the SECOND PARTY should have
at least 30% of the total number of PWLMs consumers as followers on the
FIRST PARTY's Facebook page.;

1.4. The SECOND PARTY should attain the frequency of the service provider and
cover the service coverage area of the FIRST PARTY, which is currently seven
towns and one city;

1.5. Prior to the airing of the program concerning several issues in water supply
operations, The the SECOND PARTY should inform the FIRST PARTY’s Public
Relations for its review and approvalshould study and approve the SECOND
PARTY issues that will be discussed in the program;

1.6. The SECOND PARTY Program should be broadcast live on the official
Facebook page of the FIRST PARTY via a link;

1.7. The SECOND PARTY shall send a monthly accomplishment report to the
FIRST PARTY (such as; date, topic, guest, interviewee or other remarks that
provide activity information);

1.8. The FIRST PARTY should give the content required for the program, such as
images, films, etc. ;

1.9. The FIRST PARTY should provide the SECOND PARTY with significant
people for interviews on matters concerning the first party;

1.10. That both parties agreed to modify timeslots whenever one deemed it necessary,
and that in the event that they were unable to reach a consensus, they would
adhere to the previous timeslot.

2. Miscellaneous

2.1. Governing Law. This Agreement shall be governed by, construed and enforced in
accordance with the laws of the Republic of the Philippines.

2.2. Amendments and Non-Waiver. No amendment to this Agreement shall be considered


and enforced unless the same is in writing and mutually agreed by the Parties.
None of the provisions of this Agreement shall be considered waived by either Party
except when such waiver is given in writing. The failure of either Party to insist, in
any one or more instances, upon strict performance of any provisions of this
Agreement or to take advantage of any of its rights hereunder shall not be construed
to be a waiver of any such provisions or the relinquishment of any such rights for the
future, but the same shall continue and remain in full force and effect.
2.3. Dispute Resolution. All efforts shall be exhausted for the amicable settlement of any
dispute arising from this Agreement.

2.3.1.1. Any dispute(s) which could not be settled amicably shall be litigated
in the proper courts of Las Piñas City, to the exclusion of other
courts.

2.4. Obligations Pending Resolution. The Parties shall continue to perform their
respective obligations under this Agreement while the same is in effect
notwithstanding the existence of any dispute between the Parties to the extent that the
performance of such obligation will not depend upon the resolution of the outstanding
dispute.

2.5. Separability. The invalidity or unenforceability of any provision of this Agreement


shall not be deemed to alter the validity of any other provision.
