WORK AGREEMENT - With - Travel Agency
This Work Agreement is made and entered into on this ___ day of February 2025, by and
between:
1. Travelogia, a duly organized and existing under the laws of India, with its principal office
located at H-8, RK Casta, B/H Patel Super Market, Station Road, Bharuch – 392001,
AND
2. Shiva Pharmachem Ltd, a company duly organized and existing under the laws of India,
with its principal office located at Z-88, Z-88/4, Dahej Industrial Estate, SEZ-1, Taluka
Vagra, Dist: Bharuch - 392001.
WHEREAS the Travel Agency is in the business of providing travel services, and the Client desires
to engage the Travel Agency for travel-related services; now, therefore, the parties agree as
follows:
1. Scope of Work:
The Travel Agency shall provide the following services to Shiva Pharmachem Ltd:
Train Bookings
Domestic and International Flight Bookings
Hotel Reservations
Travel Packages (Domestic & International)
Visa Processing and Services
The agreed rates for the services provided by the Travel Agency are as follows:
Train Bookings:
₹100 + 18% GST = ₹118/- Per Person, Per Ticket
Domestic Flight:
₹200 + 18% GST = ₹236/- Per Person, Per Ticket
International Flight:
₹500 + 18% GST = ₹590/- Per Person, Per Ticket
Hotel Reservations:
₹300 + 18% GST = ₹354/- Per Room, Per Night
Package Cost:
As per the actual package cost.
Domestic Packages will include 5% GST .
International Packages will include 5% GST, with an additional 5% TCS (Tax Collected at
Source) applicable.
Visa Service:
The service charge for visa processing will depend on the country and visa type. The
Travel Agency shall provide a detailed quote for each visa service upon request.
3. Payment Terms:
Invoice Submission: The Travel Agency will submit invoices for each service rendered
upon confirmation of booking (e.g., after ticket issuance, hotel booking, or visa service).
Payment Deadline: All payments are due within 30 days from the date of the invoice.
Mode of Payment: Payments shall be made via [bank transfer, cheque, or other agreed
method] to the Travel Agency’s designated bank account.
4. Client’s Obligations:
The Client shall provide all necessary documentation and information required for travel
bookings (e.g., passport details, travel preferences, etc.).
The Client shall ensure that all travelers comply with relevant travel regulations,
including visa, vaccination, and health and safety requirements.
The Client agrees to notify the Travel Agency of any changes or cancellations at least 10
days in advance, as per the booking terms and conditions.
The Travel Agency shall provide timely updates and confirmations regarding all bookings
and services rendered.
The Travel Agency will act in good faith to secure the best available rates but cannot
guarantee specific rates or availability of services.
The Travel Agency will handle any issues related to bookings (e.g., cancellations,
amendments) as per the terms and conditions set by the respective service providers
(airlines, hotels, etc.).
Either party may terminate this Agreement with 10 days’ written notice to the other
party.
In the event of cancellation, the Client shall be liable for any non-refundable charges
already incurred by the Travel Agency.
If the Client terminates the Agreement before the agreed term, any outstanding
balances for services rendered up to the termination date shall be payable immediately.
7. Confidentiality:
Both parties agree to keep all proprietary or confidential information received during the term
of this Agreement confidential, including, but not limited to, business plans, customer details,
financial data, and trade secrets.
8. Liability:
The Travel Agency is not responsible for any loss, damage, or inconvenience caused by
circumstances beyond its control, including but not limited to flight delays, hotel
overbookings, or natural disasters.
The Client is advised to obtain travel insurance to cover any potential disruptions or
unforeseen events during travel.
9. Force Majeure:
Neither party will be liable for failure or delay in the performance of their obligations under this
Agreement due to any cause beyond their reasonable control, including but not limited to
natural disasters, pandemics, wars, or government restrictions.
10. Dispute Resolution:
In case of any disputes or disagreements arising from or in connection with this Agreement, the
parties agree to resolve the matter through negotiation. If a resolution cannot be reached,
disputes shall be resolved through arbitration under the laws of India/Gujarat, with the
arbitration taking place in Bharuch.
11. Amendments:
This Agreement shall be governed by and construed in accordance with the laws of
India/Gujarat.
IN WITNESS WHEREOF, the parties hereto have executed this Agreement on the date first above
written.
