Essential T&C to be incorporated on the Purchase Order with other Standard T&C‘s
This Purchase order is non-cancellable till the Microsoft agreement term period.
TOYOTA FINANCIAL SERVICES INDIA Ltd can reserve additional licenses through VLSC, for these additional
users TOYOTA FINANCIAL SERVICES INDIA Ltd has to release order for the complete remaining term period
at the time of immidiate anniversary.
In case of any changes (Decrement) of total number of users, but not less than the basic enterprise
comittment, TOYOTA FINANCIAL SERVICES INDIA Ltd will inform in writing to ‘COMPAREX India’ at least 60
days prior to the immidiate anniversarey for the reconcilation of total number of users, else default billing
for (BEC + Additional Reserved Quantity) will be acceptable to TOYOTA FINANCIAL SERVICES INDIA Ltd.
In case of any changes (Decrement) of total number of users, but not less than the basic enterprise

reconcilation of total number of users, else will be billed as per the base agreement quantity (BEC + Any
Additional Reserved Quantity).
Payment Terms: 3 years Spread payment Orders
o 1st Installment: 100% along with the PO
o 2nd Installment: 100% against Invoice
o 3rd Installment: 100% against Invoice
o True Up / Additional Seats Orders - 100% payment along with the confirmed Purchase Order.
Note: This is in concurrence with Microsoft Billing Process. Microsoft billing to COMPAREX is also for
the complete remaining period.
Delivery 2-3 weeks from the date of receipt of formal signed Purchase Order with advance payment.
Prices quoted are for product / subscription only, Any implementation related support or service required
would be charged additionally or as per agreed SOW or mutual agreement.
Customer need to fill up the details and sign the OSA form after new agreement number is generated, and
before configuring any account in cloud, This is mandatory for accepting any Microsoft O365 EA.

T-36 is the proactive Customer engagement process to take a long-term view of the account and creates a
disciplined approach to maximizing customer value of Enterprise Agreement Subscription and in their
relationship with Microsoft. Following are the key benefits:

1. Licensing Management web site for all types of licenses, conducting Licensing workshop to help customer
in managing various activities on his VLSC site like,
Microsoft licensing workshop for demosntrating usage rights, FAQ etc.
Credentials management, Adding existing licenses etc.
Retrieving license keys, Downloading product media
SA benefit activation and managements.
2. Deliverables by TAM / Pre-Sales (Technical Account Manager) - consulting, orientation of the new products.
Technical workshop to demosntrate procured Microsoft Software Licenses
Supporting IT leadership team in building IT roadmap of the organization by keeping synergy towards the
business roadmap & Suggesting the adoption of relevant technology to increase overall end user
productivity.
Participate in designing technology refreshment and upgrade plan with IT team and deployment in latest
technology
Coordinating between client and Microsoft for channelizing various benefits like Technology training, End
user technical support.
Demonstration of enhancement of the existing products, any specific instance raised by customer, can be
taken up along with Microsoft technology team on case to case basis.
Demonstration to be done on technology as per the “Gap Analysis” carried out by COMPAREX in the
customer IT Infrastructure during the overall technology analysis.
Demonstration to be done for all new releases of products covered under EA during the tenure of EA.
