The information contained in this Request for Proposal document (the “RFP”) or subsequently
provided to Bidder(s), whether verbally or in documentary or any other form by or on behalf of
Ecotourism Society of Himachal Pradesh (HPECOSOC) under the aegis of HP Forest
Department (HPFD) or any of its employees or advisors, is provided to Bidder(s) on the terms
and conditions set out in this RFP and such other terms and conditions subject to which such
information is provided.
This RFP is not an agreement and is neither an offer nor invitation by the HPECOSOC to the
prospective Bidders or any other person. The purpose of this RFP is to provide interested individuals or
parties with information that may be useful to them in making their financial offers pursuant to this
RFP. This RFP includes statements, which reflect various assumptions and assessments arrived at by
the HPECOSOC in relation to the Project. Such assumptions, assessments and statements do not
purport to contain all the information that each Bidder may require. This RFP may not be appropriate
for all persons, and it is not possible for HPECOSOC, its employees or advisors to consider the
investment objectives, financial situation and particular needs of each party who reads or uses this RFP.
The assumptions, assessments, statements and information contained in the Bidding Documents,
especially in RFP, Draft Concession Agreement (DCA) Schedules and any other documents issued by
the Authority from time to time may not be complete, accurate, adequate or correct. Each Bidder
should, therefore, conduct its own investigations and analysis and should check the accuracy, adequacy,
correctness, reliability and completeness of the assumptions, assessments, statements and information
contained in this RFP and obtain independent advice from appropriate sources.
Information provided in this RFP to the Bidder(s) is on a wide range of matters, some of which may
depend upon interpretation of law. The information given is not intended to be an exhaustive account of
statutory requirements and should not be regarded as a complete or authoritative statement of law. The
HPECOSOC accepts no responsibility for the accuracy or otherwise for any interpretation or opinion
on law expressed herein.
The HPECOSOC and its employees and advisors make no representation or warranty and shall have
no liability to any person, including any Bidder under any law, statute, rules or regulations or tort,
principles of restitution or unjust enrichment or otherwise for any loss, damages, cost or expense which
may arise from or be incurred or suffered on account of anything contained in this RFP or otherwise,
including the accuracy, adequacy, correctness, completeness or reliability of the RFP and any
assessment, assumption, statement or information contained therein or deemed to form part of this RFP
or arising in any way for participation in this Bid Process. The HPECOSOC also accepts no liability
of any nature whether resulting from negligence or otherwise howsoever caused arising from
reliance of any Bidder upon the statements contained in this RFP.
The HPECOSOC may in its absolute discretion, but without being under any obligation to do so,
update, amend or supplement the information, assessment or assumptions contained in this RFP.
The issue of this RFP does not imply that is bound to select a Bidder or to appoint the Selected

Bidder or Operator, as the case may be, for the Project and the HPECOSOC reserves the right to
reject all or any of the Bidders or Bids without assigning any reason whatsoever.
The Bidder shall bear all its costs associated with or relating to the preparation and submission of
its Bid including but not limited to preparation, copying, postage, delivery fees, expenses
associated with any demonstrations or presentations which may be required by the HPECOSOC or
any other costs incurred in connection with or relating to its Bid. All such costs and expenses will
remain with the Bidder and the HPECOSOC shall not be liable in any manner whatsoever for the
same or for any other costs or other expenses incurred by a Bidder in preparation for submission
of the Bid, regardless of the conduct or outcome of the Bidding Process.

Bidding Document will be available for download on the portal: http://hptenders.gov.in/ free of
cost. However, prior to submitting its Bid on the portal, the Bidder shall be required to make
payment of non-refundable Bid Document Fee of Rs.25,000/- (Rupees Twenty Five Thousand
only) plus 18% (eighteen percent) GST, i.e. Rs.29,500/- (Rupees Twenty-Nine Thousand and
Five Hundred Only) if applied for one site, Rs.59,000/- (Rupees Fifty-Nine Thousand Only) if
applied for two sites, Rs.88,500/- (Rupees Eighty-eight Thousand and Five Hundred Only) if
applied for three sites, and so on, online through RTGS in the bank account of “CCF-cum-
CEO” Eco-Tourism, Account Number 30192250526, IFSC: SBIN0004122 of HPECOSOC
and proof of the same shall be submitted along with biding documents.
1. The Bidding Document shall not be available for purchase directly from the office of
HPECOSOC.
2. HPECOSOC is issuing Request for Proposal Documents for 77 potential ecotourism
sites in the State, on the portal http://hptenders.gov.in/ . The interested parties/ Bidders
are free to apply and submit their Bids for any number of Ecotourism Sites subject to
the following conditions:
(i) Payment of Bid Document Fee plus GST for each ecotourism site for
which the Bidder is interested to submit its Bid;
(ii) Payment of Bid Security for each ecotourism site for which the Bidder is
interested to submit its Bid;

(iii) In case a Bidder is interested in submitting its Bid for more than one
ecotourism site, it shall demonstrate additional positive Net Worth of Rs. 3
crores for each additional ecotourism site separately. However, in case where
the Bidder is a certified Bonafide Himachali, the Net Worth requirement shall
be Rs. 1 crore for each Ecotourism Site for which such a Bidder is submitting
its Bid.
For example:
(b) For 2 (two) ecotourism sites, the Bidder shall have to show a positive Net
Worth of Rs. 6,00,00,000/- (Rupees Six Crores Only) or above;
(c) For 3 (three) ecotourism sites, the Bidder shall have to show a positive Net
Worth of Rs. 9,00,00,000/- (Rupees None Crores Only) or above;
(a) For 1 (one) ecotourism site, the certified Bonafide Himachali Bidder shall
have to show a positive Net Worth of Rs. 1,00,00,000/- (Rupees One Crores
Only) or above;
(b) For 2 (two) ecotourism sites, the certified Bonafide Himachali Bidder shall
have to show a positive Net Worth of Rs. 2,00,00,000/- (Rupees Two Crores
Only) or above;
(c) For 3 (three) ecotourism sites, the certified Bonafide Himachali Bidder shall
have to show a positive Net Worth of Rs. 3,00,00,000/- (Rupees Crore Three
Only) or above;

(d) So on and so forth
(iv) In case the Bidder submits its Bids for more ecotourism sites but does not possess the
requisite positive Net Worth for the same, then HPECOSOC shall send an email to
such Bidder (on the email address provided by such Bidder in Annexure 3) calling
upon the said Bidder to convey in writing within a period of 5 (five) days from the date
of the said email, its selected ecotourism site(s) for which its Financial Bid(s) should be
opened and the ecotourism site(s) for which its Technical Bid(s) should be rejected by
HPECOSOC since the Bidder does not meet the positive Net Worth requirement for the
number of ecotourism sites for which it has submitted its Bids. In the event,
HPECOSOC does not receive any intimation inwriting from such Bidder or such Bidder
fails to exercise the said option, within the aforesaid period of 5 days, then HPECOSOC
shall take recourse to conducting draw of lots for determining the particular Technical

Bids of such Bidder which is to be rejected. However, before conducting draw of lots,
HPECOSOC shall convey to such Bidder in writing that the Bidder may depute a
representative to witness the conducting of draw of lots on a specified date and time. If
such Bidder’s representative fails to be present for the conduct of draw of lots then
HPECOSOC shall have the right to proceed with the conducting of the draw of lots on
its own and inform the result pursuant to draw of lots to such Bidder. Thereafter,
HPECOSOC shall proceed further with the evaluation process as specified in this RFP
for such ecotourism sites which are finalized in pursuance to the above procedure.
For example:
(i) A particular Bidder, other than a certified Bonafide Himachali Bidder, has
submitted its Bid for 5 ecotourism sites and its positive Net Worth is only Rs.9
crores (i.e. less than the essentially required Rs.15 crores for 5 ecotourism sites
and Rs.12 crores for 4 ecotourism sites), then he will be considered/ qualified
(subject to meeting other requirements as per the RFP) as per the procedure
specified in the clause 1.2.4.
(ii) In case a particular certified Bonafide Himachali Bidder has submitted its
Bid for 5 ecotourism sites and its positive Net Worth is only Rs. 3 crores (i.e.
less than the essentially required Rs. 5 crores for 5 ecotourism sites and Rs. 4
crores for 4 ecotourism sites), then he will be considered/ qualified (subject to
meeting other requirements as per the RFP) as per the procedure specified in
the clause 1.2.4

1. INTRODUCTION
Himachal Pradesh is a small Himalayan State having a population of 67 Lakhs (as per
Census 2011) with 90% of its population living in rural areas. The State’s agrarian
economy is sustained largely by the Himalayan ecosystem and its natural resources, with
forests, which is two-thirds of the geographical area of the State, being crucial for the
State’s environmental, ecological and economic wellbeing.
1.1.1 Globally, ecotourism has been recognized as an influential tool for conservation of
forests, biodiversity/ wildlife and scenic landscapes. It does so by creating sustainable
alternative livelihoods for forest-dependent communities and by generating conservation
awareness among the masses and decision-makers. In order to strengthen community
control and management of the forests, it is important to generate a sustainable flow of
non-extractive financial benefits of forests for the communities, to ensure that the
communities take interest in the conservation of forests and wildlife. Ecotourism is
perhaps the only means of achieving this end. So the Ecotourism development aims to
devise ways to build a resilient local community and developing their skills and
competencies to deal with resource depletion, changing climate and related environment
challenges. Site communities need to be made aware of the pressures on their available
resources, the impact of their decisions on the environment as well as choices available to
them for following a sustainable development pathway.
1.1.2 The Eco-Tourism Policy, 2024 (hereinafter the “H.P. Eco-Tourism Policy”) aims at
bringing the wilderness and virgin ecosystems of Himachal Pradesh closer to visitors and
at the same time ensure adequate safeguards and systems for the protection and
conservation of these natural resources. By involving local communities, the policy
would help in increased livelihood opportunities as well as their involvement in
awareness building, protection and conservation.
1.1.3 The Government of Himachal Pradesh in the Forest Department has identified few sites
in the State which have the potential to be developed as ecotourist sites in accordance
with the ecotourism principles as set out in the H.P. Eco-Tourism Policy, 2024 which
provide that such ecotourist projects shall be environmentally sustainable and shall
promote environmental conservation, knowledge and understanding of nature as well as
employment generation for local communities and raising public awareness about
environmental conservation and sustainable use of environmental resources. The
Government desires to promote eco-tourism in the State of Himachal Pradesh by
adoption of low-impact practices that result in water security, food security and
livelihood security for the local communities besides encouraging sustainable use of

indigenous materials through financially viable value chains thereby helping such local
communities.
1.2 Preamble
1.2.2 In this regard, the Authority has identified a total of 77 (Seventy-Seven) ecotourism sites
for undertaking ecotourism activities at different forest lands in the State, which have a
high potential of attracting tourists and visitors. The Authority is issuing Request for
Proposal Documents for 77 ecotourism sites spread across the State of Himachal Pradesh
on the e-procurement portal http://hptenders.gov.in/. The names of the 77 ecotourism
sites along with the concerned Forest Circle and Forest Division are as follows:

1.2.3 HPECOSOC/ the Authority is issuing tender / Request for Proposal Documents for each
of the above 20 ecotourism sites. The interested parties/ Bidders are free to apply and
submit their Bids for any number of ecotourism sites listed above, subject to the
following conditions:
(i) Payment of Bid Document Fee plus GST for each ecotourism site for which the
Bidder is interested to submit its Bid;
(ii) Payment of Bid Security for each ecotourism site for which the Bidder is interested
to submit its Bid;

(iii) In case a Bidder is interested in submitting its Bid for more than one ecotourism

1. For Bidders other than certified Bonafide Himachalis
(i) For 1 (one) ecotourism site, the Bidder shall have to show a positive Net Worth of
Rs. 3,00,00,000/- (Rupees Four Crores Only) or above;
(ii) For 2 (two) ecotourism sites, the Bidder shall have to show a positive Net Worth of
Rs. 6,00,00,000/- (Rupees Eight Crores Only) or above.
(iii) For 3 (three) ecotourism sites, the Bidder shall have to show a positive Net Worth
of Rs. 9,00,00,000/- (Rupees Twelve Crores Only) or above;
(i) For 1 (one) ecotourism site, the certified Bonafide Himachali Bidder shall have
to show a positive Net Worth of Rs. 1,00,00,000/- (Rupees Three Crores Only) or

1.2.4 In case the Bidder submits its Bids for more ecotourism sites but does not possess the
requisite positive Net Worth for the same, then HPECOSOC shall send an email to such
Bidder (on the email address provided by such Bidder in Annexure-3) calling upon the

the above procedure.
For example:
1.2.6 The right of way and access to the Ecotourism Site along with any structure(s) thereon or
plant and machinery installed thereat other than the Forest Rest House, if any, shall be
assigned to the Selected Bidder (the “Operator”) on “as-is-where-is” basis only for the
purpose developing and setting up various ecotourism facilities and activities and
thereafter operating, managing and maintaining the same in terms of the provisions of
this RFP and the agreement to be entered into between the Operator and the Authority
(the “Draft Concession Agreement” or the “Agreement”), the draft format of which is
provided as Vol. II of this RFP. It is however clarified that the Operator shall not have
any title or right over the land/ Ecotourism Site. The access to the Ecotourism Site is
being provided to the Operator only for the limited purpose of undertaking the Project.
The title and ownership of the Ecotourism Site and any structure thereon or plant and
machinery installed thereat whether of permanent or temporary nature, shall always
remain with the Authority.

1.2.7 The Concession Agreement sets forth the detailed terms and conditions, rights/obligations
of the Operator and modalities for implementation under the proposed arrangement (the
“Concession”). Unless the context otherwise requires, the terms not defined in this RFP,
but defined in the Concession Agreement for the Project shall have the meaning assigned
thereto in the Agreement.
1.2.8 The Divisional Forest Officer of the concerned Forest Division under which the
Ecotourism Site falls, shall be responsible for overall supervision and ensuring smooth
implementation of the Project. In case there is any default of the Operator due to violation
of any Applicable Laws, terms of the Concession Agreement or failure to make payment
of the Annual Concession Fee within the prescribed time, the same shall lead to
termination of the Concession Agreement due to Operator’s such default. For further
details on the scope, rights & obligations of the Operator in relation to the Project, kindly
refer to the Draft Concession Agreement.
1.2.9 The duration of the proposed Concession is a period of 10 (ten) years which may be
further extendable at the sole discretion of the Authority upto a period of 5 (five) years,
provided the Operator is not in default of any of its obligations under the Concession
Agreement, is running the Project in a satisfactory manner by not committing any
violation of the Applicable Laws and there are no disputes/ claims pending for
adjudication between the Parties in relation to the Project (the “Concession Period”).
1.2.10 Pursuant to award of the concession and execution of the Agreement, the Selected
Bidder/ Operator shall prepare a Development Plan (as defined in the Draft Concession
Agreement) proposing the various facilities and activities planned at the Ecotourism Site,
complete with requisite design & drawings in hard copies as well as in digital form
prepared in accordance with the provisions of the H.P. Eco-Tourism Policy; Ministry of
Environment & Climate Change Guidelines on Eco- tourism in Forest and Wildlife
Areas-2021; the Van (Sanrakshan Evam Samvardhan) Adhiniyam, 1980 and the Van
(Sanrakshan Evam Samvardhan) Rules, 2023 (as amended from time to time);the
Guidelines and Clarifications, 2023 issued under Van (Sanrakshan Evam Samvardhan)
Adhiniyam, 1980 and the Van (Sanrakshan Evam Samvardhan) Rules, 2023 (as amended
from time to time) and thereafter submit it to the Authority for seeking its prior approval
before commencing the development works and operation at the Ecotourism Site
accordingly. The ecotourism facilities to be developed and ecotourism activities to be
undertaken during the Concession Period shall be strictly as per the carrying capacity of
the Ecotourism Site to be assessed and determined by the Operator in consultation with
the Divisional Forest Officer/ officials of HPFD prior to preparing the Development Plan.
Although, the carrying capacity for any ecotourism site would vary according to site
conditions, however, as a standard norm for a 1.00 (one) hectare ecotourism site, the
carrying capacity of such site would be between 50 (fifty) to 80 (eighty) overnight
staying visitors/ Users at the Ecotourism Site excluding the staff & personnel
deployed by the Operator for the running, operation and maintenance of the Site,

and in no event can the number of overnight visitors/ Users at the Ecotourism Site
exceed the figure of 80 persons (including children), this being the maximum carrying
capacity of the Ecotourism Site for overnight stay without causing any land degradation.
The approximate number of day visitors expected by the Operator should be
specified in the Development Plan, however, the range of maximum number of day
visitors should be kept from 100 to 180 visitors per day who can spend only up to 6
hours in a day for various permitted ecotourism activities whether on the
Ecotourism Site or in the surrounding forest area as per approved Development
Plan. The final decision in this regard shall be taken by the Nodal Officer/ DFO of
the Ecotourism Site keeping in view the specific requirements of the Site from
time to time. The Operator shall ensure that the staff & personnel deployed by
Operator for the running, operation and maintenance of the Site are kept within a
reasonable limit as set in the approved Development Plan for the Ecotourism Site.
Any Development Works (as defined under the Concession Agreement) or activity
carried out or any facility developed at the Ecotourism Site by the Selected Bidder/
Operator which is beyond its carrying capacity as approved by the Authority in the
Development Plan, shall not be allowed by the Authority at any point of time and such
breach of the carrying capacity limit/ threshold shall be deemed as violation of the
Applicable Laws entitling the Authority to take action against the Operator as per law and
also levy Damages on the Operator besides ordering immediate closing down of such
work/ activity/ facility by the Operator.
1.2.11 The Operator, shall at its cost and expense plan, design and develop the ecotourism
facilities and undertake/ provide the ecotourism activities at the Ecotourism Site in
accordance with the Development Plan (as defined in the Draft Concession Agreement)
approved by the Authority. Particularly, the Operator shall ensure that it shall implement
the Project strictly in accordance with the applicable laws particularly the provisions of
the H.P. Eco-Tourism Policy; Ministry of Environment & Climate Change Guidelines on
Eco-tourism in Forest and Wildlife Areas-2021; the Van (Sanrakshan Evam Samvardhan)
Adhiniyam, 1980 and the Van (Sanrakshan Evam Samvardhan) Rules, 2023 (as amended
from time to time); the Guidelines and Clarifications, 2023 issued under Van (Sanrakshan
Evam Samvardhan) Adhiniyam, 1980 and the Van (Sanrakshan Evam Samvardhan)
Rules, 2023 (as amended from time to time) without any deviation.
1.2.12 While developing infrastructure/ facilities for ecotourism and thereafter operating,
providing of services and maintaining the same during the Concession Period, the
Selected Bidder/ Operator shall ensure that the natural profile and ecological integrity of
the Ecotourism Site including its biodiversity value is maintained. No permanent
structure/ infrastructure/ facilities/ shall be made/ constructed or developed at the
Ecotourism Site as part of the Project, however, temporary structures/ facility made
predominantly of natural material of local origin may be allowed as per the applicable
laws related to development of ecotourism sites both the Central and State Government
level. The Selected Bidder/ Operator shall ensure overnight stay at the Ecotourism Site as

per the carrying capacity and the Development Plan approved by the Authority at the
Ecotourism Site. Further, the Selected Bidder/ Operator shall ensure full compliance with
the ‘do not disturb’ guidelines of the Authority (as issued from time to time) in relation to
the Ecotourism Site, during the Concession Period. These Guidelines shall also be
displayed at the Ecotourism Site for the information and compliance by the visitors as
well.
1.2.13 The Selected Bidder/ Operator shall maximize the participation of the local communities
in the Project by involving them in various activities including operation, maintenance
and providing of services at the Ecotourism Site. The Selected Bidder/ Operator shall also
endeavour to:
i. use energy efficient and ecologically sustainable infrastructure as well as practices to
minimize the carbon footprint which has the least impact on natural resources and
local culture;
ii. seek to harness or amplify the resources unique to the region with minimal
interventions, adopting renewable energy sources and sustainable design approaches
for promoting the Ecotourism Site as ecotourism destination;
iii. create opportunities for larger participation by the local communities in the Project;
iv. source fruits, vegetable, milk and other products as far as possible from locals of the
area (only if the rates are reasonable for the Operator in sourcing from them);
v. promote sale of local products by setting up nature haat where the locals can set up
stalls for sale of their local products to public;
1.2.14 At least 3 (three) months prior to completion of the Concession Period or early
termination due to any reason, the Authority or any committee so constituted by the
Authority in this regard, shall assess the nature of facilities and activities existing on the
Ecotourism Site on such date and the consequential restoration required to be carried out
thereat to determine the charges/ costs required to be paid by the Operator for restoring
the Ecotourism Site to its previous condition (“Eco-Restoration Charges”). The
Operator shall be obligated to pay such Eco-Restoration Charges as determined by the
Authority/ committee within a period of 15 (fifteen) days from the demand raised by the
Authority. Pursuant to such payments being made, the Authority shall release the
Performance Security of the Operator. The idea is to bring back the Ecotourism Site to its

original condition (or as near to original as possible), through charges levied and
collected from the Operator which shall be utilised towards (a) mitigating any impact on
Ecotourism Site at the forest lands; and (b) afforestation/ supplementing the process of
natural rejuvenation at the Ecotourism Site.
1.2.15 Upon termination of the Concession Agreement due to any reason during the initial 10
years of the Concession Period, the Operator shall have the option to either take away all
its assets (whether over or under ground) brought to the Ecotourism Site for the purpose
of implementing the Project, or handover the same to the Authority, without any
obligation of the Authority to pay or adjust any consideration to the Operator. However,
in the event the termination of the Concession Agreement is on account of efflux of time
i.e. after completion of Concession Period of 10 years or any extension of Concession
Period granted by the Authority, the Operator shall mandatorily remove/ clear all its
assets (whether over or under ground) brought to the Ecotourism Site so as to enable eco-
restoration of the Ecotourism Site against payment of Eco-restoration Charges by the
Operator.
1.2.16 The Selected Bidder/ Operator shall develop an attractive website for the Potter Hill
Ecotourism Site giving particulars about the developed site, the facilities & activities
available, how to reach the Ecotourism Site, online booking options, etc. for the
convenience of public.
1.2.17 Forest Rest Houses, if any, at or abutting the eco-tourism site(s) shall not be given or
utilised for any ecotourism purposes by the Operator.
1.2.18 The statements and explanations contained in this RFP are intended to provide a better
understanding to the Bidders about the subject matter of this RFP and should not be
construed or interpreted as limiting in any way or manner the scope of services and
obligations of the Operator set forth in the Concession Agreement or the Authority’s/
HPECOSOC’s rights to amend, alter, change, supplement or clarify the scope of work,
the Concession to be awarded pursuant to this RFP or the terms thereof or herein
contained. Consequently, any omissions, conflicts or contradictions in the Bidding
Documents including this RFP are to be noted, interpreted and applied appropriately to
give effect to this intent, and no claims on that account shall be entertained by the
Authority.
2. INSTRUCTION TO BIDDERS
The Authority shall receive Bids from interested and eligible parties (the “Bidder”)
pursuant to this RFP in accordance with the terms set forth herein this RFP and other
documents and volumes provided by the Authority along with this RFP as modified,
altered, amended and clarified from time to time by the Authority through issuance of

corrigenda/ addenda (collectively the “Bidding Documents”), and all Bids shall be
prepared and submitted in accordance with such terms, before the date specified in
Clause 4.4 for submission of Bid (the “Bid Due Date”).
2.1.1 The Bidding Document comprises the Disclaimer set forth hereinabove and will
additionally include any Addenda issued in accordance with Clause 3.9.
2.1.2 The Bidders are advised and expected to carry out their own surveys, investigations and
due diligence of the Project/ Ecotourism Site in detail, and carry out, at their cost, such
studies with respect to the estimates about the Project cost, before submitting their
respective Bids for award of the Project.
2.2.1 The Authority has adopted single stage two-step open competitive e-bidding process
(referred to as the “Bidding Process”) for selection of the Bidder for award of the
Project. The Bidding Process shall be carried out in accordance with procedure set out in
this Bidding Document. All Bidders shall submit their respective Technical Bid and
Financial Bid against this Bidding Document in a single stage on the e-procurement
portal http://hptenders.gov.in/. The first step of the process involves qualification of
interested Parties on the basis of the Technical Bid submitted by the Bidders in
accordance with the provisions of this Bidding Document. At the end of the first step, the
Authority shall shortlist technically qualified Bidders (the “Qualification Phase”). In the
second step of the process, Financial Bid of only those shortlisted technically qualified
Bidders shall be opened and evaluated for identification of the Selected Bidder (the
“Financial Bid Phase”).
2.2.2 The Bidding Documents shall be available online and can be downloaded from the e-
procurement portal http://hptenders.gov.in/ free of cost. However, prior to submitting/
uploading its Bid, the Bidder shall be mandatorily required to make payment of non-
refundable Bid Document Fee of Rs. 25,000/- (Rupees Twenty Five Thousand Only) plus
GST @18% for each site i.e. Rs.29,500/- (Rupees Twenty-Nine Thousand and Five
Hundred Only) if applied for one site, Rs.59,000/- (Rupees Fifty-Nine Thousand Only) if
applied for two sites, Rs.88,500/- (Rupees Eighty-eight Thousand and Five Hundred
Only) if applied for three sites, and so on, through RTGS/ NEFT to the Bank Account of
HPECOSOC as per the details provided below:
2.2.3 The Bid shall be valid for a period of not less than 180 (one hundred and eighty) days
from the Bid Due Date as specified in Clause 4.8 (the “Bid Validity Period”).

2.2.4 The Bidder is required to deposit, along with its Bid, a security of Rs.5,00,000/- (Rupees
Five Lakhs Only) i.e. One DD/FDR of Rs.5,00,000/- (Rupees Five Lakhs only) for one
site, Two DDs/FDRs of Rs.5,00,000/- (Rupees Five Lakhs only) for two sites, Three
DDs/FDRs of Rs.5,00,000/- (Rupees Ten Lakhs only) for three sites ,and so on, in favour
of the “CCF-cum-CEO Ecotourism, Mist Chamber, Khalini, Shimla” issued by a
Scheduled Bank in India (the “Bid Security”).
2.2.5 The Bidders to note that the payment of Bid Security shall be made from the account of
Bidder only. If Bid Security has been made from any account other than that of the
Bidder’s own account, the same shall not be accepted and such Bid shall be considered
ineligible and summarily rejected.
2.2.6 The original Demand Draft/ FDR shall be submitted as a part of the hard copy of the
Technical Bid, in a separate envelope marked as ‘Bid Security’. The scanned copy of the
Demand Draft/ FDR shall be uploaded online, along with the soft copy of the Technical
Bid, on the e-procurement portal: https://hptenders.gov.in/. The Bid shall be summarily
rejected if it is not accompanied by the Bid Security.
2.2.7 The Bid Security shall be refundable not later than 180 (one hundred eighty) days
from the Bid Due Date except in the case of the Selected Bidder, whose Bid Security
shall be retained till the Selected Bidder has provided a Performance Security and
deposited the first quarterly instalment of Annual Concession Fee (defined below) in
terms of this RFP to the Authority, within 15 (fifteen) days from the date of issuance
of the Letter of Acceptance (“LoA”).
2.2.8 In consideration of the privileges and interest granted by the Authority to the Selected
Bidder/ Operator for the limited purpose to implement the Project strictly in terms of the
Bidding Documents particularly the Draft Concession Agreement, the Operator shall pay
to the Authority an annual fee for an amount quoted by the Selected Bidder and accepted
by the Authority (the “Annual Concession Fee” or “ACF”) payable every year (of the
Concession Period) in advance along with all taxes, levies etc. as may be applicable
thereon.
2.2.9 The Annual Concession Fee amount shall constitute the sole criteria for evaluation of
Financial Bids. In this RFP, the term “Highest Bidder” shall mean the Bidder who is
offering the highest Annual Concession Fee for the first year of the Concession.
2.2.10 The Annual Concession Fee plus applicable taxes & levies thereon for the first year of
the Concession Period reckoned from the Compliance Date, shall be payable in advance
by the Operator to the Authority in 4 (four) equal quarterly instalments (as defined in the
Draft Concession Agreement). However, the payment of the first quarterly instalment of
the ACF shall be paid by the Operator along with the Performance Security within the
period stipulated in the LoA issued by the Authority as a pre-condition for signing of the
Concession Agreement. The Annual Concession Fee shall escalate at the rate of 3%

(three percent) annually over the previous value of Annual Concession Fee, till the end
of the Concession Period.
2.2.11 On each anniversary of the Compliance Date, ACF for the entire year (at the applicable
rate after applying the escalation formula as stated above) plus applicable GST thereon,
shall be paid by the Operator in advance to the Authority.
2.2.13 Any queries concerning this RFP shall be submitted only via email to CEO-cum-PCCF
Ecotourism on the e-mail address: hpecosoc@gmail.com. The subject line of the email
communication shall clearly bear the following title: “Queries on RFP for: Selection of
an Operator for Design, Development, Management/ Providing Services to run Eco-
tourism activities at Potter Hill in Shimla Forest Division of Shimla Forest Circle in
the State of Himachal Pradesh”.
2.2.14 Bidders are advised to be specific and pose clause wise queries in an unambiguous
manner. The Authority reserves the right not to respond to vague and frivolous queries.

11. There is no limit on the size of the file uploaded at the server end. However, the
upload is decided on the memory available at the system as well as the network
bandwidth available at that point of time. In order to reduce the file size, Bidder(s) are
suggested to scan the documents in 75-100 DPI so that the clarity is maintained and
also the size of file also gets reduced. This will help in quick uploading even at very
low bandwidth speeds.
12. In case of offline payments as per Bidding Document, the details of the such payment
documents (DD or FDR) submitted physically to the HPECOSOC/ Authority and the
scanned copies furnished as a part of the Bid submitted online should be the same
otherwise the Bid will be summarily rejected.
13. HPECOSOC/ Authority will not be held responsible for any sort of delay or the
difficulties faced during the submission of Bids online by the Bidders due to local or
other issues.
14. The Bidder shall submit the Bid in online mode only through the e-Procurement
Portal. Offline documents will not be handled through this system.
15. Financial Bid shall be filled and submitted online only on the e-Procurement Portal.
No hard copy of the Financial Bid will be submitted to the HP ECOSOC/
Authority.
16. The Bidder(s) should regularly check the website of HPECOSOC and the e-
Procurement Portal for any amendment / corrigendum / clarification regarding the e-
Procurement process. No Bid can be modified subsequent to the last date of
submission of the Bid on e-Procurement Portal. No Bid can be withdrawn in the time
period between the last date for submission of the Bid and the expiry of the e-Bid
validity period as specified in the Bidding Document.
3.1.1 A Bidder may be an individual, sole proprietorship, partnership firm, limited liability
partnership under the Limited Liability Partnership Act, 2008 or a company (whether
public or private) incorporated under the Companies Act 1956/2013 or any other legal
entity duly registered and existing as per its applicable governing law(s).
3.1.2 Each Bidder shall submit only one Bid for the Project, in response to this RFP. Any
Bidder, who submits more than one Bid for the Project, will be disqualified.
3.1.3 A Bidder shall not have a conflict of interest (the “Conflict of Interest”) that affects the
Bidding Process. Any Bidder found to have a Conflict of Interest shall be disqualified. In
the event of disqualification, the Authority shall forfeit, invoke and appropriate the Bid
Security or Performance Security, as the case may be, of such Bidder without prejudice to
any other right or remedy that may be available to the Authority hereunder or otherwise.

Without limiting the generality of the above, a Bidder shall be considered to have a
Conflict of Interest that affects the Bidding Process, if :

3.1.4 A Bidder shall be liable for disqualification if any legal, financial or technical adviser of
the Authority in relation to the Project is engaged by the Bidder or any Associate thereof,
as the case may be, in any manner for matters related to or incidental to the Project during
the Bidding Process or subsequent to the (i) issue of the LoA or (ii) execution of the
Concession Agreement. In the event any such adviser is engaged by the Selected Bidder
or Operator, as the case may be, after issue of the LoA or execution of the
Concession Agreement for matters related or incidental to the Project, then
notwithstanding anything to the contrary contained herein or in the LoA or the
Concession Agreement and without prejudice to any other right or remedy of the
Authority, including the forfeiture and appropriation of the Bid Security or Performance
Security, as the case may be, which the Authority may have there under or otherwise, the
LoA or the Concession Agreement, as the case may be, shall be liable to be terminated
without the Authority being liable in any manner whatsoever to the Selected Bidder or
Operator for the same. For the avoidance of doubt, this disqualification shall not apply
where such adviser was engaged by the Bidder or Associate in the past but its assignment
expired or was terminated 6 (six) months prior to the date of issue of this RFP. Nor will
this disqualification apply where such adviser is engaged after a period of 1 (one) year
from the date of signing of the Concession Agreement.
3.1.5 Bidders who are certified Bonafide Himachali entrepreneurs shall be allowed relaxation
in meeting the Financial Capacity under the Minimum Eligibility Criteria. Thus the
Bidders who are certified “Bonafide Himachalis” shall be required to show a minimum
positive Net Worth of Rs.1,00,00,000/- (Rupees One Crore Only) at the close of the
financial year preceding the Bid Due Date i.e. on March 31, 2024. The term “Bonafide
Himachali” as used herein shall bear the same meaning as ascribed to it under the
Himachal Pradesh Tenancy and Land Reforms Act, 1972; Himachal Pradesh Government
O.M. No. 12- 7/73/SAD dated August 18, 1972 and the Himachal Pradesh Housing and
Urban Development Authority (Allotment, Sale of Houses, Flats and Plots) Regulations,
2004 as amended from time to time.
3.1.6 In addition to other documents required to be furnished by the Bidder as a part of its Bid
as specified in the RFP, any Bidder claiming to be a certified “Bonafide Himachali” must
submit copy/ies of Bonafide Himachali Certificate(s) issued by competent authority in
Himachal Pradesh as proof. In case such Bidder fails to furnish this certificate, its Bid
will be rejected.
In case where the Bidder applying as a certified Bonafide Himachali, is an entity and not
a natural person, then:

(a) Where Bidder is a company then all its shareholders shall be holders of Bonafide
Himachali certificate from the competent authority within the State of Himachal
Pradesh;
(b) Where Bidder is a Trust then all its Trustees shall be holders of Bonafide Himachali
certificate from the competent authority within the State of Himachal Pradesh;
(c) Where the Bidder is a Registered Society then all its Members shall be holders of
Bonafide Himachali certificate issued by the competent authority within the State of
Himachal Pradesh;
(d) Where the Bidder is a Partnership Firm/ Limited Liability Partnership then all its
Partners shall be holder of Bonafide Himachali certificate issued by the competent
authority within the State of Himachal Pradesh; and
(e) Where the Bidder is a proprietorship then its proprietor shall be holder of Bonafide
Himachali certificate issued by the competent authority within the State of Himachal
Pradesh.
Note : HPECOSOC reserves the right to seek confirmation about the authenticity/
genuineness of the Bonafide Himachali certificate(s) appended as a part of Bid.
3.2.1 To be eligible for pre-qualification and short-listing, a Bidder shall fulfill the following
conditions of eligibility :

3.2.2 For the purposes of this RFP, methodology for calculating Net Worth shall be under:
(b) in case of a Sole Proprietor: aggregate value of assets and deducting liabilities (Net
Worth = Total Assets – Total Liabilities)
(c) in case of a Partnership firm/ LLP: [Fixed Assets +Trade Receivables + Current
Assets] – [Firms Loan +Current Liabilities]
(d) in case of a Company: the aggregate value of the paid-up share capital and all
reserves created out of the profits and securities premium account, after deducting the
aggregate value of the accumulated losses, deferred expenditure and miscellaneous
expenditure not written off, as per the audited balance sheet, but does not include
reserves created out of revaluation of assets, write-back of depreciation and
amalgamation.
3.2.3 The Bidder shall enclose with its Bid, to be submitted as per the format at Annexure 4,
complete with supporting documents as specified in Clause 3.2.1, the Certificate from its

statutory auditors/ chartered accountant specifying the Net Worth of the Bidder at the
close of the financial year on March 31, 2024, and also specifying that the methodology
adopted for calculating such Net Worth is in accordance with the methodology provided
in Clause 3.2.2 above.
3.2.4 The Bidder should submit a Power of Attorney as per the format at Annexure 2,
authorising the signatory of the Bid to commit the Bidder pursuant to the terms and
conditions of the Bidding Document. If the Bid is submitted by a natural person or a
proprietor himself/ herself, then, no POA is required. However, if the Bid is being signed
by a person other than the proprietor or the Bidder himself/ herself, POA authorizing the
person to submit the Bid on behalf of the Bidder shall be enclosed with the Bid.
3.2.5 A Bidder should, in the last 3 (three) years, have neither failed to perform on any
contract, as evidenced by imposition of a penalty by an arbitral or judicial authority or a
judicial pronouncement or arbitration award against the Bidder nor has been expelled
from any project or contract by any public entity nor have had any contract terminated by
any public entity for breach by such Bidder nor any of its accounts declared as a Non-
Performing Account (NPA) by any Bank or Non-Banking Financial Institute in India.
3.2.6 Any Bidder/ entity which has been barred by the Central/ State Government, or any entity
controlled by it, from participating in any project (infrastructure or otherwise)/ tender,
and the bar subsists as on the Bid Due Date would not be eligible to submit a Bid.
a. Bidders should attach clearly marked and referenced continuation sheets in the
event that the space provided in the prescribed forms in the Annexes is
insufficient. Alternatively, Bidders may format the prescribed forms making due
provision for incorporation of the requested information;
b. information supplied by a Bidder must apply to the Bidder named in the Bid and
not, unless specifically requested, to other associated companies or firms; and
c. in responding to the qualification phase, Bidders should demonstrate their
capabilities in accordance with Clause 3.2.
3.2.8 For the purpose of this RFP, in the event that the Bid Due Date falls within 3 (three)
months of the closing of the latest financial year of a Bidder, it shall ignore such financial
year for the purposes of its Bid and furnish all its information and certification with
reference to the 1 (one) year preceding its latest financial year. For the avoidance of
doubt, financial year shall, for the purposes of a Bid hereunder, mean the accounting year
followed by the Bidder in the course of its normal business.
3.3.1 No Bidder shall submit more than one Bid for the same Project.

3.3.2 The Bidders shall be responsible for all of the costs associated with the preparation of
their Bids and their participation in the Bid Process. The Authority will not be
responsible or in any way liable for such costs, regardless of the conduct or outcome of
the Bidding Process.
3.4.1 Bidders are advised to submit their respective Bids after visiting the Ecotourism Site and
ascertaining for themselves the conditions, accessibility, topography, terrain, location,
surroundings, climate, existing infrastructure, availability of power, water and other
utilities for development, handling and storage of materials, weather data, applicable laws
and regulations, and any other matter considered relevant by them.
3.4.2 For the purpose of visit to the Ecotourism Site, the Bidders are required to contact the

Bid, execution of the Project in accordance with the Bidding Documents and
performance of all of its obligations thereunder; and
(f) acknowledged and agreed that inadequacy, lack of completeness or incorrectness
of information provided in the Bidding Documents or ignorance of any of the
matters referred to in Clause 3.5 hereinabove shall not be a basis for any claim for
compensation, damages, extension of time for performance of its obligations, loss
of profits etc. from the Authority, or a ground for termination of the Concession
Agreement by the Operator.
3.5.2 The Authority shall not be liable for any omission, mistake or error in respect of any of
the above or on account of any matter or thing arising out of or concerning or relating to
the RFP or the Bidding Process, including any error or mistake therein or in any
information or data given by the Authority.
3.6.1 Notwithstanding anything contained in this RFP, the Authority reserves the right to
accept or reject any Bid and to annul the Bidding Process and reject all Bids, at any time
without any liability or any obligation for such acceptance, rejection or annulment, and
without assigning any reasons therefor. In the event that the Authority rejects or annuls
all the Bids, it may, in its discretion, initiate re-bidding process by inviting fresh Bids for
the Project. Any such notice shall be uploaded on the e-procurement portal and the
website of the Authority.
3.6.2 The Authority reserves the right to reject any Bid if:
3.6.3 In case it is found during the evaluation or at any time before signing of the Concession
Agreement or after its execution and during the period of subsistence thereof, including
the Concession thereby granted by the Authority, that one or more of the qualification
conditions have not been met by the Bidder, or the Bidder has made material
misrepresentation or has given any materially incorrect or false information, the Bidder
shall be disqualified forthwith if not yet appointed as the Operator either by issue of the
LoA or entering into of the Concession Agreement, and if the Bidder has already been

issued the LoA or has entered into the Concession Agreement, as the case may be, the
same shall, notwithstanding anything to the contrary contained therein or in this RFP, be
liable to be terminated, by a communication in writing by the Authority to the Bidder,
without the Authority being liable in any manner whatsoever to the Bidder. In such an
event, the Authority shall be entitled to forfeit and appropriate the Bid Security or
Performance Security, as the case may be, as Damages, without prejudice to any other
right or remedy which the Authority may have under the Bidding Documents or under
applicable law.
3.6.4 The Authority reserves the right to verify all statements, information and documents
submitted by the Bidder in response to the RFP. Any such verification or lack of such
verification by the Authority shall not relieve the Bidder of its obligations or liabilities
hereunder nor will it affect any rights of the Authority thereunder.
3.6.5 Any condition or qualification or any other stipulation contained in the Bid shall render
the Bid liable to rejection as a non-responsive Bid.
3.6.6 The documents including this RFP and all attached documents, provided by the Authority
are and shall remain or become the properties of the Authority and are transmitted to the
Bidders solely for the purpose of preparation and the submission of a Bid in accordance
herewith. Bidders are to treat all information as strictly confidential and shall not use it
for any purpose other than for preparation and submission of their Bid. The provisions of
this Clause 3.6.6 shall also apply mutatis mutandis to Bids and all other documents
submitted by the Bidders, and the Authority will not return to the Bidders any Bid,
document or any information provided along therewith.
3.7.1 Vol.-I of the RFP comprises of the disclaimer set forth hereinabove, the contents as listed
below, and will additionally include any Addenda issued in accordance with Clause 3.9:

3.8.1 Bidders requiring any clarification on the Bidding Documents may notify the Authority
through e-mail in accordance with Clause 2.2.14. They should send in their queries
before the date specified in the Schedule of Bidding Process contained in Clause 2.3. The
Authority shall endeavour to respond to the queries within the period specified therein,
but no later than 10 (ten) days prior to the Bid Due Date. The Authority will upload all
the responses on the e-procurement portal http://hptenders.gov.in/ and on Authority’s
website https://himachalecotourism.in without identifying the source of queries.
3.8.2 The Authority shall endeavour to respond to the questions raised or clarifications sought
by the Bidders. However, the Authority reserves the right not to respond to any question
or provide any clarification, in its sole discretion, and nothing in this Clause shall be
taken or read as compelling or requiring the Authority to respond to any question or to
provide any clarification.
3.8.3 The Authority may also on its own motion, if deemed necessary, issue interpretations and
clarifications to all Bidders. All clarifications and interpretations issued by the Authority
shall be deemed to be part of the RFP. Verbal clarifications and information given by the
Authority or its employees or representatives shall not in any way or manner be binding
on the Authority.
3.9.1 At any time prior to the deadline for submission of Bid, the Authority may, for any
reason, whether at its own initiative or in response to clarifications requested by a Bidder,
modify the RFP by the issuance of Addenda.
3.9.2 Any Addendum thus issued will be uploaded on the portal http://hptenders.gov.in/ and on
Authority’s website https://himachalecotourism.in
3.9.3 In order to afford the Bidders a reasonable time for taking an Addendum into account, or
for any other reason, the Authority may, in its sole discretion, extend the Bid Due Date.

4.1 Language
The Bid and all related correspondence and documents in relation to the Bidding Process
shall be in English language. Supporting documents and printed literature furnished by
the Bidder with the Bid may be in any other language provided that they are accompanied
by translations of all the pertinent passages in the English language, duly authenticated
and certified by the Bidder. Supporting materials, which are not translated into English,
may not be considered. For the purpose of interpretation and evaluation of the Bid, the
English language translation shall prevail.
4.3.1 The Bidder prepare the ORIGINAL set of the Technical Bid in terms of Clause 4.2 and
4.3 and seal it in an envelope and mark the envelope as “Technical Bid”. The Technical
Bid envelope shall contain the following documents:
a. Covering letter clearly stating the validity period of the Bid in the prescribed
format Annexure 1.
b. Power of Attorney for signing the Bid, as per the prescribed format Annexure 2
and duly notarized1.

g. copies of Bidder’s duly audited balance sheets and profit and loss account for the
preceding financial year;
k. Bid Security by way of Demand Draft or FDR for an amount of Rs.5 lakhs for
each site i.e. One DD/FDR of Rs.5,00,000/- (Rupees Five Lakhs only) for one
site, Two DDs/FDRs of Rs Rs. 5,00,000/- (Rupees Ten Lakhs only) each for two
sites, Three DDs/FDRs of Rs Rs. 5,00,000/- (Rupees Ten Lakhs only) each for
three sites, and so on, in favour of “CCF-cum-CEO Ecotourism, Mist Chamber,
Khalini, Shimla” issued by a Scheduled Bank in India.
4.3.2 The Bid Security (original Demand Draft or FDR) and proof of payment of Bid
Document Fee shall be put together in an envelope marked as “Bid Security”. The
original set of the Technical Bid shall also be put in another envelope and marked as
“Technical Bid”. Both the envelopes shall then be put in an outer envelope marked as
“Bid”. All the envelopes shall be sealed with adhesive tape and shall clearly bear the
following identification:

AND
Further, the outer envelope should also bear the name and complete address of the Bidder
along with telephone/ mobile number of the authorized signatory of the Bidder. If the
envelopes are not sealed and marked as instructed above, the Authority assumes no
responsibility for the misplacement or premature opening of the contents of the Bid
submitted.
4.3.4 The Bidder subject to payment of Bid Document Fee as per the details specified on the e-
procurement portal, shall upload the soft copy of the ORIGINAL Bid prepared in terms
of this Clause 4.3 in PDF/XLS/RAR/DWF formats along with all the supporting
documents required to be submitted along therewith as specified in Clause 2.4 (Special
Instructions to the Bidders for submission of the Bids online through the e-Procurement
Portal https://hptenders.gov.in/) and deliver the hard copy of the Bid to the address as
specified in Clause 4.3.3 before the Bid Due Date. The Bidder whose Bid (comprising of
both Technical Bid and Financial Bid along with payment of Bid Document Fee online)
is not uploaded on the e-procurement portal https://hptenders.gov.in/ and whose hard
copy (comprising of only Technical Bid and original Bid Security & proof of Bid
Document Fee payment online) is not received in the office of the Authority on or before
the Bid Due Date, the Bid of such Bidder shall be summarily rejected.
4.3.5 In the event of any discrepancy between the original Bid and the soft copy of the Bid, the
soft copy version shall prevail.

4.3.6 The Financial Bid shall be submitted online on the portal https://hptenders.gov.in/ alone
in the format specified there and not submitted in hard copy format.
4.3.7 Bids submitted by fax, telex, telegram or e-mail shall not be entertained and shall be
rejected.
4.4.1 Bids should be submitted before 5.05.2025 upto 17:00 hrs. (IST) on the Bid Due Date at
the address mentioned in Clause 4.3.3 in the manner and form as detailed in this RFP.
4.4.2 The Authority may, in its sole discretion, extend the Bid Due Date by issuing an
Addendum in accordance with Clause 3.9 uniformly for all Bidders.
4.5.1 Bids received by the Authority after the specified time on the Bid Due Date shall not be
eligible for consideration and shall be summarily rejected.
The Bidder may modify or substitute or withdraw its Bid prior to the Bid Due Date. No
Bid shall be modified, substituted or withdrawn by the Bidder after the Bid Due Date and
any alteration/ modification in the Bid or additional information supplied subsequent to
Bid Due Date unless the same has been expressly sought for by the Authority, shall be
disregarded.
4.7.1 The Authority reserves the right to accept or reject all or any of the Bids without
assigning any reason whatsoever. It is not obligatory for the Authority to accept any Bid
or to give any reasons for their decision.
4.7.2 The Authority reserves the right not to proceed with the Bidding Process at any time,
without notice or liability, and to reject any Bid without assigning any reason.
4.8.1 The Bids shall be valid for a period of not less than 180 (one hundred and eighty) days
from the Bid Due Date. The validity of Bids may be extended with the mutual consent of
the respective Bidders and the Authority.
4.9 Confidentiality
4.9.1 Information relating to the examination, clarification, evaluation and recommendation for
the Bidders shall not be disclosed to any person who is not officially concerned with the
process or is not a retained professional advisor advising the Authority in relation to or

matters arising out of, or concerning the Bidding Process. The Authority will treat all
information, submitted as part of the Bid, in confidence and will require all those who
have access to such material to treat the same in confidence. The Authority may not
divulge any such information unless it is directed to do so by any statutory entity that has
the power under law to require its disclosure or is to enforce or assert any right or
privilege of the statutory entity and/ or the Authority.
4.10.1 The Authority shall not entertain any correspondence with any Bidder in relation to
acceptance or rejection of any Bid.
5.1.1 The Bidder shall furnish as part of its Bid, a Bid Security for an amount of Rs. 5,00,000/-
(Rupees Five Lakhs Only) for each site referred to in Clause 2.2.4 above in form of a
Demand Draft or FDR in favour of the “CCF-cum-CEO Ecotourism, Mist Chamber,
Khalini, Shimla” issued by a Scheduled Bank in India. For the avoidance of doubt,
Scheduled Bank shall mean a bank as defined under Section 2(e) of the Reserve Bank of
India Act, 1934. No other mode of payment will be accepted. The Authority shall not be
liable to pay any interest on the Bid Security deposit so made and the same shall be
interest free.
5.1.2 Any Bid not accompanied by the Bid Security shall be rejected by the Authority as non-
responsive.
5.1.3 Save as provided in Clause 2.2.7, the Bid Security of unsuccessful Bidders will be
refundable, without any interest, not later than 180 (one hundred eighty) days from the
Bid Due Date except in the case of the Selected Bidder.
5.1.4 The Selected Bidder’s Bid Security will be returned, without any interest, upon the
Selected Bidder furnishing the Performance Security and payment of first quarterly
instalment of the Annual Concession Fee.
5.1.5 The Bidder by submitting its Bid pursuant to this RFP, shall be deemed to have
acknowledged and confirmed that the Authority shall be entitled to forfeit and
appropriate the Bid Security as compensation/ damages payable to the Authority for, inter
alia, time, cost and effort of the Authority without prejudice to any other right or remedy
that may be available to the Authority hereunder or otherwise, upon occurrence of any of
the events specified in Clause 5.1.6 below. No relaxation of any kind on Bid Security
shall be given to any Bidder.
5.1.6 The Bid Security shall be forfeited and appropriated by the Authority without prejudice
to any other right or remedy that may be available to the Authority hereunder or

5.2.1 The Selected Bidder shall provide to the Authority, a Performance Security prior to
signing of the Concession Agreement in the form of a Demand Draft issued by a
Scheduled Bank in India having it’s branch in District Shimla, issued in favour of
the “CCF-cum-CEO Ecotourism, Mist Chamber, Khalini, Shimla”, or through
RTGS/ NEFT into State Bank of India Account of PCCF-cum-CEO Eco-Tourism,
Account Number 30192250526, IFSC: SBIN0004122 of HPECOSOC, for the due
and faithful performance by the Selected Bidder/ Operator, within 15 (fifteen) days
from the date of issuance of the LOA. The Performance Security shall be for an
amount of Rs.10,00,000/- (Rupees Ten Lakhs Only) for each site or an amount
equivalent to first year’s Annual Concession Fee for each site, whichever is higher.
5.2.2 The Performance Security shall be appropriated at the sole discretion of the Authority
towards any liquidated damages that may be payable by the Selected Bidder to the
Authority due to default or breach of its Conditions Precedent, obligations, and/or against
termination eventualities attributed to the Selected Bidder/ Operator, under the terms of
the Concession Agreement. In case of such appropriation by the Authority, the Operator
shall re-furnish and replenish the Performance Security by an equal amount.
5.2.3 In the event the Selected Bidder fails to provide the Performance Security by the
stipulated period, the Authority would be entitled to forfeit the Bid Security of the
Selected Bidder in part or whole, without prejudice to any other right or remedy that may
be available to the Authority. The decision of the Authority in this regard is final and
binding.

6. EVALUATION OF BIDS
6.1.1 The Bid Evaluation Committee constituted by the Authority shall download all the Bids
received on the e-procurement portal on 03.08.2024 in the presence of the Bidders who
choose to attend. The representatives of the Bidder attending the opening of Bids should
carry out the authority letter.
6.1.2 Once downloaded, the Bid Evaluation Committee shall prepare a list of the Bidders
whose Bids are downloaded from the portal and whose Bids are received in hard copy in
the office of the Authority. Thereafter, Bids of only those Bidders shall be opened and
taken up for evaluation which have been received both online and offline in the manner
prescribed in this RFP.
6.2.1 Prior to evaluation of Bids, the Bid Evaluation Committee shall conduct a preliminary
scrutiny of the opened Bids to assess its prima facie responsiveness to the requirements
of the RFP. A Bid shall be considered responsive only if:
6.2.2 The Bid Evaluation Committee shall regard a Bid as responsive if it conforms to all
requirements set out hereinabove, or it contains minor deviations that do not materially
alter or depart from the characteristics, terms, conditions and other requirements set out

6.2.3 The Authority reserves the right to reject any Bid which is non-responsive and no request
for alteration, modification, substitution or withdrawal shall be entertained by the
Authority in respect of such Bid.
6.2.4 To facilitate evaluation of Bids, on the recommendations of the Committee, the Authority
may, at its sole discretion, seek clarifications in writing from any Bidder regarding its
Bid. Any clarification submitted by a Bidder with regard to its Bid that is not in response
to a request by the Committee shall not be considered.
6.3.1 The Bid Evaluation Committee will carry out a detailed evaluation of such substantially
responsive Bids in order to determine whether the submissions made, either in form of
information supplied in the prescribed formats and/ or documents annexed by the Bidder
in its Technical Bid, are in accordance with the requirements set forth in the Bidding
Document.
6.3.2 The Bidder’s competence and capability shall be evaluated solely on the basis of the
information provided and the financial strength/ credibility (Financial Capacity) of the
Bidder. The Bidder must establish the minimum Net Worth as specified in Clause 3.2
supported by certificate as per format at Annexure 4 along with the copies of the
supporting documents as specified at sr. no. 2 (Financial Capacity) of the table given in
Clause 3.2.1.
6.3.3 Only those Bidders who meet the eligibility criteria set forth in Clause 3.2 and whose
Technical Bids are evaluated to be compliant in terms hereof and assessed as being
capable of meeting the requirements specified in the RFP shall be declared as technically
qualified Bidders and only such qualified Bidders shall then progress to the opening and
evaluation of their Financial Bids. All other Bids which are not found to be technically
compliant shall be declared non-qualifying and hence would not be taken up for opening
and evaluation of the Financial Bids.
6.3.4 After the technical evaluation, the Authority shall prepare a list of qualified Bidders in
terms of Clause 6.3.2 for opening of their Financial Bids. A date, time and venue will be
notified to the qualified Bidders through the e-procurement portal. Before opening of the
Financial Bids, the list of technically qualified Bidders shall be published on the e-
procurement portal. Any query or clarification from Bidders who fail to qualify at any
stage of the Bidding Process shall not be entertained unless specifically sought in writing
by the Authority.
6.3.5 The Financial Bids of technically qualified Bidders shall be downloaded from the portal

6.3.6 Subject to the provisions of Clause 3.6, the Bidder whose Bid is adjudged as
responsive in terms of Clause 6.2.1 and who quotes the highest amount of Annual
Concession Fee (for the first year) payable to the Authority shall be declared as the
selected Bidder (the “Selected Bidder”).
6.3.7 In the event that two or more Bidders quote exactly the same amount of Annual
Concession Fee (the “Tied Bidders”), then the Authority reserves the right either to :
i. Invite fresh Bids (i.e. financial quotes) from such Tied Bidders; or
ii. Declare as successful such Tied Bidder whose Net Worth has been
evaluated to be higher than the other Tied Bidder; or
iii. Identify the Selected Bidder by draw of lots, which shall be
conducted, with prior notice, in the presence of the Tied Bidders,
who choose to attend; or
iv. Take any such measure as may be deemed fit in its sole discretion,
including annulment of the Bidding Process.
6.3.8 In the event that the highest Bidder withdraws or is not selected for any reason in the first
instance (the “first round of bidding”), the Authority may invite all the remaining
Bidders to revalidate or extend their respective Bid Security, as necessary, and match the
Bid of the aforesaid highest Bidder (the “second round of bidding”). If in the second
round of bidding, only one Bidder matches the highest Bidder, it shall be the Selected
Bidder. If two or more Bidders match the said highest Bidder in the second round of
bidding, then the Bidder whose Bid was higher as compared to other Bidder(s) in the first
round of bidding shall be the Selected Bidder.
6.3.9 After selection, a Letter of Acceptance (the “LoA”) shall be issued, in duplicate, by the
Authority to the Selected Bidder and the Selected Bidder shall, within 7 (seven) days of
the receipt of the LoA, sign and return the duplicate copy of the LoA in
acknowledgement thereof. In the event the duplicate copy of the LoA duly signed by the
Selected Bidder is not received by the stipulated date, the Authority may, unless it
consents to extension of time for submission thereof subject to a maximum of 10 (ten)
days, cancel the LoA and appropriate the Bid Security of such Bidder as mutually agreed
genuine pre-estimated loss and damage suffered by the Authority on account of failure of
the Selected Bidder to acknowledge the LoA, and the next eligible Bidder may be
considered.
6.3.10 After acknowledgement of the LoA as aforesaid by the Selected Bidder, the Selected
Bidder must submit Performance Security and first quarterly instalment to the Authority
within a period of 15 (fifteen) days from the date of the LoA. The Authority shall not
execute the Draft Concession Agreement until the Selected Bidder until the Bidder has

6.4.1 Bids shall be deemed to be under consideration immediately after they are opened and
until such time the Authority makes official intimation of issuance LoA/ rejection to the
Bidders. While the Bids are under consideration, Bidders and/ or their representatives or
other interested parties are advised to refrain from contacting by any means, the
Authority and/ or their employees/ representatives on matters related to the Bids under
consideration.
7.1 General
7.1.1 The Bidders and their respective officers, employees, agents and advisers shall observe
the highest standard of ethics during the Bidding Process and subsequent to the issue of
the LoA and during the subsistence of the Concession Agreement. Notwithstanding
anything to the contrary contained herein, or in the LoA or the Concession Agreement,
the Authority shall reject a Bid, withdraw the LoA, or terminate the Concession
Agreement, as the case may be, without being liable in any manner whatsoever to the
Bidder or Operator, as the case may be, if it determines that the Bidder or Operator, as the
case may be, has, directly or indirectly or through an agent, engaged in corrupt practice,
fraudulent practice, coercive practice, undesirable practice or restrictive practice in the
Bidding Process. In such an event, the Authority shall forfeit, invoke and appropriate the
Bid Security or Performance Security for each site, as the case may be, without prejudice
to any other right or remedy that may be available to the Authority hereunder or
otherwise.
7.1.2 Without prejudice to the rights of the Authority under Clause 7.1.1 and the rights and
remedies which the Authority may have under the LoA or the Concession Agreement, if
a Bidder or the Selected Bidder or the Operator, as the case may be, is found by the
Authority to have directly or indirectly or through an agent, engaged or indulged in any
corrupt practice, fraudulent practice, coercive practice, undesirable practice or restrictive
practice during the Bidding Process, or after the issue of the LoA or the execution of the
Concession Agreement, such Bidder or Operator shall not be eligible to participate in any
tender or RFP issued by the Authority during a period of 2 (two) years from the date such
Bidder or the Selected Bidder or the Operator, as the case may be, is found by the
Authority to have directly or indirectly or through an agent, engaged or indulged in any
corrupt practice, fraudulent practice, coercive practice, undesirable practice or restrictive
practices, as the case may be.
7.1.3 For the purposes of this RFP, the following terms shall have the meaning hereinafter

a. “corrupt practice” means (i) the offering, giving, receiving, or soliciting, directly
or indirectly, of anything of value to influence the actions of any person connected
with the Bidding Process (for avoidance of doubt, offering of employment to or
employing or engaging in any manner whatsoever, directly or indirectly, any
official of the Authority who is or has been associated in any manner, directly or
indirectly with the Bidding Process or the LoA or has dealt with matters
concerning the Concession Agreement or arising there from, before or after the
execution thereof, at any time prior to the expiry of one year from the date such
official resigns or retires from or otherwise ceases to be in the service of the
Authority, shall be deemed to constitute influencing the actions of a person
connected with the Bidding Process); or (ii) engaging in any manner whatsoever,
whether during the Bidding Process or after the issue of the LoA or after the
execution of the Concession Agreement, as the case may be, any person in respect
of any matter relating to the Project or the LoA or the Concession Agreement,
who at any time has been or is a legal, financial or technical adviser of the
Authority in relation to any matter concerning the Project;
b. “fraudulent practice” means a misrepresentation or omission of facts or
suppression of facts or disclosure of incomplete facts, in order to influence the
Bidding Process ;
c. “coercive practice” means impairing or harming, or threatening to impair or
harm, directly or indirectly, any person or property to influence any person’s
participation or action in the Bidding Process;
d. “undesirable practice” means (i) establishing contact with any person connected
with or employed or engaged by the Authority with the objective of canvassing,
lobbying or in any manner influencing or attempting to influence the Bidding
Process; or (ii) having a Conflict of Interest; and
e. “restrictive practice” means forming a cartel or arriving at any understanding or
arrangement among Bidders with the objective of restricting or manipulating a full
and fair competition in the Bidding Process.

8.2 During the course of Pre-Bid meeting, the Bidders will be free to seek clarifications and
give suggestions/ request for seeking any changes/ amendments to the eligibility criteria
or any other terms or conditions of the Bidding document or the Draft Concession
Agreement for consideration of the Authority. The Authority shall endeavour to consider
any request for amendments or provide clarifications and such further information as it
may, in its sole discretion, consider appropriate for facilitating a fair, transparent and
competitive Bidding Process.
9. MISCELLANEOUS
The Bidding Process shall be governed by, and construed in accordance with, the laws of
India and the Courts at Shimla, Himachal Pradesh shall have the exclusive jurisdiction
over all disputes arising under, pursuant to and/ or in connection with the Bidding
Process.
The Authority, in its sole discretion and without incurring any obligation or liability,
reserves the right, at any time, to:
a) Suspend and/ or cancel the Bidding Process and/ or amend and/ or supplement the
Bidding Process or modify the dates or other terms and conditions relating thereto;
b) Consult with any Bidder in order to receive clarification or further information;
c) Pre-qualify or not to pre-qualify any Bidder and/ or to consult with any Bidder in
order to receive clarification or further information;
d) Retain any information and/ or evidence submitted to the Authority by, on behalf of,
and/ or in relation to any Bidder; and/ or
e) Independently verify, disqualify, reject and/ or accept any and all submissions or
other information and/ or evidence submitted by or on behalf of any Bidder.
It shall be deemed that by submitting the Bid, the Bidder agrees that the Authority, its
employees, agents and advisers are irrevocably, unconditionally, fully and finally
indemnified from any and all liability for claims, losses, damages, costs, expenses or
liabilities in any way related to or arising from the exercise of any rights and/ or
performance of any obligations hereunder and the Bidding Documents, pursuant hereto,
and/ or in connection with the Bidding Process, to the fullest extent permitted by
Applicable Law, and waives any and all rights and/ or claims it may have in this respect,
whether actual or contingent, whether present or in future.

Dear Sir/ Ma’am,
1. With reference to your Bidding Document dated ________, I/we, having examined the
Bidding Documents and understood their contents, hereby submit my/our Bid for the
“Selection of an Operator for Design, Development, Management/ Providing Services
to 77 Eco-tourism sites in the State of Himachal Pradesh”.
3. All information and documents provided in the Bid and in the Annexures is true and
correct.
4. This statement is made for the express purpose of qualifying as a Bidder for the aforesaid
Project.
5. I/We shall make available to the Authority any additional information it may find
necessary or require to supplement or authenticate the Bid.
6. I/We acknowledge the right of the Authority to reject our Bid without assigning any
reason or otherwise and hereby waive our right to challenge the same on any account

whatsoever.
7. I/ We certify that in the last 3 (three) years preceding Bid Due Date, I/ we/ have neither
failed to perform on any contract, as evidenced by imposition of a penalty or a judicial
pronouncement or arbitration award, nor been expelled from any project or contract nor
have had any contract terminated for breach on our part.
8. I/ We declare that:
b) I/ We do not have any conflict of interest in accordance with Clause 3.1.3 of the
Bidding Document;
c) I/We have not directly or indirectly or through an agent engaged or indulged in any
corrupt practice, fraudulent practice, coercive practice, undesirable practice or
restrictive practice, as defined in Article 7 of the Bidding Document, in respect of any
tender or request for Bid issued by or any agreement entered into with the Authority
or any other public sector enterprise or any government, Central or State; and
d) I/ We hereby certify that we have taken steps to ensure that in conformity with the
provisions of Clause 7.1 of the RFP, no person acting for us or on our behalf has
engaged or will engage in any corrupt practice, fraudulent practice, coercive practice,
undesirable practice or restrictive practice.
9. I/ We understand that you may cancel the Bidding Process at any time and that you are
neither bound to accept any Bid that you may receive nor to invite the Bidders to Bid for
the Project, without incurring any liability to the Bidders, in accordance with Clause 3.6
of the Bidding Document.
10. I/ We believe that I/ we satisfy the Minimum Eligibility Criterion and meet other
requirements as specified in the Bidding Document and am/ are qualified to submit a Bid
in accordance with the Bidding Document.
11. I/ We certify that in regard to matters other than security and integrity of the country, we
have not been convicted by a Court of Law or indicted or adverse orders passed by a
regulatory authority which could cast a doubt on our ability to undertake the Project or
which relates to a grave offence that outrages the moral sense of the community.
12. I/ We further certify that in regard to matters relating to security and integrity of the

country, we have not been charge-sheeted by any agency of the Government or convicted
by a Court of Law for any offence committed by us.
14. I/ We undertake that in case due to any change in facts or circumstances during the
Bidding Process, we are attracted by the provisions of disqualification in terms of the
guidelines referred to above, we shall intimate the Authority of the same immediately.
15. I/ We agree and confirm that in case I/ we submit my/ our Bids for more ecotourism sites
but do not possess the requisite positive Net Worth for the same, then HPECOSOC shall
send an email to me/ us (on the email address provided by us/ me in Annexure-3) calling
upon me/ us to convey in writing within a period of 5 (five) days from the date of the said
email, my/ our choice of selected ecotourism site(s) for which my/ our Financial Bid(s)
should be opened and the ecotourism site(s) for which my/ our Technical Bid(s) should
be rejected by HPECOSOC since I/ we do not meet the positive Net Worth requirement
for the number of ecotourism sites for which I/ we have submitted my/ our Bids. In the
event, HPECOSOC does not receive any intimation in writing from me/ us or I/ we fail to
exercise the said option, within the aforesaid period of 5 days, then HPECOSOC shall
take recourse to conducting draw of lots for determining the particular Technical Bid(s)
of mine/ ours to be rejected. However, before conducting draw of lots, HPECOSOC shall
convey to me/ us in writing that I/ we may depute a representative to witness the
conducting of draw of lots on the specified date and time. If my/ our representative fails
to be present for the conduct of draw of lots then HPECOSOC shall have the right to
proceed with the conducting of the draw of lots on its own and inform the result pursuant
to draw of lots to me/ us and I / we shall not have or raise any objection to the same.
Thereafter, I/ we agree that HPECOSOC shall proceed further with the evaluation
process as specified in the RFP for such ecotourism sites finalized pursuant to following
the above procedure.
16. I/We hereby irrevocably waive any right which we may have at any stage at law or
howsoever otherwise arising to challenge or question any decision taken by the Authority
in connection with the selection of the Bidder, or in connection with the Bidding Process
itself, in respect of the above mentioned Project and the terms and implementation
thereof.
17. In the event of my/our being declared as the Selected Bidder, I/ we agree to enter into a
Concession Agreement in accordance with the draft that has been provided to me/ us. We
agree not to seek any changes in the aforesaid draft and agree to abide by the same. We
further agree to execute the Project in accordance with the provisions of the Concession

18. I/We have studied all the Bidding Documents carefully and also surveyed the Project
Area falling within the Ecotourism Site and the existing infrastructure, assets and
facilities thereat and also the surrounding areas and facilities. We understand that except
to the extent as expressly set forth in the Concession Agreement, we shall have no claim,
right or title arising out of any documents or information provided to us by the Authority
or in respect of any matter arising out of or concerning or relating to the Bidding Process
including the award of Concession.
19. The Annual Concession Fee has been quoted by me/ us after taking into consideration all
the terms and conditions stated in the RFP, the provisions of the Eco-Tourism Policy and
the Draft Concession Agreement, our own estimates of costs and after a careful
assessment of the Project and all the conditions that may affect the Bid.

procedure, if any, laid down by the applicable law and the charter documents of the
