Memorandum of Understanding (the “MoU”)

This MoU is made on 13 February 2025 (the “Effective Date”) between:

1. Air Charter Service FZCO, having its principal place of business at Dubai Airport Free Zone East Wing
Building 8E/102, P.O. Box 293696, Dubai, United Arab Emirates (“ACS”); and

2. World Bridge Advisors LLC-FZ, having a trade license number – 2422066, with its registered address at 6th
floor, Meydan Road, Nad Al Sheba, Dubai, United Arab Emirates (“WBA / Charterer”).

ACS and World Bridge Advisors being individually referred to as a “Party” and, jointly as the “Parties”.

PREAMBLE:

A. ACS is a company carrying out aircraft brokerage services, where it acts as an intermediary between the end-
user client and a carrier/operator that has the available flights to confirm the flights with the concerned
carrier/operator on behalf of the Charterer (as the Charterer’s agent), for requests received from Charterer
from time-to-time.
B. WBA / Charterer is a leading advisory firm specializing in providing management consultancy services,
corporate solutions.
C. This binding MoU is intended to lay out the general obligations between the parties in respect of the aircraft
charter bookings requests received from the Charterer. The Parties recognize that pursuant to this MoU and
upon receiving any booking request, Parties will enter into a separate binding contract which shall underline
the terms and conditions specific to such request received from the Charterer (hereinafter referred to as
“Aircraft Charter Contract”, as provided under Annexure A of this MoU).

The Parties hereby agree as follows:

1. Term and Termination – This MoU shall be valid for an indefinite period from the Effective Date and either
Party may terminate this MoU by providing one (1) months’ prior written notice, to the other Party. The
Charterer agrees that termination of this MoU does not release the Charterer from any obligations that shall
be required to be adhered to by the Charterer under any Aircraft Charter Contract.

2. Payment – The Charterer agrees that the payment terms agreed under the Aircraft Charter Contract shall be
applicable.

3. Confidentiality and data protection – This MoU and any information disclosed between the Parties (whether
written, oral or electronic) shall be confidential and the Charterer shall not disclose it (or any information
communicated between the Parties in relation to this MoU) to any third parties.

4. Indemnity and limitation of liability – ACS has no responsibility for the performance or otherwise of the
flight(s) and all liability in respect of the performance or otherwise of the Flight(s) falls upon the carrier /
operator. The provisions in respect of indemnities and liabilities shall apply as agreed in the Aircraft Charter
Contract.
