WHEREAS, Filinvest Land, Inc. (hereinafter “SELLER”) has agreed to sell to ASSIGNOR, and
ASSIGNOR has agreed to purchase from the SELLER, the following property:

(hereinafter the “Subject Property”) under such terms and conditions contained in a Contract to
Sell, a copy of which is attached as Annex “A” hereof and made an integral part of this Deed of
Assignment.
WHEREAS, ASSIGNOR desires to cede, transfer and assign all of ASSIGNOR’s rights and
interest in the Subject Property unto ASSIGNEE:
NOW THEREFORE, for and in consideration of the foregoing premises and the terms and
conditions hereinafter set forth, the parties have agreed as follows:
1. ASSIGNOR hereby cedes, transfers and assigns all of ASSIGNOR’s rights and interest in
Subject Property unto ASSIGNEE for valuable consideration payable in the following manner:
(b) ASSIGNEE shall continue to pay the balance of the purchase price of
Subject Property to SELLER as indicated in Schedule 2.
2. ASSIGNEE agrees to abide and be bound by the provisions of the Contract to Sell, which
shall be deemed incorporated by reference into this Deed of Assignment.
3. ASSIGNEE acknowledges that the Subject Property shall be held, conveyed, encumbered,
leased, used, occupied, maintained and improved subject to the conditions, limitations, restrictions,
and covenants contained in the deed restrictions/master deed and declaration of restrictions
applicable to the Project and Subject Property as well as any applicable law, rule, regulation,
ordinance or zoning regulation.
4. ASSIGNEE agrees to become a member of the condominium corporation in the Project (the
“Association”), together with all other owners of lots/condominium units in the Project.
Consequently, ASSIGNEE agrees to abide and be bound by the Articles of Incorporation and By-
Laws of the Association and all rules, regulations and resolutions adopted or promulgated by the
Association.
5. ASSIGNOR and ASSIGNEE agree that legal title to the Subject Property shall be held and
retained by SELLER until such time that all obligations of ASSIGNOR and ASSIGNEE to
SELLER, whether under this Deed of Assignment or the Contract to Sell, shall have been complied
with, and all taxes, fees, charges, obligations, assessments and expenses specified to be for the
account of ASSIGNOR and/or ASSIGNEE under this Deed of Assignment and/or the contract to
buy and Sell shall have been fully paid or settled, after which legal title to Subject Property shall be
conveyed by SELLER directly unto ASSIGNEE.
6. The creditable withholding tax on the sale of Subject Property to ASSIGNEE shall be for the
account of SELLER. The documentary stamp tax, registration fee, assurance fund, any business tax,
transfer tax and all other taxes, fees and expenses which may now or hereinafter be imposed or incurred
in connection with the sale of Subject Property in favor of ASSIGNEE, including any and all taxes and
fees due by reason of this assignment execution and registration of the Deed of Absolute Sale with the
appropriate Registry of Deeds and issuance and transfer in favor of ASSIGNEE of the corresponding
transfer/condominium certificates of title covering Subject Property, shall be for the account of
ASSIGNEE. A nonrefundable assignment fee in the amount of Php _____________ shall be imposed
by SELLER on this assignment, which shall be for the account ASSIGNOR.
7. ASSIGNOR and ASSIGNEE hereby covenant that they shall hold harmless and indemnify
SELLER, its successors, assigns, stockholders, directors and officers against any and all liability,
obligation, claim, suit or action, loss, damage, cost and expenses to which SELLER, its successors,
assigns, stockholders directors and officers may become subject, arising from or in connection with any
claims which ASSIGNOR or ASSIGNEE may set up against each other or which may otherwise be
made by any person or entity in connection with the execution of this Deed of Assignment including
assessments by the Philippine government of incremental taxes relative to this assignment
