Most business enterprises that employ more than a
few closer people organized and cooperative. The overall purpose of a corporation is to maximize the long term return to the owner(shareholder).
Thus we may ask; The Problem:
1. Who is really responsible for fulfilling this purpose? 2. What is a useful definition of corporate governance the relationship among various participants in determining the direction and performance of corporations? The Case
There have been much criticism as well as by both
citizens and the business press about the poor job that the management and the BODs of corporations are doing. We only have to look at the recent scandals at firms has led to an erosion of the public trust in the governance of corporation. Some corporations could not be trusted by the people to look the intervote of their employees and thought that the corporation looked after their shareholders. Alternative Action Clearly there is a strong need for improved corporate governance. We focus on there important mechanism to ensure effective corporate governance, an effective and engaged board of directors shareholders activism and proper managerial rewards and incentives. In addition these interval control, a key role is played by various external mechanism. This includes the auditors bank analysts, an active financial and the threats hostile takeovers.
