Deed of Assignment of Shares

This Deed of Assignment (Deed), made and entered into, by and between:


ROXACO LAND CORPORATION, a corporation organized and
existing under the laws of the Philippines, with principal office at 7/F Cacho-
Gonzales Building, 101 Aguirre St., Legaspi Village, Makati City, Philippines
(referred herein as, Assignee)

and

JOSE MARI G. TUAL, (referred herein as, Assignor)



WHEREAS:


1. Assignor are the absolute legal and beneficial owners of ONE HUNDRED
TWENTY THOUSAND (120,000) common shares of stock of Vanguard
Hospitality Assets (Phils.) Inc. (____ shares), a corporation duly organized and
existing under the Philippine law;

2. Assignor is willing to assign, and the Assignee willing to accept, SIXTY
THOUSAND (60,000) common shares (Subject Shares) by way of this instrument;
and


NOW, THEREFORE, for and in consideration of the foregoing as well as the
reciprocal obligations and undertakings contained herein, the parties agree as follows:

1. The Assignor does hereby assign, cede, transfer and convey in a manner that is
absolute and irrevocable the Subject Shares unto the Assignee, free from all liens and
encumbrances;

2. Each of the parties hereto shall use all reasonable efforts to take, or cause to be
taken, all appropriate actions, do or cause to be done all things necessary, proper or
advisable under applicable law, and execute and deliver such documents and other
papers, as may be required to carry out the provisions of this Deed and consummate
and make effective the transactions contemplated by this Deed.

3. The Assignment contemplated herein shall be governed by the laws of the
Philippines.
