DEED OF CONDITIONAL SALE

KNOW ALL MEN BY THESE PRESENTS:

This Contract of Conditional Sale is made and entered into this _____
day of May 2012 in the City of Cebu, Philippines, by and between:

______________ of legal age, Filipino, widower, and a


resident of Poblacion, Dalaguete Cebu, hereinafter
referred to as the VENDOR;

and

THE MUNICIPALITY OF DALAGUETE, a local government


unit of the Republic of the Philippines with office
address at Poblacion, Dalaguete Cebu, herein
represented by the Municipal Ronald Allan G. Cesante
(by virtue of a duly approved Municipal Ordinance
hereto attached as Annex A) of legal age, Filipino
married and a resident of Solong-on, Tapon, Dalaguete,
hereinafter referred to as the VENDEE;

WITNESSETH:

WHEREAS, the VENDOR is the owner of a parcel of land designated as


_________________ located in Mantalongon Dalaguete Cebu declared in his
name under Tax Declaration No. 0821-15214 and which is hereunder
described as follows to wit:

TAX DECLARATION NO. 0821-15214

North: Lot No. South:

East: Lot 16764 West: River

A copy of the Tax Declaration is attached hereto and made an integral part
hereof as Annex B.

WHEREAS, the aforesaid parcel of land is a capital property of


VENDOR having acquired the same from his late parents;

WHEREAS, the VENDEE is willing to buy the aforesaid parcel of land


for its future projects to be implemented in Barangay Mantalongon in
connection with its Municipal Development Plan in the aforesaid place;

WHEREAS, the VENDOR is offering to sell to the VENDEE the above-


described property for the price of FOUR MILLION (P4, 000, 000.00) PESOS.
WHEREAS, the VENDEE is willing and interested to buy the
aforementioned portion of the property and the VENDOR has agreed to sell
the same;

NOW THEREFORE, the VENDOR hereby sells unto the VENDEE the said
property for the price above-stated and under the terms and conditions set
forth below:

1. The VENDEES shall pay the VENDOR the purchase price of the
property as follows:

A. Upon execution of this contract, the amount of ONE MILLION


(Php1, 000, 000.00) Pesos;

B. The balance of the purchase price amounting to THREE


MILLION (P3, 000, 000.00) PESOS will be paid in eight (8)
equal quarterly installments of TWO HUNDRED THOUSAND
(P250, 000.00) PESOS hereunder enumerated as follows:

2. Upon full payment of the purchase price, the VENDOR shall


execute the deed of absolute sale over the property in favor of
the VENDEE or any person to whom the VENDEE has assigned its
rights under this contract.

3. The taxes for the transfer of the property to the VENDEE or its
assigns shall be for the account of the VENDEE. Moreover, the
VENDOR shall warrant that the real estate tax on the land is paid
accordingly as of the date of signing of this contract.

4. The VENDOR hereby warrants that they have a good and


sufficient title to the property being sold and that the same is free
from any liens or encumbrances. Further, the VENDOR warrants
that the property is not involved in any suit or litigation and that
there are no squatters or illegal or unauthorized occupants
therein.

5. The parties have agreed to bind themselves in above stipulations,


and shall cause the registration of this instrument before the
Office of the Register of Deeds in Cebu Province.

IN WITNESS WHEREOF, the parties hereto have set their hands this
____ day of May 2012 at Cebu City, Philippines.

BEFORE ME, a Notary Public, this ______ day of May 2012, personally
appeared the above-named persons who presented to me their
government identification card numbers above indicated, known to me
and to me known, to be the same person who executed the foregoing
instrument and they acknowledge to me that the same are their free and
voluntary act and deed.

This instrument refers to a contracted denominated as Deed of Conditional


sale, contains three (3) pages including the page on which this
acknowledgment is written, and is signed by the parties and their
witnesses on each and every page hereof.

WITNESS my hand and notarial seal on the date and place above-
mentioned.
