This written declaration of Association of Persons is made on ___ day of January 2021 at
Mumbai by:

All the above parties are hereinafter referred to individually as “Party” and jointly as
“Parties”
WHEREAS:
A. An Association of Persons (“AOP”) is formed in the name of (Given name) in the City of
Mumbai on ______.
B. For diverse and other reasons, it was thought fit to put into writing the purposes /
objects of the Association and the manner in which the AOP to be managed and
administrated.
C. All the members of this AOP at the meeting held in via Video Conference on _________
has authorized the President, Dr. Munir Gazi to draft and execute a suitable agreement
and have authorized him along with the members Mr. Harish Gangwani, Mr. Vishal
Mutreja, Mr. Rajiv Sarogi & Mr. Ajay Maurya mentioned herein above in this document.
D. All the members of the AOP are allottees, flat/shop buyers or landlords who have either
entered into registered agreement with the Developer i.e. Gold Star Realtors or have been
issued Allotment Letters by the Developer with respect to the Project known by the name
Luxury Empire Township (previously until 2016 known as “Colours Discovery”).
E. The said Project was to be developed on Plot No. 45, 46, 47 and 53 at village Kambalgaon,
Boisar (East), Taluka – Palghar, District – Palghar for which the 1st C.C. was issued on 20th
November 2011, 2nd C.C. was issued on 20th June 2012 and 3rd C.C. on was issued 10th
April 2013.
F. The Developer is yet to complete the project and deliver possession of the said flats/shops
the members of the AOP in spite of passage of all most 10 years from the date of the
launch of the Project.
G. The members of the AOP have now jointly agreed to form AOP to file complaint(s) before
forum(s), court or any other legal / regulatory body with the common intent to seek relief
against the Developer i.e. Gold Star Realtors and its partners.

1. Name of the Association of Persons shall be “(Given Name) City”, hereinafter
called AOP.
2. The Principal place of business and the registered address of this AOP shall be at
Address, India or such other places as members may mutually decide from time to
time in writing.
3. The Aims and Objects of the (Given name) City shall be:
a. To file complaint against the Developer and its partners before the
MAHARera and any other court/forum/regulatory body.
b. To file and/or to defend the suits/cases under any laws of the land before the
competent Court, Tribunal, authorities or forum for and on behalf of the AOP
from time to time.
c. To engage any advocate/solicitors/consultants and to submit Vakalatnama,
statements, documents, evidences, declarations, etc. before the appropriate
authorities/court and/or the Police Authorities for and on behalf of the AOP
and to enter into any compromise, settlement of case as they may consider
appropriate in the interest of the AOP and its members from time to time.
d. To act, appear and plead directly or thought advocate/solicitors/consultants for
the above mentioned cause in any court/tribunal/forum in which the same may
be tried or heard and also before the appellate authority.
e. To sign file, verify and present pleadings, appeals cross-objection or petitions
for executions review, revision, withdrawal, compromise or other petitions or
affidavits or other documents as may be deemed necessary or proper for the
prosecution of the said case in all its stages.
f. To file and take back documents, to admit and/or deny the documents of
opposite party. To withdraw or compromise or submit to arbitration any
differences of disputes that may arise touching or in any manner relating to the
said matter. To take execution proceedings. To deposit, draw and receive
money, cheques, cash and grant receipts hereof and to do all other acts and
things which may be necessary to be done for the progress and in the course of
the prosecution in the said matter.
g. To achieve the common goal of the members of the AOP of removing the
Developer and appointing a new Developer for the development of the said
Project.
i. To fill up the lapses which may have occurred sue to delay in construction of
the said Project.
j. To provide succor and relief to members of the AOP against Developer and
prtect their interest in the Project.

4. The financial year of the AOP shall be from 1st April to 31st March every year.
5. The duration of the AOP shall be until formation of the Maharashtra Co-Societies Act,
1960 or any other legal entity incorporated for the flats/shops owners.
8. The AOP will be administered by the President composed of the President, Vice-
President, Secretary and Treasurer, besides the Immediate Past President.
9. That the President have an authority to look after and manage the activities of AOP
fruitfully in the interest of AOP, to sign document, to enter into any contracts and so
other activities which required for smooth running of the AOP with the greatest
interest of the activities carried over by the AOP.
10. The President shall sign any agreement, document etc. as and when required on
behalf of the AOP or as resolved by the Chapter members in its meetings.
11. AOP will specify minimum rules to be observed by the individual members.
12. New members will be inducted to the AOP if they are either allottees or have executed
registered agreement with the Developer.
13. The bye-laws framed by (Given Name) City Chapter India which contains all the
rules and regulations pertaining to the functioning and conduct of the AOP will be
final and binding to all members and will be amended from time to time at general
body meeting of the AOP. A compiled handbook consisting of all rules and
regulations of the Association and its members will be published from time to time. It
will supersede any other rules and regulations previously followed.
14. All decisions taken either unanimously or by the requisite majority by the Association
in any matter relating to the Association shall be final and conclusive and binding on
the members and AOP and they shall not be subject to proceedings in a Court of
Law. Any dispute shall be resolved by friendly consultations and in any case shall
have to adhere to the Bye Laws framed by the AOP.
15. If for any reason, it is found not favourable to continue to carry on the activities of the
AOP, then with the written consent of the General Body (to before at the time
of the first meeting) and as per the rules and guidelines as provided in the Bye
