MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:


This MEMORANDUM OF AGREEMENT, is made and executed by and between:
CHARLENE T. SABANAL, of legal age, Filipino, single, and a resident of Brgy. San Agustin,
Babak Dist., Island Garden City of Samal, Philippines, hereinafter called the FIRST PARTY;
-and-
WILFREDA MONTEMOR, of legal age, Filipino, single; and JURAFE ANGELLI TRAVIÑA, of
legal age, filipino, single, and a resident of Purok 3, Bucaran, Brgy. Toril, Babak Dist., Island Garden
City of Samal, Philippines, hereinafter called the SECOND PARTY;
WITNESSETH: THAT-
WHEREAS, the FIRST PARTY is the Co-Owner/Heir of a parcel certain parcel of land, with an
area of 3,126 SQ.M., portion of TCT No. 142-2023021834, located in the Brgy. of San Agustin, Babak,
Island Garden City of Samal;
WHEREAS, the FIRST PARTY offered to negotiate, offer for sell a portion of ONE THOUSAND
(1,000) SQ.M., of the above-mentioned portion parcel of land to the Second Party, and thereby agreed
to do the same, subject to the terms and conditions, hereinbelow specified:
1. That the FIRST PARTY shall receive an amount of P1,000,000.00 NET for the sale of the
said property;
2. In the event the said property be sold, payment shall be paid in a staggered basis as based
on the agreed purchase price, and the First Party shall receive FIFTY (50%) PERCENT
from every payment made by the prospect buyer/s;
3. That the cause for survey including the transfer of title in favor of the BUYER shall be for
the account of the SECOND PARTY;
4. That both parties agreed to the conditions cited-above.

SPECIAL POWER OF ATTORNEY

I, CHARLENE T. SABANAL, of legal age, Filipino, single, and a resident of Brgy. San Agustin, Babak
Dist., Island Garden City of Samal, Philippines, by virtue of these presents, do hereby NAME, CONSTITUTE and
APPOINT WILFREDA MONTEMOR, of legal age, Filipino, single; and JURAFE ANGELLI TRAVIÑA, of legal
age, filipino, single, and a resident of Purok 3, Bucaran, Brgy. Toril, Babak Dist., Island Garden City of Samal,
Philippines, to be my true and lawful Attorney-in-fact for me and in my name, place, and stead, to do and
perform the following special powers, to wit:
1.) To sell, offer for sale, negotiate, and come to an agreement as to the sale of my
parcel of land with only an area of ONE THOUSAND (1,000) Sq.M., more or less, portion of
TCT No. 142-2023021834, with a total area of 3,126 Sq.M., more or less, situated at Brgy. of
San Agustin, Babak, City of Island Garden City of Samal, Prov. of Davao, Island of Samal at
any price determined by my Attorney-in-fact to any interested buyer without any need of
further confirmation from me;
2.) To cause the aforementioned parcel of land to be subdivided, disposed and
conveyed the same lots or otherwise in whether terms and conditions, which my Attorney-
in-fact may deemed fit and reasonable under the circumstances;
3.) To receive whatever proceeds of the sale and to encash, endorse, deposit any
and all checks or negotiable instrument with authority to sign and execute whatever
documents necessary to carry out the authority given;
4.) To represent me before the LGU-Samal, (Treasurer, Assessor), BIR, ROD, and any
such proper office or entity, for the sale of the aforementioned portion parcel of land; to
sign, execute, and deliver government form, documents, papers, Contract to Sell, Deed of
Absolute Sale, Affidavit of Landholdings, receipts, release, or other discharges or writings,
in order to carry out the above-transaction;
5.) To delegate in whole or in part any or all of these powers herein granted or
conferred, by means of an instrument in writing, in favor of any third person or persons
concerns or entities upon conditions acceptable to my said attorney in pursuance of the
above-mentioned purposes;
6.) To do all other acts, deeds, matters and things whatsoever things herein or
generally described, as fully and effectually to all intents and purposes as I could do
individually in my own proper person if personally present.
HEREBY GIVING AND GRANTING unto my said Attorney-in-fact, full and irrevocable
powers and authority to do and perform every act and things whatever requisite and
necessary to be done to carry out this authority as fully to all intents and purposes as I
might or could do if personally present and hereby confirming and ratifying all that my
Attorney-in-fact shall lawfully do by virtue of these presents.

DEED OF ABSOLUTE SALE

This Deed of Absolute Sale, made and entered into by and between:
ERSKINE L. TALICTIC, of legal age, Filipino, married to Anna Jean V. Talictic, and a resident of
Brgy. San Agustin, Babak Dist., Island Garden City of Samal, Philippines, hereinafter referred as the
VENDOR;
-and-
JULIO JR G. DECIERDO, II, of legal age, Filipino, single, and a resident of Brgy. Miranda, Babak
Dist., Island Garden City of Samal, Philippines, hereinafter referred to as the VENDEE;
WITNESSETH:
WHEREAS, the VENDOR is the Co-Heir/Owner of 3,126 Sq.M., identified as Lot No. 3-A-5, of a
certain parcel of land, by virtue of Extrajudicial Partition of Estate Among Heirs of the late Amancio P.
Talictic, ratified before Notary Public Atty. Ryan C. Santiago, per his Doc. No. 101; Page No. 22; Book No. 1;
Series of 2024, more particularly described as follows:
TRANSFER CERTIFICATE OF TITLE NO. 142-2023021834
“A parcel of land (Lot 3-A, Psd-11-160-639, being a portion of B-7-I-4, Psd-11-
103031), being a portion of Lot 3 (LRC), Pcs-156940, situated in the Brgy. of San Agustin,
Island Garden City of Samal, Province of Davao del Norte, Island of Samal…containing an
area of TWENTY FOUR THOUSAND ONE HUNDRED NINETY (24,190) SQUARE
METERS, more or less.”
WHEREAS, the VENDOR has offered to sell a portion of ONE HUNDRED (100) SQUARE METERS,
more or less, the above mentioned, more or less to the VENDEE, and the VENDEE has agreed to buy the
same;
NOW, THEREFORE, for and in consideration of the sum of ONE HUNDRED TWENTY THOUSAND
(P120,000.00) PESOS, Philippines Currency, the receipt whereof is hereby acknowledged from the
VENDEE to the entire satisfaction of the VENDOR, the said VENDOR does hereby SELLS, CEDES,
TRANSFERS and CONVEYS in a manner of absolute and irrevocable in favor of the VENDEE, his heirs
and assigns, the aforementioned portion parcel of land, to include plants and other improvements found
thereon, free from all liens and encumbrances.
