Franchisee Agreement

This Franchisee Agreement was entered into on 19/03/2024 between Dig


Virtual Pvt Ltd, incorporated in Karnataka India with Its incorporation at a
principal place of business as No:213, 7 th Cross, Omkar Nagar, Arekere,
Bangalore-560076 "Dig Virtual Pvt Ltd", and [Franchisee Name], a
[State/Country of Incorporation] corporation with its principal place of business
at [Address] ("Franchisee").

1. Grant of Franchise:

1.1 Franchisor grants to Franchisee the non-exclusive right and license to


operate as a franchise to sell and service the Dig Virtual Pvt ltd subscriptions
and plans under the name "[Franchise Name]" at the location specified in
Exhibit A attached hereto (the "Coimbatore").

1.2 The franchisee shall operate the Franchise Business by the standards,
specifications, and procedures established by the Franchisor from time to time.

2. Term:

2.1 The initial term of this Agreement shall be for 3 years commencing on the
Effective Date.

2.2 Franchisee shall have the option to renew this Agreement for successive
renewal terms of [3] years each upon the terms and conditions mutually agreed
upon by the parties.

3. Fees and Payments:

3.1 The franchisee shall pay to Franchisor an initial franchise fee of [100000/-]
upon execution of this Agreement. Which is waived off in this agreement.

3.2 The franchisee shall pay to the Franchisor the amount of loss incurred by
any act of action which has brought any loss by the activities of the franchisee,

3.3 The Franchisee will be paid a 15% Commission to any business Below 1
lakh. 20% up to 5 Lakh of business, 25 % Between 5 to 10 Lakhs of business,
and 30% on and above 10 lakh of business value on any month of business
during the tenure of this agreement. The business cycle is calculated between
the 26th of any month and to 25th of the corresponding month.
4. Training and Support:

4.1 The franchisor shall provide the Franchisee with initial training and ongoing
support during any updates of business activities.

4.2 The franchisee shall be responsible for all costs and expenses associated
with its training and the operation of the Franchise Business.

5. Marketing and Advertising:

5.1 The Franchisee shall take all responsibilities in their marketing and
advertising for their promotion of the Franchise System.

5.2 The franchisee shall comply with all marketing and advertising guidelines as
per Govt Laws.

6. Confidentiality:

6.1 Franchisee acknowledges that it may have access to confidential and


proprietary information of Franchisor. Franchisee agrees to maintain the
confidentiality of such information and to use it only for purposes related to the
operation of the Franchise Business.

7. Termination:

7.1 Franchisor may terminate this Agreement upon written notice to Franchisee
for any material breach of the terms and conditions herein.

7.2 Franchisee may terminate this Agreement upon [15] days' written notice to
Franchisor for any reason.

8. Governing Law:

8.1 This Agreement shall be governed by and construed by the laws of


[Karnataka/ India].

Effective Date first above written.
