SALES AND PURCHASE AGREEMENT

ENTERED INTO ON THE 2nd DAY OF SEPTEMBER, 2023.

BETWEEN
RINOKS PRIME CONTRACTORS LIMITED
REPRESENTED BY: Hon. Engr. Arinze I. Okoli
(A company incorporated under the laws of the Federal Republic of Nigeria Corporation
Affairs Commission, CAC with RC: 1019074 and having its registered business place at 12, Lotus
Close, Penisula Garden Estate, Lekki-Ajah, Lagos, Nigeria (hereinafter referred to as “SELLER” and
shall where the context so admits include its successors-in-title and accredited
representatives on the other part.)

PRINCE OSAYUKI OSAYUKI OIL AND GAS

REPRESENTED BY: PRINCE OSAYUKI OSAYUKI

(A company incorporated under the laws of the Federal Republic of Nigeria Corporation
Affairs Commission, CAC with RC: xxxxx and having its registered business place at xxxxx,
(hereinafter referred to as “BUYER” and shall where the context so admits include its
successors-in-title and accredited representatives on the other part.)

RECITALS:
RINOKS PRIME CONTRACTORS LIMITED, under corporate allied laws of the Federal Republic
of Nigeria, has agreed to combine and execute the supply of Automotive Gas Oil, AGO,
10ppm export standard specification to XXXXXXXXXXXXXXXXXXXXXXX LIMITED via
“TANKER TO TANKER”, TTT delivery terms. RINOKS PRIME CONTRACTORS LIMITED and
XXXXXXXXXXXXXX LIMITED are hereinafter collectively referred to as the “Parties” and
individually as “Party”.
WHEREAS:
The Parties mutually desire to execute this Agreement which shall be binding upon and
inure to the benefit of the Parties, their successors and assigns, in accordance with the
terms and conditions hereunder agreed upon.
1. Scope of the Contract: Both Parties, under corporate authority and
responsibility respectively represent that Party A can
supply the commodity, in quantity and quality as
hereunder specified and Party B has full capability to
purchase and pay for the said commodity.

2. The Product: The product (commodity) offered by Party A


and accepted by Party B is AUTOMOTIVE GAS OIL, AGO

3. Quantity: The quantity available is 15,000MT. Both parties may


consider additional deliveries after successfully
completing the first shipment.

4. Quality: The product quality is 10ppm export standard


specification with specific gravity of 0.82 – 0.87 and
flashpoint of 66°c.

5. Delivery Terms: TANKER TO TANKER, TTT.

6. Destination: As agreed by both Captains.

7. Currency & PRICE: The applicable currency in respect of payment shall


be the Nigeria Naira {N} and the delivery Price shall be
Five Hundred Naira {N450.00} per Liter.

8. Payment Terms: 100% payment

9. Nominations, Shipments & Procedures:

TRANSACTION PROCEDURE:

1) SELLER SENDS SPA, BUYER SIGNS AND RETURNS WITH FULL VALID VESSEL DETAILS (Including SSB AND
Captain's GSM Phone number).

2) SELLER CONFIRMS VALIDITY OF THE VESSEL AND INSTRUCTS THE CAPTAIN OF HIS LOADED VESSEL TO
OPEN COMMUNICATIONS WITH BUYER’S VESSEL.
3) BOTH VESSELS MOVE TO THE AGREED STS POINT, LONG SIDE AND TIES-UP, BUYER PAYS ₦3M (THREE
MILLION NAIRA) FOR SECURITY. SELLER PUMPS 500MT, BUYER MAKES PAYMENT FOR 500MT.

4) SELLER CONFIRMS THE PAYMENT AND INSTRUCTS THE CAPTAIN TO TRANSSHIP THE ENTIRE CARGO
TO BUYER’S VESSEL.

5) BUYER, UPON CONFIRMATION OF THE TRANSSHIPMENT, PAYS FOR TOTAL CARGO, LESS ANY INTIAL
PAYMENT MADE TO SELLER'S NOMINATED ACCOUNT AND ALSO PAYS ALL FACILITATORS ACCORDINGLY.

6) VESSELS DISENGAGE AND SAIL OFF.
