IMPORT EXPORT AGENT EXECUTIVE AGREEMENT

THIS IMPORT EXPORT AGENT EXECUTIVE AGREEMENT(hereinafter referred to as ‘The


Agreement’ is made this [INSERT DATE] BETWEEN [INSERT NAME AND ADRRES OF
THE PRINCIPAL] (hereinafter referred to as ‘The principal’ which expression shall where the
context so admits include its successors-in-title and assigns AND [INSERT DATE] BETWEEN
[INSERT NAME AND ADRRES OF THE PRINCIPAL] (hereinafter referred to as ‘The Agent’
which expression shall where the context so admits include its successors-in-title and assigns)

WHEREAS
(a) The Principal is engaged in the business of [INSERT BRIEF DESCRIPTION OF THE
PRINCIPAL’S BUSINESS]
(b) The principal agrees to appoint the Agent as lawful agent and representative to provide the
services defined in the agreement.
(c) The Agent hereby accepts the appointment and has agreed to provide the services described
in this agreement.
In consideration of the promises and covenant under this Agreement and other valuable
consideration the receipt of which is acknowledged, the parties agree as follows.

1. APPOINTMENT
The principal hereby appoints the Agent to act as its agent to provide the services spelt out in this
agreement in accordance with the terms of this Agreement.

2. SCOPE OFAUTHORTIY
The Agent has been granted a limited authority to act in the following manner

3. IMPORT-EXPORT AGENT GOODS AND THE SERVICES

3.1 Import-Export Agent Goods


The Import-Export Agent Goods is the Nigerian medicine material planted, produced and
processed in Lagos, Nigeria, by the principal

3.3 Agent Services


The principal shall provide the agent with the goods under the agreed criteria, and the shall pack,
promote, and sell the goods within the agent scope

4. AGENT TERM

4.1 The effective agent term is [INSERT NUMBER OF YEARS] years, from [INSERT
PERIOD]. After the completion of the agreement, the agreement shall automatically extend
[INSERT NUMBER OF YEARS] years without any objection from the two parties.
4.2 During the execution of the agreement, the parties agree to make orders for the following

5 AGENT GOODS DETAILS
5.1 The goods provided by the principal to include

6. EARNEST MONEY

7. SETTLE PRICE

7.1 The following settle price is the executed price in [INSERT YEAR] which refers to Cost,
Insurance and Freight at Lagos Port Apapa, excluding Nigerian port fees, import quotation fees,
and package, transport and warehouse fees in Nigeria etc., which shall be paid by the agent:

8. PRODUCTS QUALITY TEST CRITERIA

8.1 Products quality test criteria referred to in this agreement is that of Nigeria

9. OBLIGATIONS OF THE PRINCIPAL


9.1 To complete the export and transport procedures of the goods
9.2 To present various Chinese test documents and certificates of the goods
9.3 To provide the components and how-to-use instruction of the goods

10. OBLIGATIONS OF THE AGENT


10.1 To get the necessary import license and test evidence from [Country of Export] government,
and to pay any necessary expense due to the differences between the [Country of Export] test
criteria and the criteria stated in 8.1
10.2 To provide other conditions needed for the goods sale
10.3 To solve problems of transporting, warehousing and packaging of the goods in [Country of
Export] territory
10.4 To avoid conflict of interest
10.5 To act in the best interest of the principal and in utmost good faith
10.6 To disclose all relevant information, including but not limited to documents, materials or
other information regarding the services.

11. CONFIDENTIALITY
11.1 The parties realize and admit that this agreement builds a confidential relationship between
the two, and all, written or oral or in other manners, provided by the one side to the other is
confidential, such as transactions, clients, finance, properties, operation manner, documents and
other temporarily provided information. And the above all are uniformly called Confidential
Information.
11.2 The agent undertakes not to disclose the trade secret information or confidential information
during and after the termination of this Agreement for as long as it remains a trade secret
11.3 The agent also agrees to keep the terms and conditions of this Agreement confidential shall
not make a public disclosure of the terms of this Agreement.
11.4 The parties agree that either party shall not provide Confidential Information to others
during or after the contracted period. And the two parties further agree that they shall promote
their employees and distributors to obey this regulation.

12. FORCE MAJEURE


12.1 No party shall before the expiration for this Agreement be, be liable for any failure to fulfill
any term of this Agreement if the fulfillment has been delayed, hindered, interfered with or
prevented by force majeure, which of this Agreement shall mean any circumstances:
(i) which is beyond a party’s control
(ii) which such party could not have reasonably avoided or overcome and
(iii) which is not attributable to the other party
Force Majeure shall include the following circumstances
(i) War hostilities
(ii) Rebellion, terrorism, revolution, insurrection, military or usurped power,
(iii) Riot, civil disorder or other acts which may reasonably affect the ability of the party to

13. NOTICES
13.1 All notices or communication given or made under this Agreement shall be in writing. The
addresses for service shall be as follows

13.2 The notices shall be delivered either personally or mailed by a certified mail to the other
party’s addresses. Any of such notice or communication shall be deemed to have been given if:
(a) sent by personal delivery, upon delivery at the address of the relevant party
(b) sent by courier service, upon receipt of confirmation of delivery
(c) sent by facsimile, upon receipt of a confirmation of transmission.
13.3 Any may party designate a different address by providing notice in writing to the other
party.

14. APPLICABLE LAW


14.1 This Agreement shall be governed and construed in accordance with the laws, regulations
and guidelines of the Federal Republic of Nigeria.
