CHAPTER I: INTRODUCTION AND CONTEXT OF THE INTERNSHIP REPORT
1.1 Sefl-introduction

My name is Ngo Thi Ngoc Thao. I'm 22 years old and also a senior student in
Business English at the Binh Duong University (BDU). I'm not a citizen growing up
in Binh Duong because I come from a Pink Lotus Land - It's Dong Thap province.
From a young age, I had a passion for languages, so I decided to study English. It has
been four years since I became a university student at BDU. I had had many chances
to practice and work with people who have the same passion for English. Faculty of
Foreign Language (FFL) has organized many useful learning activities to help us
improve my English skills. I'm an-active person and like to experience new things,
so if I have the free time I will work part-time. Not only I can learn soft skills but
also earn a little more money to reduce the financial burden on my family. I did
several part-time jobs such as a bartender, a waitress, promotion girl, sales staff,…
over the past four years.

Goal:

Short-term goal : I want to graduate on time and achieve great results in this

internship, and I want to take my English knowledge skills into real-life after
graduating.

Long-term goal: In the next two years, I want to devote to my company where I did
an internship.

1.2 The supervisor and group members

Tu Thuy Thanh Tra is a teacher who directed us during the internship report, she
always takes care of us and gives useful advices, whenever we had any problems she

always answered and explained our questions clearly and immediately. She is an
English teacher at the BDU University - Master in TESOL major, who has full of
energy to make the lesson much more effective and interesting so the students can
catch the lesson easily. In addition to teaching at school, she spent most of her time
on repairing our mistakes such as grammar, spelling, and pronunciation and giving
us a lot of suggestions to make it more perfect.

My internship group consists of 10 members. We often discuss and exchange


together through a group on Zalo. We respected, honestly shared personal views with
others about the internship process, what things should be written and not in the
report.

1.3 Overview BDU and Faculty of Foreign Language (FFL)

*Binh duong University (BDU)

Binh Duong University (BDU) is located in the center of Binh Duong province in
Vietnam - one of the fastest developing business and industrial provinces in the
country. It was established in 1997.

At present, BDU has over 22.000 students at different education levels including
Intermediate vocational education level, higher education, undergraduates,
postgraduates and distance education. As an education network, BDU has been
making considerable contributions to the socio-economic development of the central
region, as well as the scientific and technological development of the country.

Besides, the school has 300 theoretical rooms and lecture halls. Moreover, the dorm
provides nearly 2000 accommodations for boarders. Also, the library has nearly 1000
kinds of books. Also, the school has installed the Internet system on campus.

Objective: BDU is determined to build upon its talent, wisdom and great enthusiasm
to march forward firmly, meeting the demands of training for the industrialization
and the modernization of Vietnam.

Mission: The Philosophy and Opinion on the education of Binh Duong University:

Learning – Asking – Understanding – Applying Learning in order to know how to


learn. Learning to know how to ask. Asking to learn, asking to understand.
Understanding correctly is the only way to apply knowledge correctly. Correct
application of knowledge is the only way to effectiveness. Applying what one has
learned with effectiveness, one is then able to: Take responsibility for oneself. Take
responsibility for one’s family and loved ones. Take responsibility for society. Take
responsibility for nature.

*Faculty of Foreign Languages (FFL)

FFL is located on the ground floor of the E building, it was established in 1998 under
the direct management of BDU. FFL offers 2 majors: teaching and Business – Office
English. Students are equipped with professional knowledge, professional manners,
political qualities, ethics, and health. Graduates of the Faculty of Foreign Languages
can work effectively in many different fields and specialties using English such as
education, business, commerce, industry, services, translation and interpretation,
administration office. Graduates of trade majors can work in import-export,
marketing,... graduates of education can participate in teaching at educational and
training institutions,... According to the latest statistics, 100% of the graduates from
the Foreign Language Department have stable jobs within 1 year.

Every year, in addition to training programs, FFL also offers many types of academic
education courses such as undergraduate, graduate, doctoral, MA, ...

1.4 Significance of internship

I started accessing and working in the new environment - Tri Viet Law Investment
Company Limited – in mid-2020 present. My internship lasted 2 months from the 1st
March, 2021 to the 25th April 2021.

An Internship provides real-life experience and exposure to working in the real world.
It also allows students to harness the skill, knowledge, and theoretical practice they
learned in university. You can receive endless amounts of education in your life,
however, that knowledge doesn't always the working life. Even the experience of
trying out something new is incredibly beneficial. Internships help you interact with
new people in a more stable and controlled environment. Internships provide a good
foundation for students with little experience in the professional world.

The opportunity to learn more about yourself. "Knowing yourself is the beginning
of all wisdom." – Aristotle. Your internship will not only encourage personal growth
but also help you better understand yourself. Knowing yourself is about knowing
your goals and how to best achieve them. Finding this level of clarity is difficult, but
sometimes all it takes is trying someone new out of your comfort zone. For example,
take a law student who decides to do an internship related to his field of study. That
internship will give them the opportunity to explore what a career in law would be
like. Sometimes the reality doesn't meet the expectations. At this point, students have
a chance to decide if they want to continue with their current career path or try
something different.

Get connected and develop your professional network. Networking is the exchange
of information between people, with the ultimate goal of establishing acquaintances
and relationships to advance your professional career. Sure, you can attend a
networking event without any internship, but you would be limiting yourself. Taking

an internship allows you to establish deeper relationships than usual when talking
face-to-face with a stranger.

CHAPTER II: THE COMPANY ORGANIZATION


2.1 Culture, identity, and images

*Culture:

The layout of the company is very special, it is not shown in the staff uniform but the
layout and decoration of each office and working department. You can comfortably
wear any outfit when going to work. The working space here is delicately designed
in every corner, airy and green, with teamwork space, personal work. Besides, there
is also a great staff care regime, staffs are served lunch, there is a separate party area
for dining. Moreover, the company set up many activities under team building to help
everyone have more skills in the team, become one, a team together to contribute
strength to help the company grow stronger and easier to develop. The last thing is
more special, everyone is harmonious and loves each other, thinking the company as
their second home, like the saying from a child we learned "Together we can change
the world". That’s right, when we have the same beat, the same direction, the same
effort, everything will result well. I feel very like of the culture and working
environment here. Comfort, fairness, and teamwork. I think I will try my best so that
when the internship ends, I will still be a member of Tri Viet Law Firm.

and solid, maximizing profits, ensuring legal rights for shareholders, fulfilling
obligations towards the State.

*Business strategies

Building a successful business takes time. It is a process, not overnight. Like a jigsaw
puzzle, you won't be able to know exactly where the pieces are right away. Tri Viet
Law Firm implements a competitive strategy under the "Compete for difference"
approach. The role of this strategy is to use a company identity to make a difference.
With a team of professional staff, Tri Viet Law Firm always puts clients first priority.
Working by speed, processing files quickly are the company's advantages to attract
and retain customers for a long time. With the maxim "Compete for difference" Tri

to attract clients to its side.

Relationships: Mr. Bien Tan Dung has many relationships with the big bosses of the
province - the close relationship is quite solid.

Professional: Well-experienced and experienced leaders and managers, no need to


discuss, from bosses to secretaries and office staff are selected elite members, they
are all university graduates or above. This is a strength of Tri Viet Law Firm, a team
of good leaders, with a lot of experience in the marketplace. Each step of company is
given a specific and certain strategy by the administrator.

Resolve documents quickly for customers, have good communication and are always
ready to advise and support foreigners, this is reflected in the company's annual profit
which constantly grows each year.

Strong finance: Many businesses are facing difficulties because of high-interest rates,
Tri Viet Luat company has a safe capital structure, the ratio of Debt/Total assets is
9.7% (in 2019).

*Weakness

Do not use many marketing methods in the market such as running ads, media, ...
only apply "word of mouth" from former clients who have signed contracts with the
company. Company need to use more images and methods to attract more clients.

The company's human resources are still limited. Although the staff here have
graduated from University or higher, the human resource is not abundant because the
company has not had a good policy to attract human resources.

The geographical location is too deep, making it difficult for others to see and not
attracting the attention of clients.

*Opportunities

The number of potential customers is high and the demand is great, leading to a lot
of prospects, now many companies have sprung up that need the assistance of Tri
Viet Law Firm to support paperwork quickly without the need wait too long.

The booming economy: The more developed the country, the more people want to
enrich themselves, using the simplest and fastest possible ways to smoothly handle
the administrative documents for their work.

*Threats

The pressure when the market fluctuates: Market volatility affects the slow
processing of administrative records.

Some skills become outdated, not ready for technology development: need to apply
technology 4.0 to work to solve problems faster. Need to add advanced technology
4.0 courses to the personnel.

The competition is fierce, with the company as well as with individuals: Notary
offices have sprung up also quite a lot, making customers wonder when choosing the
right company for them to solve their problems.

CHAPTER III: DESCRIPTION OFF ACTIVITIES AND PROJECTS


3.1 Daily activities

My internship began from the 1st March 2021 to the 16th May 2021. During my
internship period, I gained lots of meaningful experiences in my career. With the trust
of Mr. Le Minh Chien - my intern instructor at the company, he appointed me to be
the legal secretary of the company, assisting the boss's in terms of paperwork,
administrative procedures, contract translation, ...

In the first week, I visited the company, introduced an overview of the company by
the instructor, and briefly talked about the company's working principles. The next
day, I was instructed to make photocopying. I started to get acquainted with the copier
and learned how to make photocopies documents for the departments where I carried
out. After that, I learned how to arrange documents, according to what order is
reasonable. The first days of the internship seemed quite stressful and tiring because

I had never tried it in such a real environment before. In the second week, I was
instructed to read the company's portfolio, read on company records, documents, and
contracts. I learned how to transfer documents between departments.

In the third week, I started to work officially, and more specifically, I was assigned a
lot of tasks, first, I was assigned the task of replying to the client's mail. I have been
instructed how to check mail, and reply mail properly. When clients send mail to the
company, I am the one who checks the client's mail and responds them so that the
clients know that the company has received the mail and will handle it, or sometimes
I respond to the mail to thanks the clients for trusting and accompanying the company
in the past time, I then back up clients information in the company's data archival.
After upgrading, getting used from writing to speaking, I was assigned the task of
answering the phone. I was instructed to greet and reply to the client appropriately.
Speaking voice must be gentle, when you pick up the phone must say hello to the
company name. Just like answering an email, after finishing a call, I have to take a
note of the client's information and report it to Mr. Chien - boss's secretary so he can
arrange work and report to the personnel handling that case. Next, I moved to a new
level, I had direct contact with clients, was arranged to sit at the front desk, receive
guests, welcome guests, and guide them when coming to the company.

In the fourth week, I was commissioned to draft the documents, drafting the
necessary regulations, and storing the records. My next job is to book the
appointment of the boss with the partner. This step is quite important, because it
affects the interests of the company, related to the signing of the boss and partner
contract, so I cannot do it alone, I receive guidance from Mr. Chien. We need to know
who the boss's partner is, to arrange the time and place to meet so that the boss's
partner feels comfortable but no less luxurious. At the end of the appointment, I help
the boss's secretary record the information and content of the appointment to draft

the contract correctly. The last job of the fourth week is that I am instructed to make
a monthly report. Synthesis of work I used to do the monthly report to submit to the
manager.

In the fifth week, continue to sit at the front desk on duty to receive guests. And
gradually after getting acquainted from checking mail, checking the phone, sitting at
the front desk, until this week, I am arranged to meet the customer directly with my
boss. It's quite stressful because I don't know if I can do this part well or not. Quite
nervous, but Mr. Chien, reassured me and encouraged me a lot. He instructs me on
how to communicate, talk, listen and take note of what is needed in the appointment
is very specific. After meeting the client, I have to draft the contract, specifying the
terms, information, content, compensation, term of the contract between the company
and the partner.

In the sixth week, I was tasked with translating the company's documents and
contracts. This work is quite important, contract translation requires high
concentration, meticulousness, and professionalism to avoid the risk of compensating
damages because of the terms of the contract, and it is also a high responsibility of
the company. So after I finished translating the contract, there will be a secretary or
another department to process the documents and contract I have translated for safe
moderation. After the contract is verified as correct, the contract will be signed by
the boss and transferred to the boss's secretary for him to process and send to the
client. Besides, I continued to be assigned the task of sitting at the front desk to
welcome guests.

In the seventh week, I continue to be assigned documents and contracts to translate,


translate from Vietnamese into English and vice versa. This week I learned a new
job, which is handling legal papers of the company. It means that when I receive
documents, and paper I am allowed to process quickly in my authority and then must

store data, documents of the company. My next job is to book the appointment of the
boss with the partner. Next, I go to the client with my boss, after finishing the
appointment, I am the contract editor, then bring the boss to sign and pass the contract
to the company's partner.

In the eighth week, I was assigned to plan to buy office stationery for the company.
Observe tools and types of equipment such as: A4 paper, ball-point pen, printer
equipment,... if they are about to run out, I will buy them. Then continue to handle
the work of administrative procedures, paper allocation. Next, I translate 2 more
contracts for the boss to sign and transfer to the partner. And my last job is to do
monthly reports, synthesis of work I used to do the monthly report to submit to the
manager.

3.2 Projects

During the internship, the one who assigned the task to me is my mentor – Mr. Le
Minh Chien, Mr. Chien is very demanding and perfectionist, the job requirements are
always strict, must be done well, I am quite pressured, but besides that he guides me
in each job very specific, thorough, and sincerity. He instructed me how to answer
the email appropriately, when listening to the phone, the customer should open his
words and say hello to impress and create a sense of comfort for the customer, when
meeting the customer in person, he must how to address and express what attitude is
appropriate. Translation requires meticulousness and refinement, so he carefully
guides me every time I write and translate a contract for my boss. and the job that
pressured me and most difficult was writing the monthly report to submit to my boss.
It's quite new and difficult for an intern like me, I need more concentration and
improvement.

Thank you very much for Chien, during my 2 months internship here, I have received
a lot of help from Mr. Chien, he not only helped me with my work but also supported

me a lot mentally. Just a on-the-job trainee, not much experience, so entering a new
environment, a new job is a bit difficult for me. But theoretically, the knowledge on
the school chair is quite useful to me, it helps me to apply quite a lot in this internship.
Besides, the school also organizes learning skills such as communication skills, text
editing skills, critical skills,... those subjects are very good and they can be applied
in practice to working and out of life.

CHAPTER IV: DISCUSSION AND SUGGESTIONS


4.1 Discussion in term of knowledge and skill

The internship is a great way to gain hands-on, professional experience that will be
valuable during my job search. A major part of having an internship is learning more
about the field a well as my strengths and weaknesses. It all brings an experience to
help me grow up and also learn a lot out of life things that teachers and friends can
not teach me.

*Work experience

The hands-on work experience interns receive is invaluable and cannot be obtained
in a classroom setting, making this one of the most important benefits of internships.
Interns like me have the opportunity to apply acquired knowledge to real work
experiences, witnessing firsthand the day-to-day job duties they can expect to
encounter in their chosen field. In addition to learning the specialized skills of a
particular field, transferable skills such as communication, teamwork, and computer
proficiency are also obtained in an internship, fully preparing interns to enter the
workforce upon graduation.

*Developing and improving skills

I can learn a lot about my strengths and weaknesses during an internship. I used to
be a very passive and shy person, but thanks to the 2 months of internship here, I

have learned to be more active at work, fearless, and improve communication ability.
Furthermore, I am not afraid of strangers anymore. Internships allow for feedbacks
from supervisors, teachers, and others who are established in the field and offer a
unique learning opportunity that I may not have again as a working adult. I have
chances to embrace the mistakes make as an intern and the many things that I won't
know. Moreover, Tri Viet Law Firm also made a favorable environment for me to
ask questions, observe, and take risks to get the most out of my internship training
experience.

4.2 Discussion in term of other aspects

Be proactive at the workplace: It is impossible that others always remind you when
you are a trainee, everything needs to be proactive from you when you are
experiencing real work and need to learn from it. I have had such thoughts since I
entered the internship environment. I always take the initiative to get to know people,
actively explore work at the internship, proactively propose and work with everyone,
so it all helps me to integrate more quickly into the new environment. I also have
been received enthusiastic help and valuable sharing from teachers, management at
the center so everything becomes easier for me.

Reasonable time management, know how to arrange plans: I had know how to divide
time, assign work to suit the work plan by day, by week or by month. During my two
months of practice, I tried to make 5 weekly timetable plans Mr. Chien guided me.
As a result, 5 weeks I set a schedule, the work of those 5 weeks was more effective
than the other 3 weeks.

CHAPTER V: CONCLUSIONS
5.1 Summary of internship
The jobs that I was assigned are generally not too difficult, so most of me did well
and was rewarded by my boss. The first time may not be so smooth, but the second

time everything is fine. The company is also very subtle because it has arranged the
work according to increasing difficulty so that students can adapt slowly without
being surprised. Some jobs are quite difficult and need professionalism, a little
awkward, then I always receive support from Mr. Chien and tried my best, I finally
did well.

Actually, I would like to thank Tri Viet Law Firm which gave me many opportunities
to become one of the company's members to observe and apply acquired knowledge
to real work experiences. During months of internship, I gained valuable and fantastic
knowledge through the work that Mr. Chien has assigned to me and that I supported
a colleague in the company that I have never got before. Moreover, I used to be a shy
person but I have found myself more mature day by day since I worked here. I have
also improved a lot of my lacking skills, such as scheduling work, soft skills like
communicating with clients, knowing how to greet clients,... Besides, I also learned
more skills to work in the office, how to communicate and use language to suit my
colleagues. Professionally, I learned how to translate contracts and documents, know
how to handle documents, and skills to use computers. After 2 months of internship,
I learned a lot of things, it was really useful for my career. I will take the lessons and
skills I learned and apply them to my next position.

5.2 Suggestions
*Sugesstion for the BDU English major
As far as I know every year hundreds of students from the Faculty of Foreign
Languages at BDU will begin looking for internships. During my internship, I
recognized that the Tri Viet Law Firm is one of the best educational environments
for those who are still hesitant and worried about their internship. Moreover, the
trainees here will have the opportunity to experience, join the club, outdoor activities
which are held monthly on the 7th floor of the company to study, make friends, and

exchange with other departments. Lastly, there is one more benefit when the interns
work as an at the company, if they do it well, love your job and have a passion for,
the company will train them to become staff official. Do not worry too much when
you work in Tri Viet Law Firm, just follow the company's regulations and complete
your task well and be an active person in any situation as well, you will get precious
and useful lessons from here.

công ty mới tại thửa đất số 22 và 104 tờ bản đồ số 9A phường Tân Hiệp, Thị
xã Tân Uyên, Bình Dương;
(4) Theo dõi quy trình của việc xin cấp và nhận chủ trương, thay mặt Khách hàng;
(5) Lập dự án đầu tư, xây dựng nhà xưởng;
(6) Chuyển mục đích sử dụng đất sang đất sản xuất, kinh doanh ;
(7) Chuyển quyền sử dụng đất sang tên công ty;
(8) Thực hiện thủ tục xin văn bản thẩm duyệt Phòng cháy chữa cháy ;
(9) Soạn thảo các hồ sơ cần thiết để nộp lên cơ quan hữu quan lập hồ sơ kế hoạch
bảo vệ môi trường;
(10) Theo dõi quy trình của việc xin cấp giấy và nhận giấy môi trường, thay mặt
Khách hàng;
(11) Lập báo cáo thẩm tra xây dựng, lập hồ sơ thăm dò đại chất.
(12) Thực hiện thủ tục xin giấy phép xây dựng . ( không bao gồm bản vẽ thiết kế
công trình);
(13) Theo dõi quy trình của việc xin cấp giấy và nhận giấy phép xây dựng,
thay mặt Khách hàng.
(14) Soạn thảo các hồ sơ cần thiết để nộp lên cơ quan hữu quan xin đăng ký
quyền sở hữu công trình nhà xưởng;
(15) Theo dõi quy trình của việc xin cấp giấy và nhận giấy sở hữu công trình,thay
mặt Khách hàng;

(16) Soạn thảo các hồ sơ để nộp lên cơ quan hữu quan xin chủ trương đầu tư cho
nhà đầu tư nước ngoài là công ty công ty Nguyên Thạch do Owner’ Alex
mua lại Công Ty TNHH FARNESE VIETNAM;
(17) Theo dõi quy trình của việc xin cấp và nhận chủ trương đầu tư của nhà đầu
tư nước ngoài, là công ty công ty Nguyên Thạch do Owner’ Alex, thay mặt
Khách hàng;
(18) Chuyển quyền sử dụng đất từ tên công ty TNHH FARNESE VIETNAM
sang tên công ty Nguyên Thạch do Owner’ Alex;
Thời gian hoàn thành : từ 16 tháng kể từ ngày ký và nhận đầy đủ hồ sơ.

ĐIỀU 2: PHÍ DỊCH VỤ VÀ PHƯƠNG THỨC THANH TOÁN


Hai Bên thỏa thuận rằng phí dịch vụ trọn gói cho tất cả các dịch vụ trên mà Khách hàng phải
trả cho Bên Tư vấn để Bên Tư vấn thực hiện các công việc tại Điều 1 là 650.000.000VNĐ (Bằng
chữ: sáu trăm năm mươi triệu đồng) (gọi là “Phí”) (không bao gồm thuế VAT).( không bao
gồm phí, lệ phí của nhà nước ).

Khách hàng có nghĩa vụ thanh toán Phí cho Bên Tư vấn như sau:

- Đợt 1 : Thanh toán 200.000.000đ ngay sau khi ký hợp đồng.

- Đợt 2 : Thanh toán 150.000.000đ ngay sau khi ra chủ trương.

- Đợt 3 : Thanh toán 100.000.000đ ngay sau khi có giấy phòng cháy chữu cháy, hồ
sơ môi trường, sổ đất tên công ty việt nam, giấy phép xây dựng;

- Đợt 4 : Thanh toán 100.000.000đ ngay sau khi có sở hữu công trình, chủ trương đầu
tư cho nhà đầu tư nước ngoài.

- Đợt 5 : Thanh toán 100.000.000đ ngay sau khi có sổ đất do nhà đầu tư nước ngoài
đứng tên.

Ghi chú : trường hợp bên tư vấn không xin được chủ trương đầu tư thì hoàn lại tiền
đã thanh toán đợt 1 cho bên khách hàng.

ĐIỀU 3: NGHĨA VỤ CỦA KHÁCH HÀNG

Cung cấp đầy đủ hồ sơ cho Bên Tư vấn theo yêu cầu của cơ quan cấp phép và chịu trách
nhiệm về tính hợp pháp đối với những hồ sơ do mình cung cấp.

ĐIỀU 4: NGHĨA VỤ CỦA BÊN TƯ VẤN

Thực hiện toàn bộ các thủ tục cấp giấy tại điều 1 theo những thông tin có trong hồ sơ do Khách
hàng cung cấp cho đến khi có kết quả cuối cùng, theo nội dung công việc.

ĐIỀU 5. THỜI HẠN HỢP ĐỒNG:

Hợp đồng này có hiệu lực từ ngày ký cho đến khi Các Bên hoàn thành nghĩa vụ của mình được
quy định tại Hợp đồng.

ĐIỀU 6: ĐIỀU KHOẢN THỰC HIỆN

Hai Bên đồng ý thực hiện nghiêm chỉnh Hợp đồng này. Nếu có bất kỳ tranh chấp nào phát sinh,
Hai Bên sẽ nỗ lực giải quyết tranh chấp thông qua thương lượng hòa giải. Hợp đồng này được
điều chỉnh bởi luật pháp Việt Nam và nếu có bất kỳ tranh chấp nào phát sinh từ Hợp đồng này
mà Các Bên không thể hòa giải được thì tranh chấp đó sẽ được đưa ra cấp tòa án có thẩm quyền
của Bình Dương để giải quyết.
Hợp đồng này được lập thành 04 bản gốc, 02 bản tiếng Việt, 02 bảng tiếng Anh, mỗi bên giữ
01 bản tiếng Việt, 01 bản tiếng Anh có cùng giá trị pháp lý.

BOTH OF PARTIES HEREBY AGREE TO SIGN THIS CONTRACT UNDER


FOLLOWING TERMS AND CONDITIONS:

ARTICLE 1. SCOPE OF WORK

Party B shall assist, consult to Party A and fulfill the client’s required legal procedure. Scope of
work in detail as follows:

(1) Drafting and submission the relevant dossier to the authority agency relating to
registering the new enterprise which locates at Tan Hiep ward, Tan Uyen
District, Binh Duong province;

(2) Monitoring the process of the matter and receive the Enterprise Registration
Certificate on behalf of the client;

(3) Drafting and submission the relevant dossier to the authority agency relating to
obtaining the investment approval of new company at the location: land No. 22
and 104, the land map No 9A at Tan Hiep ward, Tan Uyen District, Binh Duong
province;

(4) Monitoring the process of the matter and receive Approval on behalf of the client;

(5) Setting up the investment project, factory construction;

(6) Change of land purpose to the production land

(7) Transfer the land using right to the new company (new owner);

(8) Process the procedure of firefighting inspection;

(9) Drafting and submission the relevant dossier to the authority agency relating to
registering the environment protection planning;

(10) Monitoring the process of the matter and receive the Environment certificate on
behalf of the client;

(11) Draft the report of construction inspection, geological exploration;

(12) Fulfill the procedure of granting the construction license (excluded construction

(13) Monitoring the process of the matter and receive the Construction license on
behalf of the client;

(14) Drafting and submission the relevant dossier to the authority agency relating to
registering the ownership of the construction site;

(15) Monitoring the process of the matter and receive the Certificate of factory
ownership on behalf of the client;

(16) Drafting and submission the relevant dossier to the authority agency relating to
registering for obtaining the Approval of transfer of the contributed capital to
foreign investor relating to the land at the location: land No. 22 and 104, the land
map No 9A at Tan Hiep ward, Tan Uyen District, Binh Duong province;

(17) Monitoring the process of the matter and receive the Approval of transfer of the
contributed capital to the foreign investor on behalf of the client;

(18) Transfer the land using right to the new owner;

Time around: within 16 months from the date of sufficient documents received.

ARTICLE 2: THE PROFESSIONAL FEE AND PAYMENT TERM

Both of parties agree the professional fee for above-mentioned scope of work shall be:
650,000,000VND (Six hundred fifty million) Vietnam Dong; (excluded VAT ), (excluded
government fee)

Payment term:

- The 1st payment: the advance of 150,000,000VND when the Contract signed.

- The 2nd payment: payment of 150,000,000VND when obtaining the authority


agency’s Approval

- The 3rd payment: payment of 150,000,000VND when obtaining the Environment


certificate, firefighting inspection, certificate of land using the right of Vietnamese
Company, construction license

- The 4th payment: payment of 100,000,000VND when obtaining the certificate of


factory ownership, the Approval of transfer of the contributed capital to the foreign
investor

- The 5th payment: payment of 100,000,000VND when obtaining the certificate of


land using the right of the new owner.

Note: if Party B can not obtaining the authority agency's Approval, then party B must refund
the 1st advance payment to party A

ARTICLE 3: THE PARTY A’S OBLIGATIONS

Providing the information and required documents timely to Party B, under the Authority
agency' requirement and be responsible for legally documents

ARTICLE 4: THE PARTY B’S OBLIGATIONS

- To perform the agreed scope of work at the Article 1 base on provided dossiers until
obtaining the last result;

ARTICLE 5: THE CONTRACT EFFECT


The Contract takes effect from the signing date until the Parties completed the obligations
stipulated in the Contract.
ARTICLE 6: GENERAL PROVISIONS
Both of parties committed to implementing the terms and the conditions as stipulated in the
Contract strictly. Any dispute arising from this contract shall be settled by negotiation firstly. If
failure to negotiate, the parties shall request the competent court of Binh Duong to settle
following Vietnamese law. The Contract is made into 04 originals, 02 originals in English, 02
originals in Vietnamese with the same legal validation. Each party keeps 01 original in English
and Vietnamese. The parties signed this Contract at the above-mentioned date.
