Letter of Appointment

The broad terms and conditions of your appointment are as mentioned below:

1. Appointment
Capline Services Private Limited (hereinafter referred to as ‘Company’) will engage Sahil Shah,
(hereinafter referred to as “Employee”) and the Employee hereby agrees to serve the
Company as “Sr. Associate” on a FULL TIME assignment with effect from Dec 28, 2023 upon
the terms and subject to the conditions laid down in this letter of appointment.

2. Cost to Company
Your commencing compensation on a cost to company basis will be Rs. 3,70,000/-per annum,
as agreed by you at the time of your offer of employment. The details of which are given in
Annexure.

3. Probation
You shall be under probation for a period of six months from the date of your joining. The
Management may, at its sole discretion, extend your probationary period for such terms as
considered appropriate. You will continue to be on probation until a communication of
confirmation is issued to you in writing. During the period of probation, the appointment is
terminable either by company or by you by giving seven days (7 days) notice or basic pay in
lieu thereof.

4. Notice Period
Your services are liable for the termination without assigning any reason on fifteen days (15
days) notice in writing from either side or basic pay in lieu thereof. The company reserves the
right to pay or recover complete salary in lieu of notice period. On receiving notice, if in the
opinion of the company it is prejudicial to its interest to continue employment during the
notice period, the company may at its discretion relieve you before expiry of the notice period
and is not bound to give any reason thereof.

5. Working Hours
Your working hours will be advised to you by the Human Resource Group or your Reporting
Manager from time to time. Actual work timings may vary from time to time based upon
business and customer service requirements. You will be advised by the Human Resource
Group or your Reporting Manager of the working hours, break periods and weekly rest day(s).
You should be flexible for 24*7 shift timing.

6. Place of Work
A. Your initial place of work will be at the Company office in NOIDA; however, the company
reserves the right to transfer you temporarily or permanently to work in any unit of the
company in India or abroad where the company conducts its business or your services
may be seconded to other group companies, Associates, affiliates or joint ventures.
B. As per exigencies of work and keeping in mind your suitability, you shall be liable to be
transferred at the discretion of the Management, from one work, unit, section or job to
any other, in which case your designation could else be suitably changed. In such a
situation, your salary and other terms of appointment shall, however, remain unchanged.

C. Capline may require you to work from home temporarily or permanently as per the
discretion of management. You will be required to meet the minimum requirements of
internet quality, noise free environment and equipment as per Capline’s work from home
policy in vogue to support effective performance while working from home. Inability to
meet such requirements may lead to termination of employment.

7. Verification
You have been engaged on the presumption that the documents/particulars furnished by you
in your application are true. In case, the said particulars are found to be falsified/forged or it
is found that you have concealed or withheld some other relevant fact(s), your appointment
with the company shall stand terminated/cancelled without any notice.

8. Taxation
The Employee shall be responsible for taxation payable by him/her in connection with salary,
payments and benefits received by him/her from the Company. The Company is entitled to
withhold from the salary and payments payable to the Employee, such amounts as are
necessary to comply with the relevant tax laws of India.

9. Deduction
The Company shall be entitled, subject to any laws or agreements to the contrary, at any time
to deduct from any payments to be made to the Employee, any monies due from him to the
Company or any of its Affiliate Companies including, but not limited to, any outstanding loans
taken from the Company, advances made by the Company, the cost of repairing any damage
to or loss of the Company’s property caused by him (and of recovering the same) and any
other monies owed by him to the Capline Services Private Limited or any of its Affiliate
Companies.

10. Separation
On acceptance of resignation or termination of appointment, you will be obliged to:
A. Handover charge of your responsibilities in the manner required to such a person as
nominated by the Company.

B. Upon separation from the Company on account of either resignation or termination, you
need to immediately return to the Company all the assets and property (including any
leased properties) of the Company including computer and computer peripherals, cell
phones, sim cards, data cards, and documents [electronic and printed], files, books,
papers and memos in your possession or custody.

C. The Company reserves the right to terminate your employment on any grounds
whatsoever, including on grounds of misconduct or unsatisfactory job performance or
violation of the Company’s Policies.

D. If you remain absent from work without authorization or reasonable explanation for more
than five consecutive days, you shall be deemed to have left and relinquished your service.
Such automatic relinquishment of the contract of employment shall be deemed as
a repudiation of the contract of employment by you and not as a termination of the
service by the company. In the event, termination is initiated by you, the Company may, at
its discretion, relieve you from such date as it may deem fit even before the expiration of
the notice period, without incurring any liability to pay you compensation for the
unexpired period of the notice period.

E. If your personal/professional conduct inside or outside the place of work is found to be


objectionable/detrimental to the interest of the company, your services shall be
terminated with immediate effect, without notice without incurring any liability to pay
you compensation for the unexpired period of the notice period. In addition, any
contravention of the clauses of this agreement shall render you liable for immediate
severance of your employment.

F. Your employment with Capline Services will be terminated if you are not able to work from
home due to insufficient IT Infrastructure as per company’s IT specification.

11. Duties & Responsibilities


A. The Company will expect you to work with a high standard of initiative, efficiency and
productivity.

B. You are required not to engage yourself in any other gainful or commercial employment,
business part-time or full time, freelancing, subcontracting, honorary or remuneratory,
directly or indirectly simultaneously as long as you are employed with the Company or
engage yourself indirectly in any other profitable business. Promoting any business or
yourself as a freelancer on any social networking site or freelancer website or personal
website is not permitted. Such existing online profiles should be removed prior to joining.
Any action to the contrary would render your services liable for termination
notwithstanding any other conditions in the appointment letter.

C. You are required not to divulge, communicate or pass on any information identifying or
relating to any part of the company’s business to anyone not employed by the company.
Indulgence in such activity shall render you liable for termination with immediate effect
notwithstanding any other terms mentioned in the appointment letter.

D. You are required to strictly maintain the secrecy of and not to divulge, communicate in
any manner, any information regarding your remuneration/terms of employment to any
other employee of the company except your reporting manager. Any such disclosure
would be considered a serious case of indiscipline and would render you liable for
termination with immediate effect, notwithstanding other terms and conditions
mentioned in the appointment letter.

E. You are required to deal with the company's money, material and documents with utmost
honesty and professional ethics. If you are found guilty, at any point of time of moral
turpitude or of dishonesty in dealing with the company’s money or material or documents
or of theft or misappropriation regardless of the value involved, your services would be
terminated with immediate effect notwithstanding other terms and conditions mentioned
in the appointment letter.
F. You shall at all times maintain high standards of professional etiquettes within the
workplace. In addition, the company shall not tolerate physical violence within the
workplace and in case you are found to be indulging in violence, the company shall be
within its rights to hand you over to the authorities for further legal action.

G. It is expected of you to maintain decorum within the workplace and address your
colleagues with professional regard.

H. The company shall not tolerate any kind of sexual harassment of its employees and any
employee found guilty of engaging in any such activities shall face immediate termination
of services.

12. Confidentiality & Other Regulations


A. You will be required to effectively carry out all duties and responsibilities assigned to you
by your reporting manager and others authorized by the Company to assign such duties
and responsibilities.

B. Except on the proper course of your employment, or, thereafter, you shall not divulge to
any third party any information regarding the affairs of the Company or information
regarding its customers and their projects without prior written approval. All information
that comes in your knowledge by reasons of your employment with the Company is
deemed to be confidential.

C. You agree to not circumvent the Company and work with business Associates, clients, and
other third party vendors introduced by the Company. This non-circumvention provision
shall expire at the end of two (2) years from the termination of this Agreement.

D. For a period of two (2) years after the termination of this Agreement, you agree that you
will not solicit for work, or provide services or advice or assist others with the opportunity
to do the same, with any Client of the Company.

E. During your employment with the company and for two year following the termination of
your employment with the Company, you will not (a) request, induce or attempt to
influence any supplier of goods or services to the Company to curtail or cancel any
business they may transact with the Company; (b) request, induce or attempt to influence
any customers of the Company that have done business with or potential customers
which have been in contact with the Company to curtail or cancel any business they may
transact with the Company; or (c) request, induce or attempt to influence any employee
of the Company to terminate his or her employment with the Company.

F. You confirm that you have disclosed fully all of your business interests to the Company
whether or not they are similar to or in conflict with similar businesses or activities of the
Company and any circumstances in respect of which there is, or there might be perceived
a conflict of interest between the Company and you or any immediate relatives. Also you
agree to disclose fully and immediately to the Company any such interests or
circumstances which may arise during your employment.

G. You will be required to apply and maintain the highest standards of personal conduct and
integrity and comply with all company policies and procedures.
H. You will be eligible for leaves and holidays as per company’s policy in this regard. Except
on official holidays, as from time to time notified by the company, you are required to
attend to work punctually and regularly and devote your undivided attention and time to
the duties assigned.

I. You are required to keep the Human Resource Group informed of any change in your
residential/correspondence address along with contact phone numbers as well as contact
persons and their telephone numbers to contact you in case of emergency. Any
correspondence sent at your last communicated address would be deemed to have been
received by you.

J. You will not accept any present, commission or any sort of gratification in cash or kind
from any person, party or firm or Company having dealing with the company and if you
are offered any, you should immediately report the same to the Management.

K. The company will deduct a security deposit equivalent of replacement cost against assets
which will be handed over to you in the immediate payroll cycle. This amount will be
returned to you on return of the assets.

13. Applicability of Company Policy


The Company shall be entitled to make policy declarations from time to time pertaining to
matters like leave entitlement, maternity leave, employees’ benefits, working hours, transfer
policies, etc., and may alter the same from time to time at its sole discretion. All such policy
decisions of the Company shall be binding on you and shall override this Agreement to that
extent.

14. Age of Superannuation/Retirement


Your age of Superannuation will be sixty years and on attaining the same, you will stand
retired from the services of the Company.

You are advised to go through the contents of this appointment letter before signing the duplicate
copy.

Please sign the duplicate copy of this letter and return the same as the token of your acceptance
of the terms and conditions stipulated therein.

I, Sahil Shah, an employee of Capline Services Private Limited, acknowledge the confidentiality of
patient healthcare information (“Confidential Patient Information”) that I may receive or have access to
in the course of providing patient care services at participating healthcare facilities that I am assigned.
Patient and personal information from any source and in any form, including oral communication,
audio recording, or electronic display, is strictly confidential. Access to confidential, patient and
personal information is permitted only on a need-to-know basis. It is the policy of Capline and
participating healthcare facilities, that all users respect and preserve this right to privacy and
confidentiality. Violations of this policy include, but are not limited to:

 Accessing information that is not within the scope of your job.


 Disclosing, misusing, and altering patient or personal information without proper authorization.
 Disclosing your sign-in code and password or using another person’s sign-in code and
password for accessing electronic or computerized records.
 Leaving a secured application unattended while logged on.
 Attempting to access a secured application without proper authorization.

Violations of this policy may constitute grounds for disciplinary action up to and including termination
of employment or loss of hospital privileges in accordance with hospital procedures and federal or state
law. I acknowledge to have read HIPAA’s privacy rules and related policies, and also agree to comply
with them. I understand that it is my responsibility to properly handle any confidential patient
information, and in doing so, shall adhere to all applicable state and federal laws and regulations of the
United States, including, without limitation, the privacy provisions under Health Insurance Portability
and Accountability Act of 1996 (“HIPAA”), and the policies and procedures of each participating
healthcare facility that I am assigned. My agreement to maintain the confidentiality of patient
information shall survive the termination of my employment with Capline, and the conclusion of any
assignment at the participating healthcare facility.

others who are permitted access to or use of the Confidential Information.

4. If there is a breach or threatened breach of any provision of this undertaking by me, I agreed and
understood that Disclosure shall have no adequate remedy in money or other damages and accordingly
shall be entitled to injunctive relief.

5. I agree to not circumvent the Company and work with business Associates, clients, and other third
party vendors introduced by the Company after my separation from the company till 2 years thereafter.

6. For a period of two (2) years after the termination of this Agreement, I agree that I will not solicit for
work, or provide services or advice or assist others with the opportunity to do the same with any client of
the company.
7. While I am employed by the company and for two year following the termination of my employment
with the Company, I will not (a) request, induce or attempt to influence any supplier of goods or services
to the Company to curtail or cancel any business they may transact with the Company; (b) request,
induce or attempt to influence any customers of the Company that have done business with or potential
customers which have been in contact with the Company to curtail or cancel any business they may
transact with the Company; or (c) request, induce or attempt to influence any employee of the Company
to terminate his or her employment with the Company.

8. I agree to indemnify Capline Services Private Limited for all losses that occur due breach of this
undertaking by me during my entire service period and after leaving the services from Capline Services
Private Limited.
